EXECUTIVE SUMMARY
Recommendation to approve a Temporary Use Agreement allowing for existing improvements
owned by The Strand at Naples, LLC, to remain and encroach upon right-of-way owned by Collier
County along the easterly-most and undeveloped stretch of the Veteran's Memorial Boulevard
right-of-way. Estimated fiscal impact: SO.
OBJECTIVE: To grant a Temporary Use Agreement allowing existing golf course improvements
owned by The Strand at Naples, LLC, to remain and encroach upon Collier County (County) owned
right-of-way along an unused section of Veteran's Memorial Boulevard.
CONSIDERATIONS: The Strand of Naples, LLC, owns the golf course which is immediately south of
the undeveloped portion of the Veterans Memorial Boulevard right-of-way owned by the County.
Portions of the improvements which constitute the golf course were constructed within said right-of-way
(hereinafter referred to as the"encroachments"). The encroachments include portions of the concrete golf
cart path, planter beds containing bushes and trees, irrigation lines, valves and sprinkler heads, and a
small concrete block restroom building with plumbing and electrical wiring. The title insurance policy
issued to The Strand at Naples, LLC currently shows these encroachments as exceptions to title and the
owner seeks to have the title company remove the exceptions from the title policy by way of a Temporary
Use Agreement.
The Temporary Use Agreement allows for the existing encroachments to remain in place until the County
needs to utilize the area. The County may unilaterally terminate the Temporary Use Agreement by
providing the owner with one-hundred-eighty (180) days notice. During the notice period, The Strand at
Naples, LLC, must remove any and all encroachments at the owner's expense. Any encroachments
remaining at the end of the notice period shall be deemed to be abandoned by The Strand at Naples,LLC.
Accordingly, staff is recommending that the Board of County Commissioners (Board) approve the
accompanying Temporary Use Agreement and allow the current encroachments to remain until such time
as the County needs to use the right-of-way.
FISCAL IMPACT: As The Strand at Naples,LLC will be paying to the record the Agreement, there is
no fiscal impact associated with this Executive Summary.
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a
majority vote for Board approval. — JAB
GROWTH MANAGEMENT IMPACT: There is no Growth Management impact associated with this
Executive Summary.
RECOMMENDATION: That the Board of County Commissioners:
1. Approve the accompanying Temporary Use Agreement between the Strand of Naples, LLC and the
County and authorize its Chairman to execute same on behalf of the Board; and
2. Authorize the County Manager or his designee to take the necessary measures to ensure the County's
performance in accordance with the terms and conditions of this agreement.

TEMPORARY USE AGREEMENT
THIS TEMPORARY USE AGREEMENT (hereinafter referred to as the
"Agreement') ") is made and entered into on this day of
2015, by and between THE STRAND AT NAPLES, LLC, a Florida limited liability
company, whose mailing address is 5840 Strand Boulevard, Naples, Florida 34110
(hereinafter referred to as "Owner), and COLLIER COUNTY, a political subdivision of
the State of Florida (hereinafter referred to as "County"), whose mailing address is 3299
Tamiami Trail East, do the Office of the County Attorney, Suite 800, Naples, Florida
34112.
WHEREAS, The Strand (hereinafter referred to as the "Subject Property"); is
comprised of a golf course and golf course amenities, and
WHEREAS, County is the owner of the Veteran's Memorial Boulevard right-of-way
north of the golf course at The Strand; and
WHEREAS, portions of the improvements which constitute the golf course were
constructed within the Veteran's Memorial Boulevard right-of-way (hereinafter referred
to as the "Encroachments"); and
WHEREAS, these Encroachments include portions of the concrete golf cart path,
planter beds containing bushes and trees, irrigation lines, valves and sprinkler heads,
and a small concrete block restroom building with plumbing and electrical wiring
WHEREAS, Owner desires that these Encroachments be removed as exceptions
to title of the Subject Property; and
WHEREAS. County will permit the Encroachments to remain in the Veterans
Memorial Boulevard right-of-way temporarily, until such time as County needs to use
the area depicted on Exhibit "A" (attached hereto and made a part hereof): and
WHEREAS, County and Owner agree that there will be no fee, charge or payment
to County in exchange for Owner's temporary use of a portion of the County's right-of-
way.
NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of
which is hereby mutually acknowledged, it is agreed by and between the parties as
follows:
1. RECITALS - All of the above recitals and Exhibits are true and correct and are
hereby expressly incorporated herein by reference as if set forth fully below, and are
made a part of this Agreement.

2. EFFECTIVE DATE - This Agreement shall be effective as of the date first set forth
above and shall inure to the benefit of and be binding upon the parties hereto and their
respective heirs, executors, personal representatives, successors, successor trustees,
and/or assignees, whenever the context so requires or admits.
3. TERMINATION - County has the unilateral right to terminate this Agreement at will
by providing Owner with one hundred and eighty (180) calendar days notice of its intent
to construct and/or install improvements in the temporary use area depicted on the
Exhibit attached hereto. Any and all improvements located within the temporary use
area at the end of the 180 day notice period shall be deemed to have been abandoned
by Owner and may be removed and disposed of by County with no payment to or
recourse by Owner.
4. HOLD HARMLESS & INDEMNIFICATION — OWNER agrees to release from liability,
and to hold harmless COUNTY, its employees and agents against any and all claims
brought by or on behalf of the OWNER, its employees, contractors, any person, or other
legal entity which may arise from the OWNER'S use of the demised premises and will
further hold harmless, indemnify and defend the COUNTY, its agents, participants,
contractors or employees, from all costs, attorney's fees, expenses, and liabilities
incurred as a result of any claim or proceeding brought thereon.
5. LEGAL MATTERS — In the event either party hereto shall institute legal proceedings
in connection with, or for the enforcement of, this Agreement, the prevailing party shall
be entitled to recover its costs of suit, including reasonable attorney's fees, at both trial
and appellate levels. This Agreement may be recorded by the County in the Official
Records of Collier County, Florida. Owner shall pay all costs of recording this
Agreement prior to the execution of this Agreement A copy of the Recorded
Agreement will be provided to the Owner. This Agreement is the entire agreement
between the parties, and supersedes all previous oral and written representations,
agreements and understandings between the parties This Agreement shall be
governed by the laws of the State of Florida, and may not be altered or amended in any
way, save by written agreement signed by both parties.
