THIS CONSENT OF COUNTY ("Consent") is made this [3 day of , 2017, by
Collier County, a political subdivision of the State of Florida("County").
WITNESSETH:
WHEREAS, Collier County is the fee simple owner of that certain real property located
in Collier County, Florida, as more fully described on Exhibit A attached hereto and
incorporated herein by this reference ("Property");
WHEREAS, County and Naples Zoo, Inc., a Florida not for profit corporation ("Zoo"),
are parties to that certain Lease Agreement dated December 12, 2005, assigned by way of a
Novation Assignment of Lease Agreement dated December 19, 2005, from the Trust for Public
Land, a California not-for-profit corporation, amended by that certain Addendum to Lease
Agreement dated November 20, 2009, further amended by that certain Second Amendment to
Lease Agreement dated June 8, 2010, and further amended by that certain Third Amendment to
Lease Agreement dated October 28, 2014, with a term of 30 years ("County Lease
Agreement"),pertaining to the Property;
WHEREAS, Zoo and Florida Power & Light Company, a Florida corporation ("FPL")
are parties to that certain Solar Sublease Agreement dated MN)N .5 , 2017, pertaining to
the Property ("Solar Sublease"); and
WHEREAS, County desires to consent to and approve the Solar Sublease, as further set
forth herein.
NOW THEREFORE, in consideration of good and valuable consideration, the receipt
and sufficiency of which is hereby acknowledged, County hereby states as follows:
1. The foregoing recitals are true and correct and incorporated herein by reference.
2. The County Lease Agreement does not prohibit the terms of the Solar Sublease. County
confirms that any and all conditions of the County Lease Agreement applicable to the
Solar Sublease have been satisfied.
3. County hereby consents to and approves the terms and provisions of the Solar Sublease.
County also specifically agrees to the provisions of Section 12 of the Solar Sublease, as
set forth therein.
