EXECUTIVE SUMMARY
Recommendation to approve an agreement to accept U.S. Department of Housing and Urban
Development rural capacity building technical assistance from the National Association for
Latino Community Asset Builders.
OBJECTIVE: To expand staff's knowledge of federal programs for rural capacity building.
CONSIDERATIONS: Community and Human Services (CHS) on behalf of Collier County had
the opportunity to apply for technical assistance from the National Association for Latino Community
Asset Builders ( NALCAB) for developing a strategic set of actions to meet the needs of the
predominantly Hispanic/Latino community of Immokalee. The after - the -fact grant application was
approved by the board on December 9, 2014 (Agenda Item 16D 14).
NALCAB received the funding from the U.S. Department of Housing and Urban Development
(HUD) for delivery of technical assistance and capacity building services to rural communities in eleven
states. Florida is one of the eleven states.
The proposed Agreement accepts the grant and establishes a scope of work for reimbursement from HUD
to NALCAB. CHS will partner with Immokalee based non -profit organizations, including a local rural
Community Housing Development Organization (CHDO), a redevelopment agency, a business
development center, the workforce development board, and a farm worker public housing authority for
community -based assistance. The technical assistance will be utilized to develop strategies to strengthen
the community's capacity while integrating the development of much needed rental housing, economic
development, job creation, and community development in the Immokalee area. Technical assistance
would support HUD CDBG, HOME and ESG programs and put strategies in place to provide
opportunities for future HUD funding.
The term of the agreement is July 7, 2015 to May 14, 2016. Either party may terminate the agreement at
its absolute discretion by providing 30 days written notice to the other party.
FISCAL IMPACT: There is no direct fiscal impact for this action. This technical assistance is provided to
Collier County at no cost. However, staff estimated the value of this technical assistance to be $15,000. The
agreement requires investment of staff time in the project, which will be subsumed within the Division
Administration portion of CHS's General Fund (001) funded budget.
LEGAL CONSIDERATIONS: - The agreement states that it is enforceable in Bexer County, Texas.
Typically our office does not approve venue outside of Florida. Because it is a requirement of HUD's funding
to NALCAB, if Collier desires the technical assistance it will have to accept the venue. Accordingly, this item
is approved for form and legality and requires a majority vote. - JAB
GROWTH MANAGEMENT IMPACT: This request would further the goals, objectives and
policies outlined in the Housing Element of the Growth Management Plan.
RECOMMENDATION: That Board of County Commissioners approves and authorizes the
Chairman to sign an agreement to accept HUD rural capacity building technical assistance sponsored by
the NALCAB.

Agreement for Technical Assistance Services
HUD's Rural Capacity Building for
Community Development and Affordable Housing Grants Program (RCB)
This Agreement, made this 7th day of _Jul 2y 015 by and between Collier County
hereinafter referred to as "Recipient" and National Association for Latino Community Asset Builders
(NALCAB), herein after referred to as "TA Provider ".
Now whereas, TA Provider has received funding from the US Department of Housing and Urban
Development under the Rural Capacity Building for Community Development and Affordable Housing
Grants Program (RCB) to provide technical assistance to enhance the capacity and ability of local
governments, Indian tribes, housing development organizations, rural CDCs, and CHDOs to carry out
community development and affordable housing activities that benefit low- and moderate - income families
and persons in rural areas.
Whereas, Recipient and Eligible Applicant, as defined by the U.S. Department of Housing and Urban
Development, Docket # FR- 5700 -N -20, NOFA for FY 2013 is a:

❑ Non -rural CDC or CHDO undertaking projects in a rural area,
and is eligible to receive such services under this program.
Whereas, recipient desires to implement a plan to receive technical assistance that will help it carry out
community development and affordable housing activities in rural areas.
Whereas, TA provider and Recipient have developed a planned program of technical assistance that will
assist in accomplishing increased capacity for community development and affordable housing activities
that benefit low- and moderate - income families and persons in rural areas;
NOW THEREFORE, TA provider and Recipient hereby agree as follows:
TERMS:
Purpose: To provide technical assistance services to Recipient.
DATE OF COMMENCEMENT: July 7, 2015
The Agreement will be in effect until May 14.2016
It is understood the parties to this Agreement are independent contractors and neither party shall be
considered the agent, servant, or employee of the other for any purpose whatsoever. Nothing contained
herein, or any of the obligations of the parties hereunder, will in any manner inure to the benefit of third
parties, unless otherwise agreed to in writing by both parties to this Agreement.
THE ROLE OF TA PROVIDER:
NALCAB, as the TA Provider, will provide to Recipient, those services listed in the attached, "Scope of
Work, hereafter referred to as "EXHIBIT A ". HUD's Rural Capacity Building for Community Development

and Affordable Housing Grants Program (RCB) is the source of funding for these services that are
provided at no charge to the Recipient.
NALCAB will assign technical assistance providers (Consultant Partners) to work with the TA Recipient
as shown on the attached Scope of Work — EXHIBIT A.
Technical assistance services, training and consultation services will be provided in a professional and
confidential manner for the benefit of the Recipient. TA Provider shall protect such confidential
information with a degree of care at least as restrictive as it uses to protect its own confidential
information, which in any event shall be no less than a reasonable degree of care.
Any intellectual property developed as a result of this Agreement will belong to the US Department of
Housing and Urban Development as the funding source for these services. All reports, drawings,
sketches, spreadsheets, flowcharts, specifications, calculations, ideas, inventions, designs, discoveries,
processes, improvements, computer programs, operating instructions, notes, and all other works of
authorship and other work product (whether or not patentable or subject to copyright protection) created,
conceived or first reduced to practice by TA Provider, alone or with others, in connection with the
Services or work performed for under this Agreement ( "Work Producf') together with all tangible and
electronic media in which or on which such Work Product is embodied, contained, or expressed, and all
patent, copyright, trademark, trade secret, and other intellectual property rights therein throughout the
world (collectively, "IP fthfs "), shall be deemed a "work made for hire" and shall be the property of
NALCAB. HUD reserves a royalty -free, nonexclusive and irrevocable license to reproduce, publish, or
otherwise use and to authorize others to use for federal government purposes: (a) the copyright in any
work developed under the grant agreement with NALCAB (TA Provider) and any award or contract
awarded under the grant agreement with NALCAB; and (b) any rights of copyright to which an awardee
or sub - awardee or a contractor purchases ownership with award funds.
TA Provider will make regular progress reports to the US Department of Housing and Urban
Development on the status of this Technical Assistance Agreement. Recipient acknowledges that TA
Provider will make available for inspection and review by HUD or its designee the records, documents
and other pertinent information relating to the performance of this Agreement.
Compliance with Federal Administrative Requirements:
TA Provider's grant agreement with U.S. HUD is governed by administrative requirements codified in:
• 24 CFR part 84;
• OMB Circular A -110;
• OMB Circular A -133;
• 2 CFR Chapter I, Chapter II, Part 200, et al.
For all activities in connection with this contract, the TA Provider is required to comply with these federal
administrative requirements.
THE ROLE OF THE RECIPIENT
Recipient will:
Commit the necessary staff and resources to fully benefit from and participate in the provision of
technical assistance that is being made available through this TA Agreement;
Provide TA Provider with information, documents, reports and other materials that may be pertinent to
the development and provision of these services.

Provide assistance in logistical arrangements for site visits, for example providing meeting space,
scheduling appointments with key stakeholders and allowing staff the time to meet with TA Team.
Report any significant problems or changes during the technical assistance process that may affect the
ability to complete delivery or completion of these services;
Develop an action plan that implements technical assistance recommendations.
Participate in the on -going evaluation of the technical assistance services provided, including but not
limited to:
• Evaluating the process, quality of technical assistance services, outcomes desired, impacts achieved
and recommendations.
• Reporting improvements or changes achieved in personnel, organizational capacity, programs or
services, projects and/or policies and procedures as a result of the technical assistance received.
• Providing statistical measurement of impacts achieved as a result of technical assistance.
• Conducting an exit interview to provide feedback and evaluate the effectiveness of the services.
• Post- session questions or additional needs that are identified during the course of the TA
engagement.
• Participate in monitoring conducted by HUD or its assignee that may include site visits, review of
program documents, services, etc.
Recipient will retain records of the technical assistance services provided through this TA Agreement for
at least three years from the end of this Agreement and will provide HUD or its designee access to, and
the right to examine and copy records, books, papers and documents relating to the provision of services
under this Agreement.
Technical Assistance and Training Services
Technical assistance results in the benefit to the Recipient when there is a commitment by the Recipient
to provide its staff, board and /or volunteers with the support, time and encouragement necessary to
complete the technical assistance scope of work and achieve the desired impacts and results. Obstacles
that may prevent success in completing technical assistance services include internal and external turf
issues, resistance to change, legal or statutory limitations, and lack of funding. With good planning and
facilitation, and faithful communication with TA Provider among staff, Board, and stakeholders, many of
these obstacles can be avoided or diminished. In order to provide the highest quality technical
assistance services, communication is key.
Technical assistance services cannot be provided for litigation or any work leading to legal court
proceedings or hearings.
Termination
Notwithstanding any contrary terms contained above, TA Provider and Recipient shall have the right at
its absolute discretion, to cancel, in whole or part, this Agreement by providing 30 days written notice.
MISCELLANEOUS
Nothing in this Agreement shall be construed to require the commission of any act contrary to law, and in
the event of any conflict between any provision of this Agreement and any statute, law or ordinance the
affected provision of this Agreement shall be limited to the extent necessary to bring it within the legal
requirements.

This Agreement shall be governed by, and construed and enforced in accordance with, the laws in
effect in the State of Texas applicable to contracts made in that state, without giving effect to any
rules regarding conflicts of laws. This Agreement is initiated in Bexar County, Texas and venue for
enforcement of this Agreement shall be in Bexar County, Texas.

History of Organization:
Collier County Community and Human Services (CHS), FL: Collier County is a political subdivision with a multi-
million dollar budget (approximately $900 million). CHS is requesting technical assistance to develop strategies
and set priorities for affordable housing and community development services in Immokalee including best
utilization of various funding sources, a review of County housing and land use plans, updating the County's
affordable housing inventory and preparing a housing needs assessment. Assistance is also being sought to
develop or enhance the capacity of local nonprofits to develop affordable housing in the City, provide a toolkit
of incentives to spur private affordable housing development and enhance coordination among City and County
departments to develop a comprehensive approach to community, economic and housing development.
Summary of TA Needs:
City and County Plan Review and Recommendations
The Florida Housing Coalition will review the current housing element data and analysis, land development
regulations, zoning code, and code enforcement tools currently used in Collier County, specifically in relation to
unincorporated Immokalee. The review will also include the housing data clearinghouse information for the
jurisdiction.
We will also review the potential financial resources currently available and those that the County may consider
pursuing to assist in the development and preservation of safe and affordable housing for the residents of
Immokalee.
Outcomes:
• A set of recommendations to the County for improving the current land use /development environment
• Recommendations to increase the development and preservation of housing for the residents of
Immokalee.
Impact:
• The County will be able to use our recommendations to start the amendatory process to create
incentives for affordable housing development.
• The County will be able to craft an RFP, using the recommendations provided as the basis for its Scope
of Services.
Affordable Housing Inventory and Housing Needs Assessment
Assistance will be provided to County staff to update their affordable housing inventory and identify affordable
housing units in the development pipeline. A housing needs assessment will be conducted to identify low -
income households facing housing cost burden, living in substandard housing, or experiencing
homelessness. Household projections will be conducted to estimate future demand for affordable
housing. Data on current and projected affordable housing supply and demand will be synthesized for the City

of Immokalee and the where appropriate, the County as a whole. The results will be used to set development

There are few qualified affordable housing developers in the County. We will help to identify existing nonprofit
housing developers as well as other nonprofit organizations who are interested in expanding their business line.
Training will be provided to the County staff as well as interested nonprofits on all aspects of housing project
development from planning and predevelopment through construction /rehab and sale of homeownership units
and management of rental units. There will be a specific focus on Green building. Information will be provided
to non - profits on existing financial resources, including access to NALCAB's Revolving Loan Fund.
In addition, TA will be provided to the County staff regarding the development of Requests for Proposals,
outreach to affordable housing developers to ensure qualified applicants, and, using data gathered from the
Affordable Housing Inventory and Housing Needs Assessment, assistance in identifying housing development
priorities for future RFPs. Based on the recommendations of the County s plan reviews (see above), a toolkit of
development incentives will be proposed further incentivize affordable housing development.

In addition, TA will be provided to the County staff regarding the development of Requests for Proposals,
outreach to affordable housing developers to ensure qualified applicants, and, using data gathered from the
Affordable Housing Inventory and Housing Needs Assessment, assistance in identifying housing development
priorities for future RFPs. Based on the recommendations of the County's plan reviews (see above), a toolkit of
development incentives will be proposed further incentivize affordable housing development.
