EXECUTIVE SUMMARY

Petition VAC-PL20140002842 to disclaim,renounce and vacate the County and the public
interest in the two westerly 30-foot parcels reserved for right-of-way and a portion of Linda
Drive of Linda Park as recorded in Plat Book 4, page 19 of the Public Records of Collier
County, Florida,located in Section 14, Township 50 South,Range 25 East, Collier County,
Florida.
OBJECTIVE: To adopt a Resolution to vacate the County and the public interest in the two
westerly 30-foot parcels reserved for right-of-way and a portion of Linda Drive of Linda Park as
recorded in Plat Book 4, page 19 of the Public Records of Collier County, Florida, located in
Section 14, Township 50 South,Range 25 East, Collier County, Florida, being more specifically
shown in Exhibit A.
CONSIDERATIONS: Petition VAC-PL20140002842 has been received by the Development
Review Department, Growth Management Division, from Patrick G. White of Porter Wright
Morris & Arthur LLP, as agent for the property owner to vacate the two westerly 30-foot parcels
reserved for right-of-way and a portion of Linda Drive of Linda Park as recorded in Plat Book 4,
page 19 of the Public Records of Collier County, Florida, located in Section 14, Township 50
■ South,Range 25 East,Collier County,Florida.
In support of its Petition,the Applicant states that the grant and approval of this Petition is in the
best interest of the public. According to the applicant, all presently existing public utility and
drainage easement rights will remain in effect for the benefit of the public. The public's interest
in the street and platted right-of-way, once vacated, will allow the County to remove the street
and area of the right-of-way from its responsibility to pay for the continuing costs of perpetual
maintenance. This will result in a corresponding preservation of funds in the County's tax base
and future budgets for achieving other public purposes. This vacation request is in furtherance of
creating a gated community.
Upon approval, the portion of right-of-way being proposed to be vacated would, by operation of
law,then be held in private hands. The adjacent lot owners would hold title, but those rights are
largely subject to the affect of the recorded Declaration of Covenants, Conditions, Restrictions,
and Easements, recorded in OR Book 5077, Page 237, et seq. and its First Amendment thereto,
recorded in OR Book 5106, Page 1922, which grant authority for The Enclave of Naples Bay
Homeowners' Association, Inc. ("Association")to maintain the street and right-of-way. As such,
pursuant to Florida Statutes Section 336.125, the County will convey its interest in the subject
rights-of-way to the Homeowners' Association of this subdivision simultaneously with the
vacation and abandonment of these roads. A deed will be prepared in a form substantially similar
to the attached deed.
In accordance with the criteria under Florida Statutes Section 336.125 for conveyance of
vacated streets to a homeowners' association, no fewer than 4/5 of the owners of record of

property located in the Linda Park subdivision have consented in writing to this action.
Moreover, the homeowners' association has provided assurance that it has funds and funding
sources necessary to operate, maintain, repair and periodically reconstruct or replace the roads,
drainage, street lighting, and sidewalks in the subdivision after abandonment and vacation by the
County.
The Petitioner has provided the County with letters of no objection from the requisite agencies
and all adjacent property owners that have responded, in accordance with Resolution 2013-166.
The Development Review Division has reviewed this petition and found no reason for objection.
The hearing has been advertised in a local paper of general circulation pursuant to Section
336.10,Florida Statutes and Resolution No. 2013-166, and adjoining property owners have been
given notice as well.
FISCAL IMPACT: Growth Management Department, Development Review Division staff has
collected a$2,000 "Petition to Vacate" fee from the petitioner which covers the County's cost of
recording and processing the Petition.
GROWTH MANAGEMENT IMPACT: There is no growth management plan impact
associated with this executive summary.
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and
requires a majority vote for Board approval. - SAS
RECOMMENDATION: That the Board of County Commissioners: 1) Approves the attached
Resolution, relating to Petition VAC-PL20140002842, which will vacate the two westerly 30-
foot parcels reserved for right-of-way and a portion of Linda Drive of Linda Park as recorded in
Plat Book 4, page 19 of the Public Records of Collier County, Florida, located in Section 14,
Township 50 South, Range 25 East, Collier County, Florida, being more specifically shown in
Exhibit A, 2) Directs the Clerk to the Board to record a certified copy of the Resolution in the
Public Records, and to make proper notation of this Resolution on the plat of Linda Park as
recorded in Plat Book 4, page 19 of the Public Records of Collier County, Florida; 3) authorizes
its Chairman to execute the attached Quit Claim Deed in favor of the Enclave of Naples Bay
Homeowners' Association; and 4) accepts the attached Solid Waste Access Easement in favor of
the County.

RANGE 25 EAST, COLLIER COUNTY, FLORIDA.

WHEREAS, pursuant to Resolution 2013-166, Petitioner, Patrick G. White of
Porter Wright Morris & Arthur LLP, has requested the vacation of the County and the
Public interest in the two westerly 30-foot parcels reserved for right-of-way and a portion
of Linda Drive right-of-way within Linda Park as recorded in Plat Book 4, page 19 of the
Public Records of Collier County, Florida, located in Section 14, Township 50 South,
Range 25 East, Collier County, Florida, being more specifically described in Exhibit A,
attached hereto; and
WHEREAS, at its April 14, 2015 regular meeting, the Board of Commissioners,
via Resolution No. 2015-109 , approved the scheduling of a public hearing on May 26,
2015, pursuant to Resolution 2013-166; and
WHEREAS, the Board of County Commissioners, on this day, held a public
hearing to consider the petitioner's request and notice of said public hearing was given as
required by law; and
WHEREAS, the granting of the Petitioner's request will not adversely affect the
ownership or right of convenient access of the property owners.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that the County interest in
the two westerly 30-foot parcels reserved for right-of-way and a portion of Linda Drive
right-of-way within Linda Park as recorded in Plat Book 4, page 19 of the Public Records
of Collier County, Florida, located in Section 14, Township 50 South, Range 25 East,
Collier County, Florida, being more specifically shown in Exhibit A, is hereby vacated,
extinguished, renounced and disclaimed, and this action is declared to be in the Public
interest and for the Public benefit.
BE IT FURTHER RESOLVED AND ORDERED that the Clerk to the Board is hereby
directed to record a certified copy of the Resolution in the Public Records and to make
proper notation of this Resolution on the plat of Linda Park as recorded in Plat Book 4,
page 19, of the public records of Collier County, Florida.

The name of the corporation is "THE VILLAGE OF NAPLES BAY HOMEOWNERS'
ASSOCIATION, INC."a not-for-profit corporation (the"Village"or the"Association").
ARTICLE 11
PRINCIPAL OFFICE: The principal office of the corporation is located at 2055 Trade
Center Way, Naples, FL 34109.
ARTICLE III
PURPOSE AND POWERS: The Association will not permit pecuniary gain or profit and
will make no distribution of its income to its members, officers or directors. This is a
corporation not-for-profit organized on a non-stock basis for the purpose of establishing
a residential neighborhood homeowners' association that will, subject to a Declaration
of Covenants, Conditions, and Restrictions to be recorded in the Public Records of
Collier County, Florida, (the "Declaration") have the powers described herein. The
Association will have all of the common law and statutory powers of a Florida
corporation not-for-profit consistent with these.Artictes and with the Declaration; and
will have all of the powers and authority reasonably necessary or appropriate to the
operation and regulation of a residential neighborhood, subject to the Declaration, as it
may from time to time be amended, Including but not limited to the power to:
A. Fix, levy, collect, and enforce payment by an lawful means all charges or
assessments levied pursuant to the Declaration, to pay all expenses in
connection therewith and all office and other expenses incident to the
conduct of the business of the Association, including all license fees,
taxes, or governmental charges.
B. Enforce any and all covenants, conditions, restrictions, and agreements
applicable to the residential neighborhood known as The Village of Naples
Bay.
C. Acquire (by gift, purchase or otherwise) own, hold, improve, build upon,
operate, maintain, convey, sell, lease, transfer, dedicate for public use, or
otherwise dispose of real or personal property in connection with the
affairs of the Association.

D. Borrow money, and mortgage, pledge, deed of trust, or hypothecate any
or all of its real or personal property as security.
E. Dedicate, sell, or transfer all or any part of the Neighborhood Common
Areas to any public agency, authority, or utility for such purposes and
subject to such conditions as may be agreed to by the members.
F. Purchase policies of insurance upon the Properties and use the proceeds
from such policies to effectuate its purposes.
G. Participate in mergers and consolidations with other non-profit
corporations organized for the same or similar purposes, or to annex
additional property and common areas, provided that merger,
consolidation, or annexation must have the consent of at least two-thirds
(2/3rds) of the voting interests of The Association.
H. Assist, and work cooperatively with, any property management company
or similar entity hired by the Association in the administration and
enforcement of the Declaration, as amended from time to time.
I. Exercise any and all powers, rights, and privileges that a corporate
homeowners association organized under Chapter 617, Florida Statutes,
may now or hereafter have or exercise; subject always to the Declaration
as amended from time to time.
ARTICLE IV
MEMBERSHIP AND VOTING RIGHTS: Membership and Voting rights will be as set
forth in the Declaration and the Bylaws.
ARTICLE V
TERM: The term of the Association is to be perpetual.
ARTICLE VI
BY-LAWS: The Bylaws of the Association may only be altered, amended, or rescinded
in the manner provided therein.
ARTICLE VII
AMENDMENTS: Amendments to these Articles must be proposed and adopted in the
following manner:

Amendment to the Articles of Incorporation may be proposed by any Director at any
regular or special business meeting of the Board of Directors at which a majority is
present and, if obtaining a two-thirds (2/3) vote of the Board of Directors present and
voting at such meeting properly called and noticed as provided in the By-Laws, will then
be submitted to a vote of the membership. If approved by a two-thirds (2/3) affirmative
vote of the membership at a meeting of the members properly called and noticed as
provided in the By-Laws, such Amendment will then be forwarded to the Secretary of
State of the State of Florida and flied and will become effective upon issuance, by said
officer, of a certificate reflecting same.

designated herein, and the subsequent directors, elected as provided for
in the Bylaws. The officers, other than the initial Officers designated
herein, will be elected by the Board of Directors at its first meeting
following the annual meeting of the members of the Association and serve
thereafter at the pleasure of the Board.

A. Willful misconduct or a conscious disregard for the best interests of the
Association, in a proceeding by or in the right of the Association to procure
a judgment in its favor.
B. A violation of criminal law, unless the Director or officer had no reasonable
cause to believe his action was unlawful or had reasonable cause to
believe his action was lawful.
C. A transaction from which the Director or officer derived an improper
personal benefit.

D. Recklessness, or an act or omission that was committed in bad faith or
with malicious purpose or in a manner exhibiting wanton and willful
disregard for human rights, safety, or property, in an action by or in the
right of someone other than the association or a member.
E. Wrongful conduct by Directors or officers appointed by the Developer, in a
proceeding brought by or on behalf of the Association.
in the event of a settlement, the right to indemnification will not apply unless a majority
of the disinterested Directors approves the settlement as being in the best interest of the
Association. The foregoing rights of indemnification are in addition to, and not exclusive
of, all other rights to which a Director or officer may be entitled.

subject to agreements that follow. GRANTOR and GRANTEE are used for singular or plural, as
the context requires.
WITH respect to said right and easement hereby conveyed by the GRANTOR, the
GRANTEE, by its acceptance hereof, hereby agrees as follows:
a. Solid Waste Facilities of the GRANTEE shall mean portable solid waste
disposal and storage containers, and any related facilities and the operation and maintenance of
each on and along the lands described in Exhibit "A."
b. The GRANTOR and its successors and assigns shall have the right to
use and enjoy the foregoing easement in common with the GRANTEE and others legally
entitled thereto subject to the GRANTEE'S Solid Waste Facilities being predominate in right to
uses and facilities of the GRANTOR and the GRANTOR being responsible for damage to the
GRANTEE'S facilities caused by actions of the GRANTOR.
c, To the extent provided by law, the GRANTOR shall indemnify, defend,
and hold harmless GRANTEE from and against any and all claims arising from the failure of the

GRANTOR to comply with the covenants and obligations set forth herein or arising out of
GRANTEE'S exercise of said right of easement but subject to limitations set forth by applicable

("Association"), whose business address is 2055 Trade Center Way, Naples, Florida, 34109,
("Affiant"), having been first duly sworn, do hereby state under oath, as follows:
1. Affiant is the current president of the Association.
2. As President, Affiant is in a position to know and is aware that the Association's
fiscal position is sound and confirms that the Association has adequate funding sources to
ensure the ongoing operation, maintenance, and repair, and the periodic reconstruction or
replacement of the roads, drainage, street lighting, and sidewalks in the Linda Park Subdivision
after their abandonment by Collier County pursuant to the Association's pending Petition to
Vacate a portion of Linda Drive, identified as PL20140002842; and further that pursuant to
Sections 2.1, 3.6, 3.11.1, 3.11.2, 3.15, 3.16.3, 4.5.2, 4.6, 5.2 (6), 7.1.3 -7.1.5, 10.6, 11.1 & 11.4,
and 17.2, and other related provisions of the Association's Declaration of Covenants,
Conditions, Restrictions, and Easements for the Enclave Of Naples Bay, recorded at O.R. Book
5077, Page 237 et seq., as amended, and that the Association has the power and duty, and is
obligated in perpetuity under the covenants of the Declaration to maintain the roads, drainage,
street lighting, and sidewalks in the aforementioned subdivision.
3. This affidavit is made for the purpose of complying with the Collier County Board
of County Commissioners' ("Board's") requirements pursuant to Sec. 336.125 (1)(a)4., Fla. Stat.

consider the enactment of a County Resolution. The meeting will commence at
