EXECUTIVE SUMMARY
Recommendation to adopt a Resolution to hold a public hearing to consider vacating the two
westerly 30-foot parcels reserved for right-of-way and a portion of Linda Drive right-of-way within
Linda Park as recorded in Plat Book 4, Page 19 of the Public Records of Collier County,Florida,
located in Section 14, Township 50 South, Range 25 East, Collier County, Florida. (VAC-
PL20140002842)
OBJECTIVE: Pursuant to Sections 336.09 and 336.10, Florida Statutes, and Resolution No. 2013-166,
the Board of County Commissioners must authorize a public hearing to consider the vacation of the
County and public interest in any public road right-of-way.
CONSIDERATIONS: The Development Review Division has received a request from Patrick G. White
of Porter Wright Morris &Arthur LLP, as agent for the property owner. This request is to vacate the two
westerly 30-foot parcels reserved for right-of-way and a portion of Linda Drive right-of-way within Linda
Park as recorded in Plat Book 4, Page 19 of the Public Records of Collier County, Florida, located in
Section 14, Township 50 South,Range 25 East, Collier County,Florida.
In support of its Petition, the Applicant states that the grant and approval of this Petition is in the best
interest of the public. The Florida courts, from the Florida Supreme Court on down, have long held that
the sole standard applicable to such determinations by the governing board of a local government is that it
be demonstrated to be in the best interest of the public.
Under the facts of our Petition, all presently existing public utility and drainage easement rights will
remain in effect for the benefit of the public. The public's interest in the street and platted right-of-way,
once vacated, will allow the County to remove the street and area of the right-of-way from its
responsibility to pay for the continuing costs of perpetual maintenance. This will result in a corresponding
preservation of funds in the County's tax base and future budgets for achieving other public purposes. In
addition, the public will benefit from not having exposure to potential costs arising from liability that
could be imposed as the result of claims for personal or property injury or other harm or casualty due to
an accident or incident occurring on the public street or in the right-of-way. This vacation request is in
furtherance of creating a gated community.
Upon approval,the portion of right-of-way being proposed to be vacated would,by operation of law,then
be held in private hands. The adjoining lot owners would hold title, but those rights are largely subject to
the affect of the recorded Declaration of Covenants, Conditions, Restrictions, and Easements, recorded in
OR Book 5077, Page 237, et seq. and its First Amendment thereto, recorded in OR Book 5106, Page
1922, which grant authority for The Enclave of Naples Bay Homeowners' Association, Inc.
("Association") to maintain the street and right-of-way. As such, pursuant to Florida Statutes Section
336.125,the County will convey its interest in the subject right-of-ways to the Homeowners' Association
simultaneously with the vacation and abandonment of these roads. A deed will be prepared in a form
substantially similar to the attached deed.
The Applicant has secured letters of no objection from the requisite agencies and adjacent property
owners from all who responded. Also,a person claiming to be an adjacent land owner did question staff
about the vacation request in the lobby of the Growth Management building, in response to which staff
asked him to send the County and/or the applicant a written letter of objection.However,no written
n objection has been received,nor has the objector verified his identity or responded to subsequent attempts
by staff to contact him for more information.

The hearing will be advertised in a local paper of general circulation pursuant to Section 336.10, Florida
Statutes and Resolution No. 2013-166, and the adjoining property owners will be given notice as well.
The Development Review Division has reviewed this petition and found no reason for objection.
FISCAL IMPACT: The application fee of $2,000.00 covers staff review and processing. The
applicant is also responsible for advertising fees.
GROWTH MANAGEMENT IMPACT: There is no growth management plan impact associated
with this executive summary.
LEGAL CONSIDERATIONS: This item has been approved as to form and legality, and requires a
majority vote for Board approval.—SAS

consider disclaiming,renouncing and vacating the County's interest in the above described right-

ARTICLE I
The name of the corporation is "THE VILLAGE OF NAPLES BAY HOMEOWNERS'
ASSOCIATION, INC."a not-for-profit corporation (the"Village"or the "Association").
ARTICLE II
PRINCIPAL OFFICE: The principal office of the corporation is located at 2055 Trade
Center Way, Naples, FL 34109.
ARTICLE III
PURPOSE AND POWERS: The Association will not permit pecuniary gain or profit and
will make no distribution of its income to its members, officers or directors. This is a
corporation not-for-profit organized on a non-stock basis for the purpose of establishing
a residential neighborhood homeowners' association that will, subject to a Declaration
of Covenants, Conditions, and Restrictions to be recorded in the Public Records of
Collier County, Florida, (the "Declaration') have the powers described herein. The
Association will have all 'of the common law and statutory powers of a Florida
corporation not-for-profit consistent with these.Artictes and with the Declaration; and
will have all of the powers and authority reasonably necessary or appropriate to the
operation and regulation of a residential neighborhood, subject to the Declaration, as it
may from time to time be amended, Including but not limited to the power to:
A. Fix, levy, collect, and enforce payment by an lawful means all charges or
assessments levied pursuant to the Declaration, to pay all expenses in
connection therewith and all office and other expenses incident to the
conduct of the business of the Association, including all license fees,

E. Dedicate, sell, or transfer all or any part of the Neighborhood Common
Areas to any public agency, authority, or utility for such purposes and
subject to such conditions as may be agreed to by the members.
F. Purchase policies of insurance upon the Properties and use the proceeds
from such policies to effectuate its purposes.
G. Participate in mergers and consolidations with other non-profit
corporations organized for the same or similar purposes, or to annex
additional property and common areas, provided that merger,
consolidation, or annexation must have the consent of at least two-thirds
(2l3rds) of the voting interests of the Association.
H. Assist, and work cooperatively with, any property management company
or similar entity hired by the Association in the administration and
enforcement of the Declaration, as amended from time to time.

C. The business of the Association is to be conducted by the Initial Directors
designated herein, and the subsequent directors, elected as provided for
in the Bylaws. The officers, other than the initial Officers designated
herein, will be elected by the Board of Directors at its first meeting
following the annual meeting of the members of the Association and serve
thereafter at the pleasure of the Board.

INDEMNIFICATION: To the fullest extent permitted by Florida law, the Associa tionNRi :T!
indemnify and hold harmless every Director and every officer of the Association agatt ' t —'
all expenses and liabilities, including attorneys fees, actually and reasonably incf'red y
or imposed on him/her in connection with any legal proceeding (or settlement atzipp
of such proceeding) to which he/she may be a party because of his/her being &IT:saving

not be available if a judgment or other final adjudication establishes that his/her actions
or omissions to act were material to the cause adjudicated and involved:
A. Willful misconduct or a conscious disregard for the best interests of the
Association, in a proceeding by or in the right of the Association to procure
a judgment in its favor.
B. A violation of criminal law, unless the Director or officer had no reasonable
cause to believe his action was unlawful or had reasonable cause to
believe his action was lawful.
C. A transaction from which the Director or officer derived an improper
personal benefit.
D. Recklessness, or an act or omission that was committed in bad faith or
with malicious purpose or in a manner exhibiting wanton and willful
disregard for human rights, safety, or property, in an action by or in the
right of someone other than the association or a member.
E. Wrongful conduct by Directors or officers appointed by the Developer, in a
proceeding brought by or on behalf of the Association.
In the event of a settlement, the right to indemnification will not apply unless a majority
of the disinterested Directors approves the settlement as being in the best interest of the
Association. The foregoing rights of indemnification are in addition to, and not exclusive
of, all other rights to which a Director or officer may be entitled.
