EXECUTIVE SUMMARY
Recommendation to approve the First Amendment to Interlocal Agreement between the District
School Board of Collier County, and Collier County, to extend the deadline for a traffic study for
Elementary School L within Collier County.
OBJECTIVE: To obtain Board of County Commissioners (Board) approval of an Amendment
to Interlocal Agreement (Amendment) between the District School Board of Collier County
(District) and Collier County (County). The purpose of the Amendment is to extend the
deadline for a traffic study for Elementary School L.
CONSIDERATIONS: The Interlocal Agreement for Elementary Schools K, J, G & L —
Transportation Improvements was approved by the County on September 11, 2007 and recorded
at Official Records Book 4281,Page 1271, of the Public Records of Collier County.
The original agreement stated that a traffic study for Elementary School L (located on
Immokalee Road near Moulder Drive) was to be completed by December 31, 2014. To date the
school has not been constructed and the District doesn't anticipate the school being constructed
within the next five years. The Amendment requests that the deadline for the traffic study be
extended.
The amended language is as follows: The first sentence of Section 1 of the Agreement is deleted
in its entirety and replaced with the following sentence: "Within three (3) years from the date
that Elementary L is opened, or if requested earlier by the County in writing, the District shall
conduct a traffic study, analyzing transportation and traffic impacts created by Elementary L."
The three remaining schools have been constructed and there are no other changes to the original
agreement requested.
FISCAL IMPACT: There is no fiscal impact related to this request. The County will not be
required to fund the study or improvements identified by the study. The County has reserved the
right to add additional improvements in coordination with what is required by the District and
may expend resources in the future to cooperate with the District to secure easements for
pedestrian facilities.
GROWTH MANAGEMENT: This Agreement is consistent with the Growth Management
Plan.
LEGAL CONSIDERATIONS: This agreement was prepared by the School District and is
approved as to form and legality. A majority vote is needed for Board approval. - HFAC
RECOMMENDATION: That the Board of County Commissioners approves the Amendment
to the Interlocal Agreement. and authorizes the Chairman to execute the Agreement on behalf of
the County.

FIRST AMENDMENT TO INTERLOCAL AGREEMENT
Elementary Schools K, J, G & L—County Transportation Improvements
This First Amendment to Interlocal Agreement ("Amendment") dated this day of
, 2015 is by and between the District School Board of Collier County,
Florida (the "District") and Collier County, a political subdivision of the State of Florida
(the "County").
Recitals
WHEREAS, the District and the County entered into that certain Interlocal Agreement
dated September 11, 2007 and recorded as document number 4071583, OR: 4281 PG:
1271-1280 in the Official Records of Collier County, Florida (the"Agreement");
WHEREAS, in accordance with the terms and conditions of Section 1 of the Agreement,
the District is required conduct a traffic study analyzing the transportation and traffic
impacts created by Elementary L on or before December 31, 2014 (the "Traffic Study");
WHEREAS, the District postponed the construction of Elementary L beyond the
December 31, 2014 deadline for the Traffic Study; and
WHEREAS, the parties desire to amend Section 1 of the Agreement in order to extend
the deadline for the Traffic Study.
NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of which
is hereby mutually acknowledged, the parties herby amend the Agreement as follows:
1. Extension of Deadline for Traffic Study. The first sentence of Section 1 of the
Agreement is deleted in its entirety and replaced with the following sentence:
"Within three (3) years from the date that Elementary L is opened, or if requested
earlier by the County in writing, the District shall conduct a traffic study,
analyzing transportation and traffic impacts created by Elementary L."
2. Force and Effect of Agreement. Except as expressly amended herein, the
Agreement shall remain in full force and effect according to the terms and
conditions contain therein. The terms and conditions of this Amendment shall
govern in the event of a conflict between the terms and conditions of the
Agreement and this Amendment.

Recitals
WHEREAS, the District is in the process of School Board Review ("SBR") with the
County and intends to construct certain public elementary schools commonly known as:
Elementary K, site plan attached hereto as Exhibit A; Elementary J, site plan attached
hereto as Exhibit B; Elementary G, site plan attached hereto as Exhibit C; and
Elementary L, site plan attached hereto as Exhibit D (the "Schools");

I. Notice of Traffic Study for Elitnentart ..Of or before December 31, 2014, or
if requested earlier by the Coi nty-inlivfffing, the District shall conduct a traffic
study, analyzing transportation and traffic impacts created by Elementary L.
The traffic study shall be in accordance with the Florida Department of
Transportation guidelines and procedures and consistent with the Manual of
Uniform Traffic Control Devices (the "Traffic Study").
2. Mitigation of Transportation Impacts. In the event that the Traffic Study for
Elementary L indicates that traffic improvements, including the construction of an
additional driveway on Canon Boulevard and/or a traffic light directly serving
Elementary L, should be implemented in order to mitigate the transportation
impacts of the school (the "Required Improvements"), the District shall pay for
the construction of the Required Improvements in an amount up to, but not to
exceed Three Hundred Thousand Dollars ($300,000), and such payment shall
constitute full and complete mitigation of all the traffic impacts arising from the
construction of Elementary L. If the Traffic Study demonstrates the need for the
Canon Boulevard driveway project, it shall be constructed in accordance with

driveway standards and be approximately 26 feet wide (the "Canon Driveway").
The District, however, shall not be responsible or liable in any way for securing,
establishing or acquiring any property rights whatsoever that shall be necessary to
construct the Canon Driveway. As a condition precedent to the obligation of the
District to construct the Canon Driveway, all necessary public right-of-way (or
easement rights) must be secured, established or acquired by the County so that
the Canon Driveway may be constructed as contemplated by the parties. If the
County has not legally established the necessary public right-of-way or easement
rightsto construct the Canon Driveway within three years of the Traffic Study
determining the need for the project, any and all contractual obligations related to
the Canon Driveway shall automatically terminated and become null and void. If
the County wishes to modify the Required Improvements to exceed what is
warranted by the District impacts, the County reserves the right to enter into a
cost sharing agreement with the District to construct additional improvements at
no additional cost to the District. The District shall be responsible for the
maintenance of the improvements made to Moulder Drive that are adjacent to the
District's property (and also —maintenance of the Canon Driveway, if

along Westclox Road'freriihh e E1et i azyAK school site to Carson Road (the
"Westclox Sidewalk"). The Westetox Sidewalk project shall: (a) be designed,
managed and permitted by the District (however, the District and the County
shall make a joint SFWMD permit application); (b) consist of a 5 foot-wide
pedestrian pathway with a thickness of 4 inches (except at driveway
connections, which shall be 6 inches thick); and (c) have swale drainage
located along the side of the sidewalk and within the publicly maintained
right-of-way or easements and generally designed in accordance with the
proposed sidewalk typical section attached hereto as Exhibit E. The District
shall be solely responsible for paying for all of the costs of designing,
permitting and constructing the Westclox Sidewalk. The District, however,
shall not be responsible or liable in any way for securing, establishing or
acquiring any property rights whatsoever that shall be necessary to construct
the Westclox Sidewalk. As a condition precedent to the obligation of the
District to design, permit, manage and construct the Westclox Sidewalk, all
necessary public right-of-way or easements must be secured, established or
acquired by the County so that the Westclox Sidewalk may be constructed as

contemplated by the parties. Once the County has legally established the
necessary public right-of-way or easements to construct the Westclox
Sidewalk, the parties shall begin to diligent pursue the permitting and
construction process. If the County has not legally established the necessary
public right-of-way or easements to construct the Westclox Sidewalk within
three years of the date of this Agreement, any and all contractual obligations
related to the Wesclox Sidewalk shall automatically terminated and become
null and void. In exchange for the District agreeing to finance the
construction of the Westclox Sidewalk in accordance with the terms and
conditions of this Agreement, the County shall (1) eliminate the requirement
to construct a turn lane for Elementary G, as required in the Golden Gate
Commerce PUD document and (2) regard both Elementary K and Elementary
G as fully mitigated (and shall provide SBR approval) with respect to all
transportation and traffic related impacts. In the event that the County is
unable to obtain the right-of-way or easements within three years and the
District's Westclox Sidewalk obligation become null and void, the District
shall pay its proportionates traf'ic related impacts for Elementary G as
determined by a Traffi-OOttleidro_Qzr4that, such amount shall not exceed

5. Miscellaneous. This Agreement shall be governed by and constructed under
the laws of the State of Florida. In the event any litigation is instituted by way
of construction or enforcement of this Agreement, the party prevailing in said
litigation shall be entitled to collect and recover from the opposite party all
court costs and other expenses including reasonable attorney's fees. In no
event shall the District be liable to the County for an amount greater in value
than the sum of the following: $300,000 cash payment and the Traffic Study
for Elementary L traffic impacts, the financing of the Westclox Sidewalk
project (or the cash payment of $250,000, if the Westclox Sidewalk is not
built); the design and construction of turn lanes for Elementary K; the
conveyance of ROW Parcel to County and the construction of all of the traffic
related improvements (e.g. turn lanes) as shown on the site plan for
Elementary J, and such performance on behalf of the District shall constitute

full and complete performance by the District under the terms of this
Agreement. The parties hereby acknowledge and agree that this Agreement
sets forth any and all required payments, conveyances, improvements,
liabilities and obligations of any kind that are necessary to obtain a SBR
approval for the Schools regarding traffic related comments and impacts.
