EXECUTIVE SUMMARY
Recommendation to renew and approve the annual Agreement between Economic Incubators,
Inc. and the Board of County Commissioners in continued support of the established public-
private partnership designed to advance the County’s economic development efforts.
OBJECTIVE: That the Board of County Commissioners (Board) approve the Fiscal Year 2018
Agreement between Collier County, Florida and Economic Incubators, Inc. (“EII”).
CONSIDERATIONS: On September 10, 2013, Agenda Item 11.C, the Board approved the Office of
Business & Economic Development’s FY14 Business Plan including a goal of developing a Business
Accelerator Project. Policy direction from the November 26, 2013 and December 10, 2013 Board
meetings culminated in the May 13, 2014 approval of the Collier County Innovation Accelerator
Business Plan including authorizing its implementation. On November 18, 2014, Agenda Item 11.C,
the Board approved the first agreement between the County and EII designating EII as the
Administrative Entity for the Collier County Soft Landing Accelerator Development Strategy.
This Agreement continues operational funding support for the established Naples Accelerator and adds
the next phase of the Collier County Innovation Accelerator Business Plan which is the Florida Culinary
Accelerator @ Immokalee. The Florida Culinary Accelerator @ Immokalee will offer an agribusiness
focused culinary food accelerator equipped with commercial kitchen equipment, food product
development and testing equipment. A highly valuable function of the Florida Culinary Accelerator @
Immokalee is the dedication of laboratory space for the University of Florida staffed and operated food
science research, development and testing facility.
Collier County’s approach to economic diversification seeks to leverage public private partnerships with
specialized missions for new business attraction, retention of valued existing businesses and acceleration
of new local business startups and direct foreign investment designed to strengthen our economy through
new capital investment and high wage employment opportunities. Collier County has become a great
place for startup companies to innovate and thrive. The Accelerator project has become a core economic
diversification asset that provides a high-quality work environment, equipped with 21st century tools for
citizens to meet, receive mentoring, and build a business. The contract provides for performance metrics
for job creation, capital expenditures and venture investment along with detailed financial and activity
reporting.
FISCAL IMPACT: This Agreement provides County funding of up to Eight Hundred Thousand
Dollars ($800,000) for reimbursement of personnel, minor capital and operating expenses for both
facilities in FY 18. A previously Board approved office space rental agreement for the Naples
Accelerator is included in the $800,000 budget appropriation. Sufficient budget is appropriated in
Economic Development Fund (007) to support this agreement in furtherance of the Collier County
Innovation Accelerator Business Plan.
GROWTH MANAGEMENT IMPACT: This request is consistent with Objective 3 of the Economic
Element of the Collier County Growth Management Plan which states: “Collier County will support
programs which are designed to promote and encourage the recruitment of new industry as well as the
expansion and retention of existing industries in order to diversify the County’s economic base.”

The Florida Culinary Accelerator @ Immokalee has been a part of the business plan since
the inception. However, it was only recently constructed because legislative funding for it
was not obtained until 2016. EII and the county staff have carried out the activities of the
Accelerator program with the support of the Board of County Commissioners and County
administration.
We look forward to the opportunity to discuss the renewal of the EII contract with the
county for FY 2017-18 on November 14.

Opportunity
Economic Incubators Inc., is a private non-profit 501(c)(3) focused on supporting
business entrepreneurship in Collier County with a public purpose. The EII current
eleven member Board is composed of local business leaders supported by three
professional staff, and a host of committed volunteers. EII has sought to fill a gap in the
Collier economic development landscape by creating “soft-landing” business
accelerators that recruit, support, and develop both local and non-local innovation
entrepreneurs, offering affordable work space, and a range of business services. In
doing so, the goal is to play a key role in diversifying the Collier County economic
landscape by creating innovative 21st business opportunities and support services for
our citizens and their children.
Toward that end, EII has received in partnership with Collier County, state and federal
grant dollars to build two business Accelerators: one in Naples that focuses on
companies innovating in technology related business services and products, and one in
Immokalee devoted to culinary products and services, as well as a local micro-market in
Naples called Woodstock’s, that enables entrepreneurs direct access to a dynamic SWFL
food market-place.
Collier County has played an instrumental role in the creation and development of EII
and its accelerator model through business model development, its hosted beginning
partnership with CareerSource SWFL, its supportive operational funding, and
integrated and joint partnership in state and federal grant opportunities.
The Naples Accelerator
The Naples Accelerator has several components: it is a business accelerator, and
provides for international soft-landing, and supports companies looking for technology
and creative co-working spaces. It operates in 10,000 sq. ft. at 3510 Kraft Rd. Suite 200,
under an agreement with Collier County. It currently provides office space for 37
companies for a monthly fee, with companies tailoring their use of the accelerator space
from simple co-working space needs to a double suite or those with larger operations
and staff.
Fee paying members of the Accelerator can select from plans that provide business
support based on membership level. The Accelerator offers basic legal, marketing,
finance, and administrative support, and mentored guidance, assistance, and
recommendations. In addition, the Accelerator hosts a wide range of meetings and
activities where members enjoy networking, venture funding and further mentoring

opportunities from the exceptional wealth of knowledge and experience from Collier
County residents.
The Florida Culinary Accelerator @ Immokalee
The Florida Culinary Accelerator @ Immokalee builds successful innovative food
businesses. It’s goal is to provide a provide a one-stop opportunity for culinary
entrepreneurs looking to develop or grow their culinary product or service.
The Accelerator has negotiated a lease for space at the Immokalee Airport technology
park with Collier County of approximately 5000 sq. ft. plus adjoining fenced yard. In
anticipation of the approval of this lease, EII has invested $1,200,000 from a State FY
grant as well as partnered with Collier County on a USDA equipment grant by
providing $122,000 in match.
A staff of 3 FTE professionals are planned to be hired to manage day to day operations,
ensure regulatory compliance and safety, maintenance and cleanliness of equipment
and stations, and support of distribution, catering, and Woodstock’s order fulfillment
(please see job descriptions attached to this plan). They will be assisted in the business
support operations through staff from The Naples Accelerator and a cadre of volunteer
professionals.
In addition to a modern business services office where member companies get access to
the full-line of services offered at The Naples Accelerator, the facility generates fee
revenue through the provision of both culinary space and services. This includes the
following:
A. Culinary Production & Manufacturing
State-of-the art culinary equipment and works spaces divided into different work
stations and areas, all of which can be rented through an on-line reservation system by
the hour, day, week, or month:
1. The “cold-process” station is designated for the preparation and processing of
produce which is widely grown in the surrounding Immokalee area which
includes post harvesting preparation, cleaning, peeling, batch drying, and size
reduction.
2. A “cold assembly” station allows for limited packaging of refrigerated, frozen
or ambient products, with sealing, labeling and shrink wrapping equipment.

3. A “hot process” station that provides for a range of capabilities including
blanching, steaming, cooking, roasting, baking, and smoking.
4. A “dry process or bakery” station that allows for the production of fruit pies,
breads, cookies, and other baked goods, as well as seasoning blends, vegetables,
and herbs.
5. A rentable cold storage is also provided through a large walk-in and divided
refrigerator, and walk-in freezer which allows users flexibility in handling raw
and finished product.
6. A fee based food sciences laboratory staffed by the University of Florida IFAS,
that can provide food testing, FDA labeling, and consulting.
The engineering of the facility into a variety of stations with separate temperature
controls allows for great flexibility in terms of “plug and play” of equipment and uses.
Expectations are to enhance initial capabilities, by acquiring additional manufacturing
and processing equipment as budget and demand allow.
EII remains highly interested in providing high pressure processing (HPP) technology
to the Immokalee and SWFL region. HPP technology has proven to be a successful and
attractive alternative to food producers seeking to enhance the quality of the product,
especially in area fruit and vegetable product categories where Florida has numerous
growing advantages. EII staff will continue to explore state, federal, and private grant
opportunities for acquiring the finances necessary to acquire and house this technology.
In addition, staff will explore the potential for rental of this equipment so demand can
be further measured.
B. Woodstock’s Micro Market
Woodstock’s micro market serves as an retail outlet for member companies of the
Naples Accelerator and The Florida Culinary Accelerator @ Immokalee. It allows
culinary entrepreneurs direct access to innovative retail spaces, allowing them to gather
experience and consumer data and feedback so critical to gaining access to a wider
retail market. At the same time, it deploys state of the art technology, and provides for
a test lab for future retail shopping innovations. It operates from 200 sq. ft. of leased
space directly below The Naples Accelerator at 3510 Kraft. Rd.

C. Culinary Product Distribution
Distribution support is a key service required by start-up entrepreneurs as they seek to
enter or build their market share and brand recognition. By providing a fee based
coordination of distribution activities from post-production to fulfillment, we will be
able to provide companies with streamlined efficiencies in the distribution process,
allowing companies to focus on what they do best - create profitable culinary products.
The UF Food laboratory will also be utilized to provide extensive specialized analysis of
culinary products and packaging, as shelf-life studies are critical to a successful
distribution experience.
D. Catering, Prepared Meals, Food Trucks
The Culinary Accelerator will assist for a fee, member companies with catering,
prepared meals and mobile food truck opportunities throughout the region, by
providing them with important resources to start and grow these equipment and
technology intensive businesses. By using a unified online reservation system and
interface, assistance with information technology, equipment rental, and assistance in
negotiating agreements with local organizations, The Florida Culinary Accelerator @
Immokalee can reduce the barriers for entry for entrepreneurs into these stable and
profitable business sectors.
E. Workforce & Continuing Education
Workforce and continuing education is a key aspect of the rapidly changing culinary
field, from new discoveries in innovations in food and health sciences, the introduction
of new technologies and techniques in both processing, packaging, marketing, and
delivery of food, to an ever-changing regulatory environment at the local, state, and
federal levels.
EII will provide partnerships with our local and regional educational institutions, as
well as a core group of experienced volunteer professionals and community
organizations. Fee based seminars, culinary master classes, and cooking and vendor
demonstrations will take place at The Florida Culinary Accelerator @ Immokalee. These
educational tools will make the Accelerator a focal point for food innovation and
provide the needed resources for food entrepreneurs to achieve success.
Additionally, numerous state and federal grants in the workforce and continuing
education area currently exist especially in terms of meeting the increasing demands

and needs of Florida’s food-service industry. EII will work along with CareerSource
SWFL and established educational providers to apply for these awards.
Competitive Analysis
A review of the SWFL region shows that in the case of the Naples Accelerator and The
Florida Culinary Accelerator @ Immokalee, both are uniquely well positioned with a
range of business support services not offered by others in the area whose focus is
primarily on Class A office space rental and not business start-up or acceleration
services.

Naples is deservedly noted for fine restaurants with many ethnic choices. However, the
emerging micro market self help/grab and go sector in the area is weak to nonexistent.
Through a planned “Made in Immokalee” campaign that will provide a branding label
on food products both at the market and those developed and manufactured at The
Florida Culinary Accelerator @ Immokalee facility, these efforts will support a strong

All of the comparative local businesses that we found in our review, are private for
profit shared office space or business incubators. Thus, they are an entirely different
business model with their primary goal being profit and capital gain for their
owners/investors rather than more publicly held goals of serving the citizens of the
region, education, training, mentoring and diversifying the Collier County economy.
Pricing on rentals of office space is comparable across all models, with low rates starting
at the $100 per month level and moving progressively higher based on the size of space
and a la carte provision of renting space (e.g., conference room) or use of equipment
such as printers, laptops, computers, or display/projectors/video walls.
None of the above models provide such an array of business support services as The
Naples Accelerator, none provide as broad-based connection to soft-landing services,
and none bring the depth of business and local experience as does the Naples
Accelerator board members and volunteers, and none are recognized for bringing an
array of international companies and global business organizations.

Our clear conclusion, is that the Naples Accelerator is uniquely positioned in the SWFL
market with opportunities for continual growth over the next several years.
The Florida Culinary Accelerator @ Immokalee
Economic Incubators, Inc. (EII) works with food entrepreneurs and agribusiness to
accelerate their growth in Collier County, through the provision of infrastruction
(infrastructure + instruction) and critical business support services and expertise. EII
seeks to grow locally and regional culinary start ups into national and global brands
through its range of services and mentored support.
It is clear that there is a paucity of competitors in the SWFL region to the Culinary
Accelerator @ Immokalee model, especially in the eastern region of Collier County
where there are currently none in existence.
The recognition of the need for greater culinary assets to support the agriculture and
tourism sectors are key rationales for the support shown in recent years by the State of
Florida, the United States Department of Agriculture, and the United States Department
of Economic Development Administration to grant proposals initiated through a
partnership of Collier County government and EII.
Indeed, the eastern part of Collier County, along with Hendry and Glades County were
named by the U.S. Federal government as one of only 4 “Promise Zones” in the U.S. in
dramatic recognition of the lack of resources and infrastructure in these areas.
Woodstock's Micro Market
The concept of buying meals within a facility other than a traditional restaurant or fast
food facility has been evolving for many years. Progressive convenience stores have
partnered with franchise fast feeders for many years. Even more progressive c-store
companies have created their own private branding, with sit-down eating facilities to
accompany their made to order or grab and go offerings. Walmart shoppers are used to
seeing McDonalds or Burger Kings within those big box stores. The convenience factor
continues to drive the food retail space.
Grab and go foodservice has become very accomplished in the convenience industry,
especially paired with mobile technology applications, as has home delivery of custom
ordered meals. As BlueZone, Healthcare Network of Southwest Florida, and local
school districts draw greater linkages between health, nutrition and the food we eat, the

growth in this emerging market can be great especially given the wide range of fruits
and vegetables that are grown by the Collier agricultural sector.
Woodstock’s Market paired with the Culinary Accelerator @ Immokalee will offer the
fine quality food Naples residents expect in a quick-serve format without long travel
times and waiting in line. Woodstock’s is unique in the area, and was awarded the first
license of its kind in the State of Florida (per Carl Holzworth, Division of Food Safety,
Florida Department of Agriculture and Consumer Services).

Naples Accelerator
The Naples Accelerator has successfully utilized a wide range of marketing tools and
approaches over the past several years. This includes the development of web pages,
the heavy use of social media and related online advertising tools, widely distributed
printed materials, participation in local and national business events and conferences,
word-of-mouth from EII Board members, and supportive coverage from regional and
local news agencies. Data support and analysis from communication professionals
from Collier County government has been superb.
All of the previously utilized strategies will be continued, with greater synergy across
audiences achieved with the opening of The Florida Culinary Accelerator @ Immokalee.
The Florida Culinary Accelerator @ Immokalee
The success the Naples Accelerator has had in recruiting companies will be continued
and expanded with The Florida Culinary Accelerator @ Immokalee. Given staff size, all
EII staff members are expected to play a daily role in the marketing of the facilities as
brand ambassadors. This includes playing a role in the development of web pages,
social media, traditional marketing materials, and participation in regional and local
networking events. Utilization of the broad based and institutionalized agricultural
industry located in the eastern sector of Collier County, along with the prestige and
visibility of the University of Florida faculty and staff will also greatly benefit marketing
efforts.

In addition to marketing itself as premium convenience alternative to fast food
restaurants or time-consuming sit-downs, Woodstock’s Market will have the added
advantage of being the prime supplier of locally crafted quality food items from The
Florida Culinary Accelerator @ Immokalee.
In an age where community involvement by local businesses has become almost a
requirement to attract younger shoppers and those who are actively community-aware
with their purchasing power, Woodstock’s support of local entrepreneurs from
Immokalee will be an important marketing tool, in addition to supplying quality
foodservice items that will not be available at other quick-serve alternatives.
A key marketing strategy of a Woodstock’s Market will be reaching out to those in
surrounding offices and businesses. This will be done by frequent sampling, bringing
gift platters of prepared food to nearby offices and also posting menus within them.

EII Board
The 11 member EII Board plays the critical management oversight and control role for
the organization. The Board meets quarterly, with an Executive Committee composed
of a Chair, Vice-Chair, Treasurer, and Secretary. The Board has created three
committees for the FY17-18 year: Finance; Fund-Raising; Planning. The Board of
Directors shall be comprised of no more than fifteen directors.

FINANCIAL DETAIL
The financial drivers for EII derives from the following:
(1) Fee income generated by The Naples Accelerator, and the various services of The
Florida Culinary Accelerator @ Immokalee. Since inception, the Naples Accelerator has
served 68 companies, 37 of who are currently active members. Summary descriptions for
many of these companies are provided in a separate binder to this plan.
Fee Income Revenue Drivers:
A. Demand for co-working and private office space continues to be strong in
the SWFL market. The demand for co-working space especially from the
millennial generation is very high and a preferred work environment.
B. Interest in business plan development, venture fund coaching, technology
support is especially high.
C. As more innovation companies move into the area, the interest in
venture/angel funding continues to grow.
(2) Collier County financial support as detailed in the FY17-18 Collier County - EII contract.
The FY17-18 Collier County contract supports an increase in County funding from
$505,000 to $800,000 to support the first-year initial opening and operation of The
Florida Culinary Accelerator @ Immokalee. In future years, it is expected that a
reduction of $250,000 in financial support will occur in FY 18-19, with reductions in
future years also expected as the both Accelerators gain self-sufficiency.
(3) Private fund-raising, corporate gifts, and in-kind donations.
The EII Board and staff is attuned to the need to replace governmental funds in the next
several years through both increases in business income and greater private fund-raising
activities (private hosted dinners; naming gifts; scholarship funds). The EII Board has
charged both its Planning Committee Chaired by Mr. Richard Grant and its Fund-Raising
Committee Chaired by Mr. Steven Wheeler with further development of a program plan
for enhancing income, and for a major fund-raising campaign in the coming year.
Important roles in the campaign will also be played by Executive Board members Mr.
Fred Pezeshkan and JP Garnier.

• Excelerate Technology, which joined the Naples
Accelerator last year, is a fraud- detection software
company started by Barb Steinberg of East Naples.
Steinberg also operated Medicaid Assistants, another
Naples Accelerator business. Excelerate Technology's
software enables investigators to find fraud in banking
and other statements in minutes, instead of hours and
days. Customers, so far, are: Collier County Sheriff's
Office, the Sarasota County Sheriff's Office, the
Multnomah County, Ore., Sheriff's Office, the North

AGREEMENT BETWEEN COLLIER COUNTY, FLORIDA
AND
ECONOMIC INCUBATORS, INC.
This AGREEMENT is made and entered into as of this l4th of November, 2017, by and between
Collier County, a political subdivision of the State of Florida (the "COLJNTF'or "Fiscal Agent") and
Economic Incubators, Inc. ("EII" or "Administrative Entity"), a Florida not-for-profit corporation.
WITNESSETH
WHEREAS, on September 10, 2013, Agenda Item I 1.C, the Board of County Commissioners
('BCC) approved the Office of Business & Economic Development's FYl4 Business Plan, which
included a goal of developing a Business Accelerator program. Policy direction from the November
26,2013, and December 10,2013, BCC meetings culminated in the May 13,2014, approval ofthe
Collier County Innovation Accelerator Business Plan, including authorizing its implementation;
WHEREAS, on Novembr I 8, 20 I 4, Agenda Item I LC, the BCC approved an agreement between
COIINTY and EII, designating EII as the Administrative Entity for the Collier County soft landing and
Immokalee culinary accelerator development stategy identified in the Collier County Innovation
Accelerator Business Plan ("Accelerator Project"), and maintained the successful public private
partnership for fiscal years 2015, 2016, and 2017 (the "Agreement");
WHEREAS, the COUNTY recognizes the advantages of having a not-for-profit entity to
administer the Collier Soft Landing Accelerator Development Strategy, including, but not limited
to, the Naples Accelerator and Florida Culinary Accelerator @ Immokalee (hereinafter referred to
as the "Project"), and the COLINTY finds it is in its best interests to engage EII as the Administrative
Entity pursuant to the terms and conditions set forth below, as EII is an independent not-for-profit
corporation;
WHEREAS, EII will strive to achieve the core objectives and to support the goals and
objectives identified in the Collier County Innovation Accelerators Business Plan;
WHEREAS, the COLINTY has determined that it is in the best interests of Collier County to
continue to support the Accelerator Project efforts that support and further the goals and objectives
identified in the County's Business and Economic Development Business Plan;
WHEREAS, the parties wish to enter into this Agreement to continue the COUNTY's
continued support and funding of the Accelerator Project beginning October 1, 2017, through
September 30,2018, for fiscal year 2018;
WHEREAS, the CO[INTY enjoys broad Home Rule Powers, which include the authority to
enter into agreements to enhance economic development within Collier County;
WHEREAS, Section 125.045, Florida Statutes (County economic development powers)
provides, in part, as follows:

"(1) The Legislature finds and declares that this state faces increasing competition
from other states and other countries for the location and retention of private
enterprises within its borders. Furthermore, the Legislature finds that there is a need
to enhance and expand economic activity in the counties of this state by attracting
and retaining manufacturing development, business enterprise management, and
other activities conducive to economic promotion, in order to provide a stronger,
more balanced, and stable economy in the state; to enhance and preserve purchasing
power and employment opportunities for the residents of this state; and to improve
the welfare and competitive position ofthe state. The Legislature declares that it is
necessary and in the public interest to facilitate the growth and creation of business
enterprises in the counties ofthe state.
(2) The goveming body ofa county may expend public funds to attract and retain
business enterprises, and the use of public funds toward the achievement of such
economic development goals constitutes a public purpose. The provisions of this
chapter which confer powers and duties on the goveming body ofa county, including
any powers not specifically prohibited by law which can be exercised by the
goveming body of a county, must be liberally construed in order to effectively cany
out the purposes of this section.
(3) For the purposes of this section, it constitutes a public purpose to expend public
funds for economic development activities, including, but not limited to, developing
or improving local infrastructure, issuing bonds to finance or refinance the cost of
capital projects for industrial or manufacturing plants, leasing or conveying real
property, and making grants to private enterprises for the expansion of businesses
existing in the community or the attraction of new businesses to the community,,; and
WHEREAS, the COLS{TY has adopted an Accelerator Project with the specific purpose of
diversifuing the economy and enhancing the employment opportunities and careers of Collier
County citizens.
NOW, TIIEREFORE, in consideration of the mutual covenants, promises and representations
contained herein, and other good and valuable consideration, the COLINTY and EII agree as follows.
ARTICLEI
SCOPE OF SERVICES
AND
ROLES AND RESPONSIBILITIES
EII shall administer the Accelerator Project by performing the roles and
responsibilities described in Exhibit "G" and providing the services and activities described in Exhibit
"A," Scope of Services. Both Exhibits A and G are attached hereto and by reference made a part hereof.
The matrix in Exhibit A guides COUNTY staff s ability to authorize payment for measurable
services performed by EII.
Exhibit *G," which is incorporated herein by this reference, defines the broader
COUNTY economic development relationship with EII, which will be reviewed and monitored
by COUNTY staff. Exhibit H, which is incorporated herein by this reference, defines the roles

and responsibilities ofthe Fiscal Agent.
ARTICLE II
TERM OF AGREEMENT
This Agreement shall be effective upon execution by both parties and shall cover services
provided from October l, 2017, until September 30, 2018, unless otherwise terminated in accordance
with this Agreement or extended by mutual written Agreement of the parties.
ARTICLE III
CONSIDERATION AND LIMTATION
For its performance of the Deliverables in Exhibit A of this Agreement, EII will receive funds
from the COLINTY in the amount of Eight Hundred Thousand Doltars ($800,000).
ARTICLE IV
PAYMENT AND REPORTING REOUIREMENTS
It is intended that the "Personnel Costs," as delineated on Exhibit Bl, are to be
construed to ensure maintenance of staffing requirements to include, payment for leased
employees and independent contractors. Funding shall also include salaries, hourly wages,
holiday pay, vacation and paid time off, dental, vision and health benefits, payroll taxes,
cell-phone service allowance up to fifty dollars, Worker's Compensation coverage,
matching 401K contributions up to 57o, service fees associated with third-party payroll
service providers and employment agencies shall be on a cost-reimbursement methodolory
for actual eligible expenditures.
EII shall have up to a 90-day grace period in the event ofan employee's separation to re-hire
and fill such positions. Upon EII's written request the County Manager may change job titles and
compensation, not to exceed 10 percent per position to fill vacant positions, and report said action
to the Board.
Rent, as delineated on Exhibit B I , for 3 5 l0 Kraft Road, Suite 200, Naples, FL 34105,
shall be paid directly by the County.
Equipment and facility, as delineated on Exhibit Bl, may include, but are not limited
to, culinary utensils, equipment, pots, pans, kitchen items, materials, office fumiture,
technology, labels and printers, lab equipment and items used in the laboratory, automated
entry system, software, signage and facility improvements at the Florida Culinary Accelerator
@ Immokalee.
Actual expenditures eligible as a basis for reimbursement can and shall include
Personnel Costs for EII personnel performing services described in Exhibit "A," rent for
3510 Kraft Road, Suite 200, Naples, FL 34105, and equipment and facility expenses. EII
shall be entitled to compensation upon BCC approval of the Agreement, distributed as
requests for reimbursement are submitted for reimbursement of eligible expenses approved

by the County, beginning October l, 2Ol7 .
All payment requests shall be submitted in accordance with COUNTY procedures and in a
form acceptable to the COIINTY and EII, as generally outlined in Exhibit ..8,,' Method of payment
and Budget Detail for Services, and Exhibit "c," Program Performance Report, attached hereto
and by reference made apart hereof. All payment requests by EII to the COUNTY shall be submitted
with a completed Program Performance Report, Exhibit C, and Exhibit ,.D,, payment Record Chart in a
form acceptable to the COUNTY and EII, as generally outlined and set forth in Exhibit "C," attached
hereto and by reference made a part hereof.
Payments to EII will be made as soon as possible, but in all circumstances within
forty-five (45) days ofrequests, in compliance with the Florida Prompt Payment Act. Ifthe CO[INTY
determines through its inspection or review that EII has performed, or is performing less than the
total agreed upon services, then the COLINTY shall notifr EII in writing speciffing those services
that it alleges have not been performed or fully performed and EII shall have thirty (30) days from
receipt thereof to submit a then-current Program Performance Report, which shall address such
allegations in detail and/or shall meet with the appropriate representatives of the COLINTY to discuss
resolution thereof and cure or remedy any services not fully performed. Upon failure thereof, the
COUNTY shall be entitled to reduce payment otherwise due for such services not fully performed on
a pro-rata basis.
EII shall submit its Program Performance Reports (Exhibit C) at least monthly
and a year-end analysis, and any other required reports shall be submiued before October 15, 2018, or
earlier termination of this Agreement, or as provided otherwise elsewhere in this Agreement or Exhibits.
If EII fails to comply with the requirements of this Article, the COUNTY may refuse to honor or
be liable for payment of any late request for payment, however the County Manager or his designee
may enlarge said reporting periods or deadlines as necessary.
ARTICLE V
MAINTENANCE OF RECORDS
EII shall maintain such financial records and accounts, including invoices, purchase orders
and backup materials or documents that are reasonably deemed necessary by the Parties to assure a
proper accounting for all COTINTY funds for which the COTINTY is obligated to reimburse EII
under the terms of this Agreement.
The aforesaid records and accounts shall be made available for inspection purposes at
reasonable times and upon reasonable notice during normal business hours and as often as the
COLTNTY may deem necessary to verify reimbursements and any other financial records or matters
covered by this Agreement. At the coUNTY's request, a coUNTY representative may review the
Business Income and Private Contributions records. EII also shall provide timely and reasonable
access to EII's President/CEO at times convenient for the COUNTY for the purpose ofquestions or
explanations related to such records and accounts. EII shall retain for such inspection all of its records
and supporting documentation applicable to this Agreement for a period offive (5) State ofFlorida
fiscal years from the date of the coUNTY's Grant Agreement, SL007, with the Florida Department
of Economic Opportunity C'DEO), when an audit report is issued, or five (5) State of Florida fiscal

years after all reporting requirements are satisfied between the COUNTY and the DEO and final
payments have been received, whichever is longer. In addition, ifany litigation, claim, negotiation,
audit, or other action involving the records has been started prior to the expiration ofthe controlling
records retention period, as identified above, and the COUNTY has provided notice to EII of such
action, the records shall be retained until completion of the action and resolution of all issues that
arise from it, or until the end ofthe controlling period, as identified above, whichever is longer.
EII shall also:
1. Keep and maintain public records required by the public agency to perform the service.2. Upon request from the public agency's custodian ofpublic records, provide the public agency
with a copy of the requested records or allow the records to be inspected or copied within a
reasonable time at a cost that does not exceed the cost provided in this chapter or as otherwise
provided by law.
3. Ensure that public records that are exempt or confidential and exempt from public records
disclosure requirements are not disclosed, except as authorized by law for the duration ofthe contract
term and following completion ofthe contract if the contractor does not transfer the records to the
public agency.
Any exempt or confidential records withheld by EII in a reasonable attempt to comply with
this provision, or excluded from any other section in this Agreement purporting to require disclosure
ofsuch records, is not a breach of this agreement, unless such actions are in direct contradiction to a
written request from the COLTNTY.
4. Upon completion of the contract, transfer, at no cost, to the public agency all public records
in possession ofthe contractor or keep and maintain public records required by the public agency to
perform the service. If the contractor transfers all public records to the public agency upon
completion ofthe contract, the contractor shall destroy any duplicate public records that are exempt
or confidential and exempt from public records disclosure requirements. If the contractor keeps and
maintains public records upon completion of the contract, the contractor shall meet all applicable
requirements for retaining public records. All records stored electronically, except those exempt
from disclosure under the terms of the Section 3 of this Article V, must be provided to the public
agency upon request from the public agency's custodian of public records in a format compatible
with the information technology systems of the public agency.

ARTICLE VI
INDEMNIFICATION
To the extent allowed by Florida law, EII shall indemni$, defend, and hold COLTNTY

negligence or intentional misconduct ofEII in its activity as the Administrative Entity ofthe Project
pursuant to this Agreement. EII's undertaking pursuant to this Article does not constitute the
COUNTY's consent or waiver of sovereign immunity or consent to be sued by third parties.
To the extent allowed by Florida law, COTINTY shall indemnify, defend, and hold EII
harmless from all claims, suits, judgments or damages to the extent the same arise from the
negligence or intentional misconduct of COUNTY. COIINTY's undertaking pursuant to this Article
does not constitute waiver ofsovereign immunity or consent to be sued by third parties.
The Accelerator Project is an important catalyst for economic diversification, job creation
and capital investment in COUNTY's economic development ecosystem. However, obtaining and
providing resources to entrepreneurs creates risks for the Accelerator Project. The management of
the Acceleralor Project has been placed upon EII under this Agreement. EII's management of the
Accelerator Project's risks is an integral part of this Agreement. EII agrees to manage risks resulting
from the Accelerator Project operations through oversight, by obtaining a liability insurance policy
approved by COUNTY, and utilizing participant forms approved by the CO[-NTY, which requires
participants to assume the liability and risk related to their participation in the Accelerator Project's
facilities, equipment, resources and materials. EII shall require all participants of the Florida
Culinary Accelerator @ Immokalee to operate in accordance with all state, local and federal statutes,
regulations and food safety requirements and to indemniff the COLINTY in the same manner
provided herein above.
ARTICLE VII
TERMINATION
Termination at Will: This Agreement may be terminated at will by either party by giving
a minimum of thirty (30) days' prior written notice of such intent, speciffing the effective date
thereof to the other party.
Termination for Default: Each of the parties hereto shall give the other party written
notice of default hereunder and shall allow the defaulting party no fewer than five (5) days from
the date of receipt of such default notice to cure said default, or the minimum amount of time
as provided elsewhere in this Agreement, whichever is longer. In the event the defaulting party
fails to timely cure the default, the non-defaulting party may terminate this Agreement by
written notice to the defaulting party.
Upon termination all nonexpendable property, purchased under this Agreement using Project
Funds, shall be retumed to COLNTY. The aforesaid termination notices, as well as all other
notices required herein, shall be considered received by EII and the COLINTY if sent by certified
mail, retum receipt requested, or by ovemight personal delivery service requiring a signature

for delivery, and addressed as provided for in Article XXVIII of this Agreement.
ARTICLE VIII
EOUAL OPPORTLINITY CLAUSE
EII agrees to abide by the provisions contained in Collier County CMA #5383, as
amended.
ARTICLE IX
STATEMENT OF ASSURANCE
During the performance of this Agreement, EII assures the COUNTY that EII is in compliance
with Title MI of the 1964 Civil Rights Act, as amended, the Florida Civil Rights Act of 1992, as
amended, and the Collier County Human Rights Ordinance (Ordinance No. 00-37), in that EII does
not, on the gounds of race, color, national origin, religion, sex, age, handicap or marital status,
discriminate in any form or manner against EII's employees or applicants for employment. Further,
EII assures the COUNTY of EII's compliance with the Americans with Disabilities Act of 1990, as
amended, as applicable. EII understands and agees that this Ageement is conditioned upon the
veracity of such statements of assurance. Furthermore, EII assures the COLJNTY that it will comply
with Title M of the Civil Rights Act of 1964 when federal grant(s) is/are involved. Other applicable
Federal and State laws, Executive Orders, and regulations prohibiting discrimination as hereinabove
referenced are included by this reference thereto. This statement of assurance shall be interpreted to
include Vietnam-Era Veterans and Disabled Veterans within its protective range of applicability.
ARTICLEX
INSI]RANCE
EII shall, procure and maintain throughout the period of this Agreement on behalf of itself and
COI-JNTY, a policy of insurance that shall be approved by the COLJNTY and that is consistent with
Exhibit "E." County Manager or designee is authorized to update the insurance requirements, as needed,
and must subsequently provide a report to the BCC ofthe updates granted.
All insurance shall be obtained from responsible companies duly authorized to do business in the
State of Florida. All liability policies shall provide that the COUNTY is an additional-insured party as to
the action ofEII, its employees, agents, assigns, and subcontractors, performing or providing materials
and/or services to EII during the term of this Agleement, and also shall contain a severability of interest
provision. Every insurance policy must provide for up to thirty (30) days' prior written notice to the
COUNTY ofany cancellation, intent not to renew, or reduction in the policy coverage. EII shall provide
the COUNTY with a Certificate of Insurance that documents such coverage within thirty (30) days of
execution of the Agreement by the COLJNry.

ARTICLE XIX
ORDER OF PRECEDENCE
In the event of any conflict between the provisions of the Articles of this Agreement and
the exhibits hereto, the contents of the Articles of this Agreement shall contol over the contents
of the exhibits.

SEVEMBILITY
In the event any section, sentence, clause, or provision of this Agreement is held to be
invalid or illegal, the remainder of the Agreement shall not be affected by such invalidity or
illegality and shall remain in full force and effect.
ARTICLE X)(I
PROJECT PI.JBLICITY
Any news release pertaining to the services performed by EII pursuant to this Agreement
must recognize the contribution of the BCC as a funding source. A s a not-for-profit corporation
that receives public funding or non-monetary contributions through the COLINTY, EII shall recognize
the COLJNTY for its contribution in all promotional materials and at any event or workshop for
which COUNTY funds are allocated. In written materials, the reference to the COUNTY must
appear in the same size letters and font type as the name of any other funding sources.
In addition, any development project announcement, ceremonial business opening, or
publicity event resulting from EII's efforts, and particularly those projects induced with
COLINTY funded financial incentives or other contributions, will be planned in cooperation with
the COI-INTY's Office of Business & Economic Development and Communications Departments for
purposes of coordinating the COLr|{TY's officiat COTINTY protocol and public recognition. Prior
notification to the two departments for such events will be no less than 15 working days
whenever possible or practicable, and potential prospects will be made aware of the COLrNTy,s
publicity protocol before final inducement with any incentive packages or contributions.

BUSINESS INCOME
The Accelerator Project is expected to generate Business Income, which includes, income
from service fees, rental fees, usage fees and other miscellaneous revenue generated by the
Accelerator Project's operations. Private contributions (in-kind, cash, services, etc.) will be
excluded from Business Income. Private contributions revenue may be expended by EII for
purposes determined by EII without Board ofCounty Commissioner approval. Private contributions
and matching expenses must be maintained separately from Business Income records and may be
reviewed by the County Manager or his designee upon request. This information is considered
confidential and will not become a part of the public records documentation or County funded
records. Business income will be managed, collected, recorded, reported, and retained by EII within
the Accelerator Project. Business income is considered unrestricted funds and will be used for
program cash flow or allowable program costs as detailed in the budget and Article IV. The use of
business income will require a budget, which shall be reviewed quarterly and approved by the
Executive Committee of EII's Board of Directors, and will be approved by the County Manager or
his designee. Travel allowance or reimbursements shall be paid by EII. Rent for 170 Airpark
Blvd., #103, Immokalee, Florida 34142, shall be paid by EII. At the termination of this
Agreement, any unspent Business Income and private contributions will be retumed to the County
or EII's successor.
The establishment ofa self-sustaining organization is paramount to the relationship created
by this Agreement. During the term of this Agreement, it is the intent of the parties that COL.INTY
funding be used primarily for all expenditures reimbursable under the COTINTY's reimbursement
policies, whereas Business Income may be used or held in reserve until such time as it is required or
carried forward to the Project's next fiscal year. EII's establishment ofa Reserve Fund to meet its
future cash flow and capital requirements is authorized.
EII's Board of Directors' Executive Committee shall approve quarterly reports that account
for Business Income and private contributions or in-kind private contribution, and the minutes of
this approval will be provided to the County Manager or his designee. The monthly report on
Business Income and private contributions or in-kind private contribution shall detail EII's progress
toward the budgeted amount identified on Exhibit B1. The Fiscal Agent is authorized to seek BCC
approval of an adjusted budget, revenue and expense, in response to revenue shortfalls that are 70
percent ofthe quarterly targeted revenue budget calculated by dividing the Business Income and the
private contributions budget delineated in Exhibit Bl by 4 (fiscal-yeiu quarters).
The USDA Rural Business Development Grant ("RBDG") used to purchase equipment at the
Florida Culinary Accelerator @ Immokalee requires that a percentage ofbusiness income generated
from grant-funded equipment be used to create an equipment maintenance fund. EII agrees to
account for and segregate the percentage allocated from business income for the equipment
maintenance fund and to submit these funds to the COLINTY monthly.

Performance Criteria
EII shall only provide the supporting documentation identified herein below to
substantiate the following activities/accomplishments for reimbursement:
Deliverable l: Maintain staff which shall be comprised of a PresidenVCEO, Chief Operaring
Officer, Business Specialist, Culinary Program Manager, Administrative Support Specialist, and
Facility Maintenance Specialist, based on the FY18 Compensation detail model included with this
Agreement. Progress and completion of this deliverable will be evidenced by providing the
COLINTY with a Request for Payment Form, and Payment Record, Exhibit D which includes
payroll reports and bank transaction reports.
Deliverable 2: Administer the Project as evidenced by generating and providing the COLINTY
with a cover letter prepared monthly by EII's accountant that identifies overall positive and negative
financial conditions. EII's accountant also will provide monthly financial statements, including a
monthly and year-to-date Statement of Activity, monthly Statement of Financial Position, General
Ledger (GL), Statement of Cash Flows, aging reports for Accounts Receivable (AR), Accounts
Payable (AP), and bank statements. Monthly & Quarterly financials are to be submitted by the 30th
of the following month.
Deliverable 3: Demonstrate utilization of accelerator program assets as evidenced by providing
executed Participant User Agreements (PUAs) quarterly. The Naples Accelerator shall meet the
annual revenue target as identified in Exhibit B of $150,000, and Florida Culinary Accelerator @
Immokalee shall meet the annual revenue target as identified in Exhibit B of $50,000.
Deliverable 4: Monitor and report progress towards meeting revenue goals as evidenced by
providing a report that compares estimated revenues with actuals and an updated annual projection
to be submitted by the 30th of the following month.
Deliverable 5: Prepare and submit an updated draft business plan for the Accelerator Project. A
draft for review and comment will be provided to Fiscal Agent by December 31, 2017, with the final
updated business plan to be submitted on or before April 1 , 2018.
Deliverable 6: Submit IRS Form 990 Retum of Organization Exempt from Income Tax within 30
days of the date it is filed with the IRS.
Deliverable 7: Provide an annual accomplishment report in compliance with Section 123.045(4)
F.S. to County on an annual basis within forty-five (45) days ofthe end ofthe term of this agreement.

REPORT PERIOD THRttUGH
1. ACCOMPLISHMENTS:
Deliverables and Su Documentation
Deliverable 1: Maintain staff which shall be comprised of a PresidenVCEO, Chief
Operating Officer, Business Specialist, Culinary Program Manager, Administrative Support
Specialist, and Facility Maintenance Specialist, based on the FY18 Compensation detail
model included with this Agreement. Progress and completion of this deliverable will be
evidenced by providing the COUNTY with a Request for Payment Form, and Payment
Record, Exhibit D which includes payroll reports and bank transaction reports.
Deliverable 2: Administer the Project as evidenced by generating and providing the
COUNTY with a cover letter prepared monthly by EII's accountant that identifies overall
positive and negative financial conditions. EII's accountant also will provide monthly
financial statements, including a monthly and year-to-date Statement of Activity, monthly
Statement of Financial Position, General Ledger (GL), Statement of Cash Flows, aging
reports for Accounts Receivable (AR), Accounts Payable (AP), and bank statements.
Monthly & Quarterly financials are to be submitted by the 30th of the following month.
Deliverable 3: Demonstrate utilization of accelerator program assets as evidenced by
providing executed Participant User Agreements (PUAs) quarterly. The Naples Accelerator
shall meet the annual revenue target as identified in Exhibit B of $150,000, and Florida
Culinary Accelerator @ Immokalee shall meet the annual revenue target as identified in
Exhibit B of $50,000.
Deliverable 4: Monitor and report progress towards meeting revenue goals as evidenced by
providing a report that compares estimated revenues with actuals and an updated annual
projection to be submitted by the 30th of the following month.
Deliverable 5: Prepare and submit an updated draft business plan for the Accelerator Project.
A draft for review and comment will be provided to Fiscal Agent by December 31, 2017, with
the final updated business plan to be submitted on or before April l, 2018.
Deliverable 6: Submit IRS Form 990 Retum of Organization Exempt from Income Tax
within 30 days of the date it is filed with the IRS.
Deliverable 7: Provide an annual accomplishment report in compliance with Section
123.045(4) F.S. to County on an annual basis within forty-five (45) days of the end of the term

INSURANCE REQI]IREMENTS
Ell's Liabilit-v lnsurance:
EII shall procure and maintain in force such insurance as will protect it from claims under Workers'
Compensation laws, disability benefit laws, or other similar employee benefit laws from claims for damages
because of bodily injury, occupational sickness or disease, or death of its employees, including claims
insured by usual personal injury liability coverage; claims for damages because ofbodily injury, sickness or
disease, or death ofany person other than its employees including claims insured by usual personal injury
liability coverage; and claims for injury to or destruction oftangible property, including loss of use resulting
therefrom, any or all of which may arise out ofor result fiom EII's operations under the Agreement,
whether such operations be by EII or by any subcontractor or anyone directly or indirectly employed by any
ofthem or for whose acts any ofthem may be legally liable. This insurance shall be written for not less than
any limits of liability specified in the Agreement or required by law, whichever is greater, and shall include
contractual liability insurance. EII will file with COUNTY a certificate of such insurance, acceptable tothe
COUNTY. These certificates shall contain a provision for cancellation as found in Paragraph 5 of Section
B immediately below.
Insurance Required:
General
EII shall procure and maintain insurance ofthe types and to the limits specified in paragraphs B(l) through
(4) below. All insurance policies under this Agreement shall include the COLNTY, its officers and
employees as an additional insured. EII's coverage shall be primary tothe County's policy. All policies
shall provide for separation of insured's interests, such that the insurance afforded applies separately to each
insured against whom a claim is made or a suit is brought.
B. Coverage
EII shall procure and maintain in force during the life ofthis Agreement the following types ofinsurance
coverages written on standard forms and placed with insurance carriers approved by the Insurance
Department ofthe State ofFlorida. The amounts and type of insurance shall conform to the following
requirements:
l. Workers' Compensation - EII shall procure and shall maintain during the life ofthis Agreement the
appropriate types of Workers' Compensation Insurance for all its employees engaged in work under this
Agreemen! in accordance with Section 440, Florida Statutes. Ifany class of employee engaged in
hazardous work under this Agreement is not protected under the Workers' Compensation statute, EII shall
provide employer's liability insurance for all said employees.

upon request of the COUNTY, certified copies of the policies required shall be filed with the Insurance
Claims and Management Department of the COI-INTY. The required Certificates of Insurance not only shall
list additional insured described above, for the operations of EII under this Agreement (excluding the
Workers' Compensation and professional liability policies), but shall name the types of policies provided
and shall refer specifically to this Agreement. If the initial insurance expires prior to the expiration of this
Agreement, renewal Certificates of Insurance shall be furnished thirty (30) days prior to the date of their
expiration.
Cancellation - Should any of the above-described policies be canceled or not renewed before the stated
expiration date thereof, insurer will not cancel same until up to thirty (30) days after prior written notice has
been given to the below-named certificate holder. This prior notice provision is a part of each of the above
described policies.

S 5383-1. Purpose.
The purpose of this Instruction is to provide for the implementation of an equal employment opportunity
(EEO) procedure authorized by the County Manager.
S 5383-2. Concept.
It is the practice ofthe County to ensure that all Human Resources procedures are in compliance with state and
federal law. The County prohibits discrimination as defined by state and federal law.
A. All Human Resources practices, including compensation, benefits, discipline, safety, as well as social
and recreational activities will be administered and conducted in compliance \ /ith state and federal law.
B. Recruitment, selection, placement, promotion, transfer, training, reduction in force and layoff decisions

ROLE AND RESPONSIBILITIES OF ADMINISTRATIVE ENTITY
The following are delineated for purposes of aligning the respective roles and responsibilities ofthe parties.
Under no circumstances will these items be considered part of the Scope of Services or Deliverables as
prerequisites for reimbursemenl however, the Fiscal Agent is authorized to seek BCC approval ofan
adjustment to EII's budget or responsibilities should EII fail to fulfill its role and complete the
responsibilities delineated below:
EII staff shall perform quarterly reviews of Accelerator Project participant job creation or capital
expenditure or venture investment plans. EII shall require attestations and supporting documentation
showing job creation and capital expenditure or venture investment by participants. The COLNTY will
provide the form of attestation and list of acceptable supporting documentation. Providing attestations and
supporting documentation will be required for participants in the Accelerator Project and advised of this
requirement before approval to participate in the Accelerator Project. Ell shall have the following
responsibilities related to attestations and supporting documentation: 1) insure that participant's agreements
clearly articulate the participant's duties to provide job-creation and investment data, attestations and
supporting documents; 2) in coordination with the COINTY, meet quarterly with participants to gather
job-creation or capital expenditure or venture investment plans, attestations and supporting documentation;
3) timely submit a quarterly report, attestations and supporting documentation on a form provided by the
COUNTY (attestation sample attached).
Ell shall achieve and maintain ta\-exempt status as a Florida not-for-profit and IRS 501(c)(3). EII will
maintain good standing with the Florida Secretary ofState and corporate formalities under Florida law.
The Board ofDirectors ofEII (serving as the Administrative Entity) shall exercise executive oversight over
the Project President/CEO. EII, as the Administrative Entity, would provide all required adminishative
support and management functions collaboratively with the President/CEO, who would generally be
responsible for: managing operations; implementation ofthe Business Plan; providing Project services; and
maintaining complianc€ with grant requirements.
Ell shall account for the business income from the Florida Culinary Accelerator @ lmmokalee. Equipment
for the Florida culinary Accelerator @ Immokalee was fundei by a USD.A= grant. EII will retain a
percentage ofbusiness income, set aside for equipment maintenance, generated from the Florida Culinary
Accelerator @ Immokalee and the set aside for equipment maintenance, shall be remifted monthly to Fiscal
Agent, consistent with the USDA grant requirements for equipment maintenance. The assets purchased by
the USDA grant shall be used for the RBDG'S stated purposes only.
Upon request by the County Manager or his designee, EII's accountant shall provide a quarterly
report of actual-to-budget that identifies budget variances exceeding 10 percent, and their
contributing factors.
EII will maintain an inventory ofcapital and non-capital equipment and will provide the inventory
when requested by the County Manager or his designee.
EXHIBIT H
ROLE AND RESPONSIBILITIES OF THE FISCAL AGENT
The COLNTY, as a public entity, has responsibilities for funds received by it from State or Federal sources and for
funds dedicated by the COTNTY for economic development.
The Fiscal Agent shall provide the oversight and policy direction for the Project.
The Fiscal Agent shall have final oversight and approval of the Project budget, wherein budgetary advice was
provided by the Administrative Entity based on the Executive Director's proposed budget.
In the event that the Administrative Entity commits resources or enters into a contract and the Administrative Entity's
proposed budget or the approved budget has that line item removed or reduced, then the Fiscal Agent shall give at
least thirty (30) days' written notice of said action to prevent a negative fiscal event for the Adminishative Entity.
Should a negative fiscal event be created by a line item removal or reduction in the budget, the Fiscal Agent agrees
to be responsible for the negative fiscal impact or reimburse the Administrative Agent for the negative fiscal event.
The Fiscal Agent shall propound the audit requirements for the Agreement.

Priorities:
1.Stand up and open the Florida Culinary Accelerator @
Immokalee for full operation to fulfill its intended purpose
and mission.
2.Continue to recruit quality candidates for the Naples
Accelerator program to increase the opportunity for success
and contribution to the well being and economic growth of
Collier County.
3.Actively and diligently explore means and methods to
reduce the dependency of EII on essentially single source
funding from Collier County over a period of years by finding
acceptable alternative sources of funding consistent with a
501 (c ) (3) qualified organization.
