Interlocal Agreement
INTERLOCAL AGREEMENT (Conveyance of Manatee Road Extension to Collier County) THIS INTERLOCAL AGREEMENT(this"Agreement") is made and entered into this 2 6th of September , 2017 by and between the DISTRICT SCHOOL BOARD OF COLLIER COUNTY,FLORIDA(the"District")and COLLIER COUNTY,FLORIDA(the"County"). WHEREAS, the District is the owner of certain real property known as the Manatee Road Extension and legally described in the Statutory Deed set forth in Exhibit "A" attached hereto and made a part hereof(the"Property"); WHEREAS, the Property is approximately 5.07 acres and has been part of Parcel No. 00736680008, the Manatee Elementary School and Manatee Middle School site (the "School Site"); WHEREAS, on February 8, 1994, the District entered into an agreement to purchase a portion of the Property for the purpose of providing access from U.S. 41 to the School Site with the condition that the District dedicate and convey the Property to the County as a public right-of- way; WHEREAS, the District desires to dedicate and convey the Property to the County as a public right-of-way and the County desires to acquire the Property as a public right-of-way; and WHEREAS, the purpose of this Agreement is to consummate the dedication and conveyance of the Property from the District to the County as a public right-of-way in the best interest of the public. NOW THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable consideration exchanged amongst the parties, and in consideration of the mutual promises, commitments and covenants contained herein,the parties agree as follows: 1. Recitals. The parties agree and acknowledge that the recitals above are true and correct. 2. Property Conveyance, Due Diligence & Closing. The parties agree that the District shall convey the Property, for use as a public right-of-way, to the County in "As Is" condition, including the current zoning, permitting and/or use. The District shall convey fee simple title to the Property to the County by a Statutory Deed as set forth in Exhibit "A" attached hereto and made a part hereof(the "Deed"). The County shall have sixty (60) days from the date that this Agreement is approved and executed by both parties to complete its due diligence of the Property (the "Due Diligence Period"). The District shall deliver the Deed and Easement (hereafter defined), properly executed on behalf of the District, to the County within five (5) business days from the completion of the Due Diligence Period (the "Closing"). The County shall be responsible for all costs related to recording this Agreement, the Easement and the Deed in the public records. Each party shall be responsible for its own costs and fees, including, but not limited to, Closing costs, real estate appraisals, title insurance, surveys, permits, rezones, impact mitigations, environmental, soil and/or traffic studies. The parties shall also fully cooperate and C�C� use good faith efforts to allow the County to obtain title insurance, as applicable, by executing any reasonable, standard or customary title insurance documents. 3. Grant of Public Right-of-Way Easement. The District hereby agrees to grant and convey to the County a perpetual, non-exclusive public road right-of-way, drainage and utility easement as set forth in Exhibit "B" attached hereto and made a part hereof(the "Easement"). The County shall be solely responsible for the future maintenance of any and all of the improvements that it constructs or installs in the Easement area. The County's use of the Easement shall not obstruct, disturb, conflict with or otherwise adversely impact the District's use of the easement area for the purpose of connecting the School Site and the existing school sign by installing utility infrastructure, including underground electrical wire and fiber cable, as determined by the District, in its sole and absolute discretion. The Easement shall benefit the Property and burden the School Site and constitute an easement running with the land. 4. Improvements to Existing Roadway Property. The parties agree that the existing roadway located on the Property will be improved by resurfacing and restriping it and installing signs, crosswalks, curbs, gutters and sidewalks, all as set forth in Exhibit"C" attached hereto and made a part hereof(the "Improvements"). At Closing, the District shall deliver a check, payable to the County, in the amount of$72,456.68, representing the cost of the Improvements allocated to the District (the "Check"). Upon receipt of the Deed and the Check, the County shall be solely responsible for completing all of the Improvements, except for those Improvements allocated to the developer of the Argo Manatee project. The County shall complete all Improvements allocated to the County and also those paid for by the District on or before the earlier of: (i) the date that is twelve (12) months from that date of substantial completion of those Improvements allocated to the developer of the Argo Manatee project or(ii) the date that is five (5) years from the effective date of this Agreement. The parties agree that the County may permanently remove any existing speed humps/bumps from the roadway in the course of completing the Improvements. 5. Resolution of Fence Encroachment. The parties agree and acknowledge that there is an existing District fence that encroaches from the School Site into and onto the Property (the "Fence Encroachment"). Any time after the County commences construction activities to complete the Improvements,the County may request that the District, at its sole cost and expense, resolve the Fence Encroachment by removing all portions of the existing fencing from the Property. The County grants the District a temporary construction easement to enter upon the Property for the purpose of removing and relocating all portions of the existing fence that encroach upon the Property. 6. Termination. Either party may terminate this Agreement, at any time and for any reason (including, but not limited to, finding soil contaminants), prior to Closing if that party deems it to be in that party's interests to do so,by delivering to the other party written notice of such intent to terminate. Any notice of termination shall be delivered to the County Manager or the District Superintendent,as applicable,and this Agreement shall become null and void. 7. Miscellaneous. The rights and duties of performance under this Agreement shall be binding upon, and inure to the benefit of all successors in interest to the parties to this Agreement, but may not be assigned or otherwise transferred without the written consent of the other party. The terms and conditions of this Agreement shall only be revised or amended by the mutual written consent of the parties hereto or by their successors in interest in accordance with this Agreement. In the event of a dispute under this Agreement, the County Manager and the District Superintendent shall first try to negotiate a resolution acceptable to both parties. Following the conclusion of this procedure, either party may terminate this Agreement or submit the issue to be resolved by non-binding arbitration in accordance with the rules and procedures of the American Arbitration Association. This Agreement is the entire agreement between the parties, and supersedes all previous oral and written representations, agreements and understandings between the parties with respect to this transaction. In addition, the Grantee shall be solely responsible for the future maintenance of any and all of the improvements that it constructs or installs in the Easement area. "Utility facilities" includes public as well as private utilities, such as electric, telephone and cable television, but only if such facilities have Collier County's consent and proper authorization.
