EXECUTIVE SUMMARY
Recommendation to approve a Right-of-Way Consent Agreement and associated Memorandum
with Florida Power & Light Company, providing for construction of a portion of the second phase
of the Livingston Road Force Main on property located along the west side of Livingston Road
from Golden Gate Parkway to Marbella Lakes Drive within Florida Power & Light Company’s
power-line right-of-way.
OBJECTIVE: To enable the transfer of wastewater flows between the North and South County Water
Reclamation Facilities.
CONSIDERATION: The proposed scope of work under Project number 72009, “Force Main Technical
Support,” is consistent with the Capital Improvement Program (CIP) contained in the Water, Wastewater,
Irrigation Quality Water, and Bulk Potable Water User Rate Study approved by the Board of County
Commissioners (Board) on J une 10, 2014, as Agenda Item 11C. Funding for Project Number 72009 is
available in, and consistent with, the FY2017 CIP Budget.
The attached Right-of-Way Consent Agreement and Memorandum with Florida Power & Light Company
(FPL) provides for construction of a wastewater force main on property located along the west side of
Livingston Road from Golden Gate Parkway to Marbella Lakes Drive within the limits of FPL’s power -
line right-of-way. This project is formally referenced as the Livingston Road Force Main Phase Two, and
also known as the Western Interconnect.
FISCAL IMPACT: The cost of recording the Memorandum of Right-of-Way Consent Agreement will
not exceed $137.50. Funding is available in, and is consistent with the FY2017 Capital Budget approved
by the Board September 22, 2016. The source of funding is Wastewater User Fee Fund (414).
LEGAL CONSIDERATIONS: This item is approved as to form and legality, and requires majority
vote for Board approval. --JAB
GROWTH MANAGEMENT IMPACT: This project meets current Growth Management Plan
standards to ensure the adequacy and availability of viable public facilities.
RECOMMENDATION: To approve and authorize the Chairman to execute the attached Memorandum
of Right-of-Way Consent Agreement, and the duplicate original Right-of-Way Consent Agreements; and,
direct the County Manager or his designee to record the Memorandum of Right-of-Way Consent
Agreement in the Public Records of Collier County, Florida.

ln consideration for Company's consent and for the other mutual coverants set forth belou and for
Ten Dollars and No Cents ($10.00) and other good and valuable consideration, rhe receipt and adequacy of
which is hercby acknowledged, the parties hereto agree as follows:
l. Licensee agre€s to obtain all necessary rights from the owners of the Lands in the event
Licensee docs not own said [,ands; to obtain any and all applicable federal, state. and local permits rcquired
in connection with Licensee's use of the l,ands; and at all timeq to comply with all requirements of all
federal. state. ond local laws, odinances, rules and rcgulations applicable or pertaining to the use of lhe lffds
by Licensee pursuant to this Ag,r€ement.
2. Licensee understands and agrces that the use of the Lands pumuant to this Agreemenl is
subordinate to lhe rights and interest of Company in and to the Lands and agrces to notiry- its employees.
agents, and contractors accordingly. Company specifically reserves the right to maintain its facilities located
on the Lands; to make improvements; add additional facilities; maintain, construct or alter roads: maintain
any facilities, devices, or improvements on the Lands \,\hich aid in or are necessary to Compan;"'s business or
operations: and the right to enter upon the Lands at all times for such purposes. Licensee understands that in
the exercise of such rights and interest Company from time-lo-lime may rcquirc Licensee. to relocate. alter.
or remove its lacilities and equipment, including parking spaces and areas, and other improvements made b1'
Licensee pursuant to this Agreement which interfere with or pr€vent Company. in its opinion. from properly'

ofreceiving notice from Company to do so. Such relocation, alteration. or removal will be made at the sole
cost and expense of Licensee and at no cost and expense to Company; provided however, should Licensee,
for any reason. fail to make such relocation, alteration, or rcmoval , Company retains the right to enter upon
the lands and make said relocation, alteration, or rcmoval of Licensce's facilities, equipment, parking spaces
and areas, and other improvements and Licensee herrby agrees to reimburse Company for all of its costs and
expense incuned in connection thercwith upon demand.

3. Licensee agrees that it will not use the [:nds in any manner which, in the opinion of
Company. may tend to interfere with Company's use oflhe [:nds or may tend to cause a hazardous condition
to exist. License€ agrees thst no hazardous substance, as the term is defined in Section l0l (14) of the
Comprehensive Environmental Response Compensation and Liability Act ("CERCLA") (42 USC Secrion
9601 [4]), petroleum producs, liquids or flammables shall be placed on, under, transported across or stord
on the Lands, which restrictE impairs, interferes with, or hirders the use of the lands by Company or the
exercise by Company of any of is rights fierElo. Licenre agrees further that in the event it should create a
hazardous condition, then upon notification by Company, Licensee shall, within seventy-two (72) hours, at its
sole cost and exp€nse, correcl such condilion or situation; provided however that the Company r€tains the
right to enter upon the Lands and conecl any such condition or situation at any time and. by its execution
hereof, Licensee hereby agrees to indemni! and hold harmless Company from all loss, damage or injury
resulting from Licensee's failure to comply with the provisions of this Agrccment.
4. Licenre hercby agrees and covenants to prohibit its agents. employces, and contractors
fmm using any lools, equipmenL or machinery on the Lands capable of extending greater than fourteen ( l4)
feet above existing grade and further agrees thal no dynamite or other explosives shall be used within the
Lands and that no alteration of the existing terrain, including rhe use of rhe Laxls by Licensee as provided
herein. shall be made which will rcsult in preventing Company access to its facilities located within said
Lands. Unless otherwise pmvided hercin. Licensee agrees to maintain a one hundred and fifty (150) foot
wide arca, clear of any activities, wirh a lineal measunemenl of seventy five (75) feet on each side of the
centerline ofCompan/s existing and planned facilities.
5. Licensee undeBtands and agrees that ihe planting of tr€es, shrubs, and other foliage capable
olexceeding fourteen ( l4) feet in height al lull maturig is nol permined within Company's Lands.
7. Sprinkler systems installd or to be installed by Licensee upon the l:rxls are to be
constructd of a non-metallic material and sprinkler heads ar€ to be s€l so the spray heighl does nol exc€€d
fourteen (14) feet above existing grade and does not make contact wi$ any Company's facilities.
Aboveground systems shall not be installed within or across Company patrol or finger roads and underground
systems crossing said patrol and finger roads arc lo be buri€d at I minimum depth of one (l) fmt below'
existing road grade.
8. Licensee agrees to wam its employees. agenls, contractoni and invitees of the fact that the
electrical facilities and appurtenances insalled or to be installed by Company within the l^ands are of high
voltage electricity and agrees to use all safety and precautionary measures when working under or near
Company's facilities. Licensee hereby' acknowledges the receipl and rcquircd execulion of Form 360
'Erbibit C" prior to the commencement ofconstruction within the [:nds.
9. Licensee agr€ei at all times, to maintain and keep the l-ands clean and frce of debris.
Except as provided hercin, Licensee further understands and agrces thal certain uses of the L:nds are
specifically prohibited; such uses include but arc nol limited to r€crealional purposes, hunting and camping.
and Licensee agrE€s to noti! its employees, ag€nts, contractors, and invitees accordingly.
10. The use of the Lands by Licensee shall be at the sole risk and expense of Licensee, and
Company is specifically relieved of any responsibility for damage or loss to Licensee or other persons
resulting from Compan/s use ofthe lands for is purposes.

6. Outdoor lighting installed or to be installed upon the Lands by Licensce are not to exceed a
height offouneen (14) feet above existing grade and all poles or srandards supporting light fixtures are to be
of a non-metallic material.

I l. Notwithstanding any provision comained herein, Licensee agrees to rcimburse Company for
all cost and expense for any damage to Compar,y's facilities resulting fiom Lic€nsee's use of the lands and
agrees that il; in the opinion of Company, il becomes necessary as I r€sult of Licensee's use of the t ands for
Company to relocate, rcarrange or change any of its facilities, to promptly reimburse Company for all cost
and expense involved with such relocalion, rearrangement or change.
12- Licensee agrees ir will exercise its privileges hereunder at its own sole risk and agrees
subject to the limitations contsined in Section 76t.2t. Florida Statutes, if applicable, to indemni! and save
harmless Company, its porcnt, subsidiaries, afliliates, and their respective officers, directors, agcnts and
employees (hereinafter reffi to as the "FPL Enlities'), from all liability, loss, cost, and expense, including
attomeys' fees, which may be susained by FPL Entities to any person, natural or artificial, by reason of the
death of or injury to any person or damage to any pmperty, arising out of or in conneclion with the herein
described purpos€s by Licensee, its contractors, agents, or employces; and Licensee agrees subject to the
limitations conlained in S€ction 768.28, Florida Shrutes, ifapplicable, to defend at ils sole cost and expense
and at no cost and expense to FPL Entities any and all suis or action instituted against FPL Entilies, for the
imposition ofsuch liability. loss, cost 8nd expense.
I l. Licensee shall. and shall cause each of Licensee's contr-actors and subcontraclors
performing work in connection with lhe Project during lhe period of this Agre€ment. to procure and
maintain al Licensee's and such contractors' and subcontractors' sole exp€nse, the following minimum
insurance, with insurers with a rated -A-, Vll" or higher by A.M. Besl's Key Rating Guide that are
licensed to do business in lhe State of Florida, or as may be approved in writing by COMPANY's Risk
Management Department from time to time:
(i) Workers' Compensation lnsurance for slatutory obligations imposed by
applicable Florida law. including, wherc applicable, the Uniled States
Longshoremen's and Harbor Workers' Act, the Maritime Coverage and the Jones
Actl
( ii)Employers' Liability Insurance, including Occupational Disease, shall be
provided with a limit of One Million Dollars ($1,000,000) for bodily injury by
accident, with a limit of One Million Dollars ($1,000,000) for bodily injury by
disease/policy and with a limit of One Million Dollars ($1,000,000) for bodily
injury by diseaseiemployee;
( iii)Automobile Liability Insurance which shall apply to all owned, non-owned,
leased and hired automobiles in an amount with minimum limits of not less than
One Million Dollars ($1,000,000) combined single limit per occurrence for bodily
injury and property damage per accident; and
(iv) General Liabilitv lnsurance. written on lnsurances Sewices Ofl'ice form GC 00
0l 1204 (or equivalenl) covering liability arising out of premises. operations.
bodily injur-v, propeny damage, products completed and liability insured under
and insured contmct (sometimes referred to broad form conractual liability).
with minimum limits of One Million Dollars ($1,000,000) combined single limit
per occurrence, which shall insurt lhe indcmnity obligations assumed by
Licensee under this Agreement.
Except for the Workers' Compensation lnsurance, the FPL Entilies shall be designated as an additional
insured on Licensee and/or Licensee's contractors insurance policies requircd to be maintained under this
Agreement. All policies of insurance required to be maintained by Licensee and Licensee's contractors
and subcontractors hereunder shall pmvide and each of Licensee, and Licensee's contraclors and

subcontractors. shall cause the insurers oftheir respective insurance to include, either in its printed text or
by endorsemenl: (i) a severability of interests clause; (ii) an endorsement that Licensee's and Licensee's
contractors' and subcontractors' insurance policies arc to be primary snd non-contributory to any insurance
that may be maintained by or on behalf of FPL Enlities; and (iii) a waiver of subrogalion against FPL
Entities.
ln the event that any policy fumished by l-icensee and/or Licensee's contractors and subcontractors
provides for coverage on a "claims made" basis, the rettoactive date of the policy shall be the same as the
eflbctive dste of this Agreement, or such other date, as lo protect the inlerest of FPL Entities.
Furthermore, for all policics fumished on a "claims made" basis, Licensee's and Licensee's contraclors'
and subcontractors' providing of such coverage shall survive lhe lermination of lhis Agrcement, until lhe
expiration of the maximum statutory p€rid of limitations in the Stste of Florida for actions based in
contract or in tort. lf coverage is on "occurrence" basis, Licensee and Licensee's contractors and
subcontractors shall maintain such insurance during the entire term of this Agreement.
Licensee and Licensee's contractors and subconlractors shell promptly provide evidence of the minimum
insurance coverage required under this Agreement in the form of an ACORD certificate or other
cenificate of insurance acceptable lo FPL. Upon FPL's requesl, Licensee and Licensee's conlraclors and
subconrracrors shall provide FPL with complete copies of all required insurance policies under this
Agreement. If any of the rcquired insurance is cancelled or non-renewcd, Liccnsee and Licensee's
contractors and subcontractors shall file a new Certificate of lnsurance or binder with FPL demonstrating
to FPL's satisfaction that the r€quired insurance coverages to be maintained hereunder have been
exlended or replaced. Neither Licensee's nor Licensee's contractors and subcontractors failure to provide
evidence of minimum coverage of insurance following FPL'S requesl, nor FPL's decision to not make
such request, shall rclease Licensee and Licensee's contractors and subconlractors from their t€spective
obligalions to maintain the minimum coverage provided for in this Section.
Licensee shall be responsible for managing and adminisering all insurance policies rcquired hercunder,
including the payment ofall deductibles and self-insurcd retention amounts, thc filing ofall claims and
the taking of all necessary and proper steps to collcct any proceeds on behalf of the relevanl insured
person or entity. Licensee shall at all times keep FPL informed of the filing and progress ofany claim. If
Licensee shall fail to perform these responsibililies, FPL may lake such action as it delermines
appropriate under the circumstances. In lhe event Licensee collects proce€ds on behalf of other persons
or entities, it shall ensure that these are paid direcrly from the insurers to the relevanl person or entity and,
in the event that it rEceives any such proceeds, it shall, unless otherwise directed by FPL, pay such
proceed to such party forthwith and prior thercto, hold the same in trust for the reciPient.
Norhing in this Section shall be deemed to limit Licensee's liability under this Agreement regardless of
the insurance coverages rcquired hercunder. No limilation of liability provided to Licensee under this
Agreement is intended nor shall run to the benefit of any insurance company or in any way prejudice,
alter, diminish, abridge or rcduce, in any respect, the amount of proceeds of insurance olhenvise payable
to FPL Entities under coverage required to be carried by Licensee under this Agreement, il being the
intent of the parties that the full amount of insurance coverage bargained for be actually available
notwithstanding any limitation of liability conlained in the Agre€menl, if any. FPL assumes no
responsibility for lhe solvency of any insurer or the failure ofany insur€r to senle any claim. lnlheevent
that the Licensee self insures, Licensee shall provide Company with a lener of sclf-insurance in form and
substance satisfactory to Company's Risk Management Department. Licensee's contractors and suu
contractors may not self- insure. This Seclion shall survive lhe expiration ofthis Agreement
14. This Agreement will become effective upon €xecution by Company and Licensee and will
remain in full force and effert until completion of Licensee's use of lhe [:nds pursuanl to this Agreement,
unless earlier terminated upon ninety ( 90 ) days wrinen notice by ComPany to Licens€e, or al the option of

Company, immediately upon Licensee failing to comply with or to abide by any or all of the provisions
contained herein.
15. The use gmnted herein as shown on Erhibit nB, shall be und€r construction by Licensee
within trvo (2) years ofthe effective date ofthis Agreement and the construction shall be diligently punued to
completion. Licensee shall give Company ten (10) days prior written notice of its commencement of
construction. "Under construction" is the continuous physical activity of placing the foundation or
continuation of construction &bove the foundation of any structurc or improvement pemitted hereunder.
Under construction does not include application for or obtaining a building permit, I site plan appmval or
zoning approval from the appropriate local government agency having jurisdiction over the activity,
purchasing constnrction materials, placing such construction materials on the site, clearing or grading the site
(if permined) in anticipation of constnrclion, site surveying landscaping work or reactivating construction
after substantially all construction activiq has rcmained sropped for a period of two (2) months or more.
Licensec acknowledges that failure to have the use under c.nstruction within the two (2) year time period
will result in immediate termination of this Agreoment in accordance with Paragmph l4 herein for failing to
comply with the provisions contained herein unless Licensor grans a written extension for a murually agreed
upon time. Any request for an extension oftime shall be submitted in writing by Licensee no later than thirty
(30) days prior to the expiration ofthe two (2) year period for the pmject ro be under conslruction.
16. The term "Licens€e" shall be construed as embracing such number and gender as the
character ofthe party or panies r€quire(s) and the obligations conlained herein shall be absolute and primary
and shall be complete and binding as to each. including its successors and assigns, upon this Agreement being
executed by Licensee and subjecl to no conditions precedent or otherwise.
17. Should any pmvision ofthis Agreement be delermined by a court of compelent jurisdiction
ro be illegal or in conflicr with any applicable law, the validity of the rcmaining provisions shall not be
impaired. In the event of any litigation arising out of enforcement ofthis Consent Agre€ment, the prevailing
party in such litigation shall be entitled lo rccovery ofall costs, including reasonablc attomeys'fees.
18. Licensee may assign its rights and obligstions under this Agreement to a solvent pany upon
prior written consent ofthe company, which consent shall not be unreasonably withheld.
19. Licensee agrees that any review or approval by Company ofthe plans and/or specifications
submined by Licensee att8ched her€to as f,rhibit "Br', the appmval of the identity of any contractors,
subcontractors and materialmen, or the delivery by Company ofany conshrction specifications to Liccnsee,
is solely for the purpose ofprocessing this Consent. and withoul any representation or warran$r whatsoever to
Licensee with respect to the adequacy, corectness or efficiency tlrereofor otherwise and it is underslood that
such Company's approval does not absolve Licensee of any liability hereunder. Further, Licensee, in
connection with the constsuction, maintenance and/or removal of impmvements depicted on Exhibit '8" to
the Agrcemenq agrces to observe and fully comply with all construction, operation and maintenance
standards. as well as all applicable laws rules and regulations ofthe United States, the State of Florida and
all agencies and political subdivisions thereof, including without limitation the National Electric Safeu- Code
and the Occupational Safety & Health Administralion rcgulalions. st mdards. rules. rcgisen. directires or
inlerpretations.
20. This Agreement includes and is subject to th€ provisions describcd on the attached Addendum.

ADDENDUM
Prior to installation, Licensee must schedule a Safety Six meeting for all construction personnel
working on the project. Please contact FPL Transmission Operations 8t (239) 690-2735 to
schcdule the meeting.
Licensee, and its employees, agenls and contrmtors will keep a safe disunce from all energized
facilities and maintain all OSHA requiremens to the l38kv and 230kv transmission lines within
the t-ands-
Licensee will install, at its cost and expense, shoring boxes adjac€nt to all transmission poles and
anchon in accordance with the drawing atrsched as Exhibit "D."
Licensee, and its employees, agenls and contractors will maintain a minimum of 12" sepamtion
t'rom all Company buried elecric facilities.

THIS MEMORANDUM OF RIGHT-OF-WAY CONSENT AGREEMENT dated this
_ day of _, 20 , by and between BOARD OF COTINTY COMMISSIONERS
OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER
COUNTY AND AS THE EX.OFFICIO GOVERNING BOARD OF THE COLLIER
COUNTY WATER-SEWER DISTRICT (hereinafter referred to as "Licensee"), and
FLORIDA POWER & LIGHT COMPANY, a Florida corporation (hereinafter referred to as
"Company").
WHEREAS, on the _ day of _, 20_ Company and Licensee entered into a
written Right-of-Way Consent Agreement, hereinafter referred to as the "Agreement" related
to certain property situated in the County of Collier, State of Florida as more particularly set
forth in said Agreement and described in Exhibit "A" attached hereto and made a part hereof
and hereinafter referred to as the "Lands". and
WHEREAS, the parties are desirous of placing their interest therein as a matter of
public record.
NOW THEREFORE, in consideration of the mutual covenants herein contained and
the parties intending to be legally bound thereby, the parties hereto agree as follows:
1. Portions of the property described in Exhibit "A" are subject to either a right-
of-way in favor of Company recorded in O.R. 640 at Page 232, and O.R. Book 185, at Page
845, of the Public Records of Collier County, Florida, or were acquired by, or granted to,
Company by that deed as recorded at O.R. Book 640, al Page 299, of the Public Records of
Collier County, Florida.
3. The Agreement is assignable to purchasers of all or a portion of the Lands
provided that the purchasers assurne the obligations under the Agreement and specifically
acknowledge and agree that the use of the property and improvements to be placed on the
WITNESSETH:
2. The Agreement provides, among other things, Licensee's right to construct
and maintain certain improvements upon the Lands including, but not limited to construction,
installation, operation and maintenance of a 24" waste water force main, subject to certain
conditions and restrictions.

property are strictly limited to those depicted on a certain plan of improvement and are
otherwise subject to the terms of the Agreement.
