Attachment r , r' �T a AGREEMENT BETWEEN COLLIER COUNTY, FLORIDA, AND THE RETIS/PACA COLLABORATIVE, PROVIDING EXCLUSIVE RIGHTS TO COLLIER COUNTY TO HOST THE 2017 RETIS FACE 11 FLORIDA EXECUTIVE TRAINING PROGRAM FROM MARCH 9-10,2017. THIS AGREEMENT, is made and entered into this 28th day of February,2017, by and among COLLIER COUNTY, a political subdivision of the State of Florida, acting by and through its Board of County Commissioners, the governing body thereof, herein referred to as the"COUNTY,"and RETIS,the French network for innovation. WITNESSETH WHEREAS, increased international business will aid the County's economic development, generate international trade, and increase additional business opportunities that will create high value jobs for County residents and businesses;and WHEREAS, there is a need for a concerted, community-wide effort to attract international businesses and foreign-direct investment to Collier County;and WHEREAS, RETIS,the French network for innovation has proposed a partnership with Collier County for an in-bound trade mission;and WHEREAS, such partnership would afford Collier County exclusivity in hosting RETIS's FACE 11 Florida Executive Training Session,bringing up to five(5) French companies to Collier County for such a training session in March of 2017;and WHEREAS, the opportunity to host the next FACE 11 Florida Executive Training Session would contribute to Naples and Collier County's position as a Hub for French and European companies aiming to expand to Florida;and WHEREAS, the opportunity to host the next FACE 11 Florida Executive Training Session would help Florida-based and Collier County-based innovative companies gain access to French and European business or technology incentives or other partnerships;and WHEREAS, the opportunity to host the next FACE 11 Florida Executive Training Session would help to promote Collier County in France to French-based incubation networks and business networks while also providing French innovation companies opportunities to access Florida markets;and WHEREAS, Collier County supports the development of international trade, foreign direct investment, and entrepreneurship opportunities such as those offered through exclusively hosting the next FACE 11 Florida Executive Training Session;and 1 Cs, 1 F WHEREAS, Collier County proposes financial support of the next FACE 11 Florida Executive Training Session for its high-value opportunities, granting up to $8,000 for the purpose of offsetting transportation and lodging costs for up to five(5)French companies and up to three (3)RETIS operational staff traveling to Collier County for participation in the program and seeking to further strengthen the relationship with RETIS by providing funding for annual { membership in RETIS. NOW,THEREFORE,in consideration of the premises and mutual benefits which will accrue to the parties hereto in carrying out the terms and provisions of this agreement, the parties hereto agree as follows: Section 1. Recitals. The foregoing recitals,as well as the recitals provided for in the Agreement,are true and correct and are incorporated in this Agreement by reference. Section 2. Oblisations of RETIS. (A) Venue of Executive Training Program.RETIS shall: (i) Agree to conduct the March 9-10 2017 FACE 11 Florida Executive Training Program in Collier County,Florida. (ii) Agree that Collier County shall be the sole Florida destination promoted and marketed by RETIS in Florida for a minimum period of six (6) months prior to and a minimum of six months after the March 2017 FACE II Florida Executive Training Program. (B) Details of Executive Training Program. Upon agreeing to locate the March 9-10 2017 FACE 11 Florida Executive Training Program,RETIS shall: (i) Agree that the March 9-10 2017 FACE 11 Florida Executive Training Program will consist of at least two (2) days of training that allows participant French innovation companies to familiarize themselves with the local economic ecosystem, including local partners, investors, and business prospects. (ii) Agree that the March 9-10 2017 FACE 11 Florida Executive Training Program shall consist of sufficient content to support successful integration of those attendees into Collier County and Florida markets and including an educational session, speakers, and participation from the French innovation companies. 2 63/ k$4 yp� i.'..}t <' 6 (iii) Agree that Collier County will participate in screening and selection of French companies invited to participate, and the County Manager or his designee will retain the option of approval for those companies and RETIS operational staff to be determined as qualified for travel cost reimbursement. That determination will be based on the companies' compatibility with guidelines established by the State of Florida Target Industry list and estimated potential economic impact to Collier County. Travel/participants other than company prospects will be limited to RETIS staff and/or their contractor program coordinators and facilitators. (C) RETIS Procurement Standard. RETIS shall require each participating French company to adhere to the RETIS FACE 11 Executive Training Program Procurement Rules(Exhibit A). $eetiiote 3. Obligations of the COUNTY. (A) In support of RETIS conducting the March 9-10 2017 FACE 11 Florida Executive Training Program in Collier County, the COUNTY shall provide up to $8,000 in local financial support, made payable to RETIS, for the purpose of inducing the participation of up to five (5) French companies and three(3) RETIS staff in the May 2017 FACE 11 Florida Executive Training Program. (i) The County financial support of up to $8,000 (up to $1,000 per qualified participating French company or RETIS staff/contractor) will be made available to offset transportation and lodging costs incurred as travel expenses in direct relation to attending the event in Collier County, for up ` to five(5) French participant companies and up three(3)RETIS staff and RETIS contractor staff. Transportation costs supported will include arrivals to Florida/Collier either departing from a U.S.location as a second leg of a trans- Atlantic journey or direct departure from France and also include return flights with final destinations to France. Lodging costs will be limited to hotel stays in Collier County during the dates of March 9-10 2017 FACE 11 Florida Executive Training Program. (B) County financial support will be made available from the Economic Development marketing and promotion budget (001-138790), and shall be made on a reimbursement basis as described by Section 4 of this Agreement. (C) The COUNTY agrees to provide an in-kind contribution of temporary office space in a county facility for RETIS staff, in relation to executing and implementing this agreement and referenced event. 3 icfi 4 (D) The COUNTY further agrees to collaborate with the Economic Incubators, Inc.to provide additional support to RETIS in conducting the March 9-10, 2017 FACE 11 Florida Executive Training Program in Collier County with in-kind contributions,including logistical support such as locating suitable meeting rooms and identifying speakers,mentors,and evaluators. (E) The COUNTY agrees to provide funding for annual membership in RETIS at a level to be determined by the County Manager or his designee. Section 4. Reimbursement Procedures (A) Proposed Budget.To be eligible for travel and lodging cost reimbursements up to $8,000, providing up to $1,000 per qualified participating French company or RETIS staff/contractor,RETIS is required to submit to the COUNTY a Proposed Budget and Program Outline using the provided form (Exhibit B). Such Proposed Budget and Program Outline shall, at a minimum, include the anticipated number of attending qualified French innovation companies, the anticipated RETIS staff and RETIS contractor staff. To be considered qualified, a French participating company and RETIS program staff must be approved by the County Manager or his designee. (B) Performance Report. Within forty-five days of the conclusion of the March 9-10 2017 FACE 11 Florida Executive Training Program, RETIS shall submit to the COUNTY a Program Performance Report using the provided form (Exhibit C), which shall highlight key metrics accomplished during the March 2017 FACE 11 Florida Executive Training program, and also itemized costs related to transportation and lodging for participating French innovation companies. Such costs should be evidenced using any of the following:receipts,travel and lodging documentation such as flight and accommodation confirmations, or other similar documents evidencing expenditure of funds as required by this agreement. (C) Payment.Upon receipt of the Program Performance Report verifying the program requirements of this agreement have been met, and upon receipt of required documentation evidencing travel and lodging costs for up to five French innovation companies and up to three approved RETIS staff, Collier County shall within forty-five (45) days reimburse RETIS for all verified travel and lodging expenditures for up to five French innovation companies and three RETIS staff, not to exceed$8,000 total. Section 5. Term of Agreement The terms of this agreement shall be from the date of execution through the COUNTY'S receipt of the Program Performance Report, and COUNTY'S 4 Cdr �.r 4 .. 4' reimbursement of up to $8,000 to RETIS and funding for annual RETIS membership of up to$5,300. To benefit from the financial contribution for all or part of transportation and hotel expenses for traveling to Florida, companies selected by Collier County must comply with the following obligations: o Participate in the FACE 11 proposed educational session, networking events, and site visits. o Book and pay for transport documents (train and/or plan) and pay their hotel invoice once in Florida. o Respect the following rules and price conditions: Airfare Hotel Price Economy class Prices and hotel proposed by RETIS Conditions Best price conditions including if RETIS will negotiate a group price at necessary a weekend trip to optimize partner hotel in Naples costs Total $1,000 per company reimbursed • Completed Exhibits B and C and supporting documentation will be submitted to Collier County by RETIS.
