KNOW ALL MEN BY THESE PRESENTS that the DISTRICT SCHOOL BOARD OF
COLLIER COUNTY, FLORIDA, whose mailing address is 5775 Osceola Trail, Naples, FL
34109, hereinafter known as Grantor, for and in consideration of Ten Dollars ($10.00) and other
valuable consideration to it in hand paid, does hereby grant unto the BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF
COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING BOARD OF THE COLLIER
COUNTY WATER-SEWER DISTRICT, whose mailing address is 3301 Tamiami Trail East,
Naples, Florida 34112, hereinafter known as Grantee, the temporary license to enter upon the
lands of the Grantor, for the sole purpose of drilling one (1) monitoring well within the property
described in Exhibit "A".
ALL RIGHT AND PRIVILEGE herein granted shall remain in full force and effect for
one (1) year from date accepted by the Board of County Commissioners of Collier County,
Florida, as the governing body of Collier County and as ex-officio the governing Board of the
Collier County Water-Sewer District. This Right of Entry shall automatically be renewed for a
fudher period of one (1) year at the end of each term and shall continue in full force and effect
unless either party has notified the other by registered or cedified mail, return receipt
requested, at least thirty (30) days prior to the termination/revocation date as stated in such
notice, that the Right of Entry is terminated and/or revoked.
ADDITIONALLY, the rights and interest granted hereunder are conditioned upon the
reasonable exercise thereof by Grantee. Grantee agrees not to unreasonably interfere with
Grantor's use of the lands described in Exhibit "A", and when exercising its rights hereunder,
Grantee agrees to provide Grantor's Executive Director of Facilities Management with advance
written notice identifying the exact location of proposed drilling (for the monitoring well) within
the property described in Exhibit "A" ("Drilling Location Notice"), and Grantee shall not
commence any drilling or exercise any of its rights hereunder until Grantor's Executive Director
of Facilities Management delivers written approval to Grantee of Grantee's Drilling Location
Notice, which approval shall not be unreasonably withheld. In the event the Grantor's
Executive Director of Facilities Management fails to respond within ten (10) days of Grantee
having given notice, the Grantor will be deemed to have approved the location of drilling as
proposed by Grantee. Grantee fudher agrees that it shall, at the Grantee's cost, promptly
repair any damage caused to Grantor's properly as a result of Grantee's exercise of its rights
hereunder. This provision/paragraph shall specifically survive the termination of this Right of
Entry.
ADDITIONALLY, to the fullest extent permitted by Florida law, Grantee shall indemnify,
defend and hold Grantor harmless from losses, damages, costs, claims and expenses of any
kind or nature arising out of or relating to the Grantee's exercise of its temporary license
hereunder. This provision/paragraph shall specifically survive the termination of this Right of
Entry.
