7/12/2016 16.D.17. EXECUTIVE SUMMARY Recommendation to grant a Temporary Construction Easement to IC Aqua II, LLC over a portion of the Cocohatchee River Park to allow for improvements in the Park made pursuant to Commitment 6.15.A of PUD Ordinance 2005-15, Coconilla RPUD (Aqua). OBJECTIVE: To approve temporary access on County-owned property to enable IC Aqua II, LLC and their contractors and sub-contractors (hereinafter collectively referred to as AQUA) to allow for improvements identified in PUD Ordinance 2005-15. CONSIDERATIONS: On March 22, 2005, Agenda Item 8B, PUD Ordinance, 2005-15, Coconilla RPUD(Aqua)was approved by the Board of County Commissioners with the following commitments to the County: • Construct up to 20 additional (new)publicly accessible vehicle parking space • Redesign of the Cocohatchee River Park parking and traffic flow patterns to increase publicly accessible boat trailer parking by up to 29 spaces Egress from the Park to the traffic signal at the intersection of Wiggins Pass Road and Vanderbilt Drive The above-mentioned commitments are to be constructed on Tract P as depicted in the Coconilla RPUD Master Plan, Ordinance No. 2005-15. Once the commitments are complete, Tract P and the improvements will be dedicated to the County. In order to complete these improvements, AQUA needs access to a portion of the Cocohatchee River Park (hereinafter referred to as the "Park") immediately adjacent to Tract P. The attached Temporary Construction Easement (TCE) provides AQUA the right to enter upon the Park property identified in Exhibit"A"to facilitate the construction of all improvements required by the above commitments. The improvements contemplated by this TCE are attached and identified as AQUA at Pelican Isle, Site Development Plans —Phase 2. The area identified on Exhibit "A" will be fenced from the open area of the Park and marina operations will continue throughout the bulk of the improvements. The boat ramp park will need to close for a two week period when the final asphalting of the improvements is completed. By approving the requested construction easement at this time, the Board will enable the project contractor to schedule the closing of the boat ramp area near the end of October and re-open it in early November before peak season traffic commences. Prior to the Park being closed, the County Manager or his designee will coordinate the timing with AQUA. AQUA shall, at its sole cost, install the improvements identified above and consistent with the documents attached. Any damage incurred by AQUA while working at the Park as a result of these improvements will be borne by AQUA to restore and repair any and all damage to the Park immediately upon written notice from the Parks and Recreation Division. FISCAL IMPACT: The cost of recording the Temporary Construction Easement will not exceed $20 and shall be paid from Fund 111. LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote for Board approval.—ERP GROWTH MANAGEMENT IMPACT: There is no impact to the Growth Management Plan associated with this action. PROJECT: IC Aqua II, LLC FOLIO: 27430040008 TEMPORARY CONSTRUCTION EASEMENT THIS EASEMENT is made and entered into this day of , 2016, by COLLIER COUNTY, a political subdivision of the State of Florida, its successors and assigns, whose mailing address is 3335 Tamiami Trail East, Suite 101, Naples, FL 34112 (hereinafter referred to as "Grantor"), and IC AQUA Il, LLC, a foreign limited liability company, whose mailing address is 434 Fayetteville Street, Ste. 1730, Raleigh, NC 27601 (hereinafter referred to as"Grantee"). (Wherever used herein the terms "Grantor" and "Grantee"are used for singular or plural, as the context requires, and include all the parties to this instrument and their respective heirs, legal representatives, successors and assigns.) Entry onto Grantor's lands by Grantee, its affiliates, contractors or subcontractors, shall constitute acceptance of this Temporary Construction Easement and such acceptance shall carry with it the Grantee's promise to obtain all the required permits prior to performing the work described above, and to indemnify and hold harmless Grantor from and against any and all claims and demands and cause of action, which may arise as a result of Grantor's performance or activities for which this TCE is granted, including, but not limited to, all claims and demands and causes of action, personal injury, death, or damage to property sustained by any person, firm or corporation, including without limitation the employees, agents, contractors or subcontractors of Grantee. The foregoing indemnification shall not constitute a waiver of sovereign immunity beyond Section 768.28, Florida Statutes, Additionally, Grantee agrees that it shall, at Grantee's sole cost, repair any damage caused to Grantor's property as a result of Grantee's work on the subject property. The rights and interest granted hereunder are conditioned upon the reasonable exercise thereof by Grantee. Grantee agrees not to unreasonably interfere with Grantor's and public's use of the Cocohatchee River Park, except for all required closures previously approved by the County Manager or his designee reasonably necessary to fulfill the Commitments provided in Section 6.15.A. of Ordinance 2005-15.
