THIS BILL OF SALE evidencing the sale and conveyanc~ the

DEVELOPMENT DISTRICT (hereinafter referred to as "Seller"), and the
BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE
GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING
BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT, its successors
and assigns, (hereinafter referred to as "Buyer").
WI TNE S SETH:
That said Seller, for and in consideration of the sum of Ten
Dollars ($10.O0) and other good and valuable consideration to said
Seller in hand paid by the said Buyer, receipt whereof is hereby
acknowledged, has granted, bargained, sold, transferred, set over
and delivered, and by these presents does grant, bargain, sell,
transfer, set over and deliver unto the Buyer, and the Buyer's
heirs, successors and assigns forever, all those certain sanitary
sewer lift station, water and sewer facilities and all irrigation
distribution lines lying within the following described land,
together with any appurtenant easement rights of Seller for the
operation, installation and maintenance of said facilities,
situate, lying and being in Collier County, Florida, to wit:
(See Exhibit "A" attached hereto and
incorporated by reference herein.)
The Seller, for itself and its successors, hereby covenants to
and with the Buyer and its successors and assigns that it is the
lawful owner of the said goods and chattels herein referred to as
sanitary sewer lift station, water and sewer facilities and
irrigation distribution lines; that said goods and chattels are
free from all liens and encumbrances; that it has good right, title
and authority to sell same, and that it will warrant and defend the
same against the lawful claims and demands of all persons
whomsoever. Seller and Buyer are used for singular and plural, as
the context requires.

THIS ASSIGN~NT AGR~ENT made and entered into this
ay o 1998, by and between the PELICAN MARSH
C~OM~ITY DEVELO~M~T DISTRICT, a political subdivision of the
State of Florida, ~hereinafter referred to as "Assignor"), and the
BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY AS THE GOVERNING
BODY OF COLLIER COUNTY AND EX-OFFICIO BOARD THE GOVERNING BOARD OF
THE COLLIER COUNTY WATER-SEWER DISTRICT, its successors and
assigns, (hereinafter referred to as "Assignee").
WHEREAS, Assignor is the Grantee under that certain non-
exclusive Utility Easement from WCI Communities Limited Partnership
(f/k/a WCN Communities of Naples, Inc.) to Assignor concerning
certain water and sewer facilities and irrigation distribution
lines located within the real property referenced in said Utility
Easement, a copy of said Utility Easement being attached hereto and
made a part hereof as Exhibit "A"; and
WHEREAS, pursuant to the requirements of that certain
Interlocal Agreement between Assignor and Assignee dated as of
December 31, 1993, and approved by the Assignor at its meeting held
on December 20, 1993, the Assignor shall and is required and
obligated to convey, in accordance with standard County procedures,
certain water and sewer facilities and irrigation distribution
lines to the County and its Water-Sewer District without cost to
the County or its Water-Sewer District; and
WHEREAS, certain water and sewer facilities and irrigation
distribution lines located within the aforedescribed Utility
Easement have been conveyed to Assignor from WCI Communities
Limited Partnership (f/k/a WCN Communities of Naples, Inc.) by Bill
of Sale and Warranty Deed, which water and sewer facilities and
irrigation distribution lines are simultaneously herewith being
conveyed to Assignee from Assignor; and
WHEREAS, it is necessary that Assignee obtain the rights of
Assignor as the Grantee in said Utility Easement.
NOW THEREFORE WITNESSETH that for and in consideration of the
premises and in consideration of the sum of Ten and 00/100 Dollars
($10.00), receipt of which is acknowledged by Assignor from
Assignee, and other good and valuable consideration, the parties
hereto agree as follows:
1) Assignor hereby conveys, grants, transfers, demises,
releases and assigns unto Assignee, its successors and assigns, all
of the rights of Assignor as Grantee under the Utility Easement
referenced hereto and made a part hereof as Exhibit "A". Assignee
hereby accepts said assignment.

2) Governinq Law. This Assignment shall be construed and
enforced in accordance with and governed by the laws of the State
of Florida.
3) Modification; Additional Assurances. No change,
amendment, modification or cancellation of any part of this
Assignment Agreement shall be valid unless in writing and signed by
Assignor and Assignee.
4) Bindinq Effect. The terms, covenants and conditions
contained herein shall inure to the benefit and be binding upon
Assignee and Assignor and their respective successors and assigns.

Developer/HOA agrees for itself, its successors and assigns, that it will be responsible for the cost
of any and all repairs, replacement, maintenance or restoration of improvements or landscaping
installed by the Grantor within the easement area, to wit:

TO HAVE AND TO HOLD the same unto the Grantee and its assigns, together with the
right to enter upon said land, excavate, and take materials for the purpose of constructing,
operating, and maintaining the sanitary sewer lift station, water and sewer utility facilities and all
irrigation distribution lines thereon. Grantor and Grantee are used for singular or plural, as the
context requires.

between the PELICAN MARSH COMMUNITY DEVELOPMENT DISTRICT,
(hereinafter referred to as "Grantor"), and the BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF
COLLIER COUNTYAND AS EX-OFFICIO THE GOVERNING BOARD OF THE COLLIER
COUNTY WATER-SEWER DISTRICT, its successors and assigns,
(hereinafter referred to as "GRANTEE").
WI TNE S SETH:
That said Grantor, for and in consideration of the sum of Ten
Dollars and other good and valuable consideration to said Grantor
in hand paid by said Grantee, the receipt whereof is hereby
acknowledged, has granted, bargained and sold to the said Grantee,
and Grantee's heirs, successors and assigns forever, the sanitary
sewer lift station, water and sewer utility facilities and all
irrigation distribution lines lying within the following described
land, together with any appurtenant easement rights of Grantor for
the operation, installation and maintenance of said facilities,
situate, lying and being in Collier County, Florida, to wit:

incorporated by reference herein.)
and said Grantor does hereby fully warrant the title to said
sanitary sewer lift station, water and sewer utility facilities and
all irrigation distribution lines, and will defend the same against
the lawful claims of all persons whomsoever. For the purposes of
this conveyance, the sanitary sewer lift station, water and sewer
utility facilities and all irrigation distribution lines conveyed
herein shall not be deemed to convey any of the lands described in
Exhibit "A". Grantor and Grantee are used for singular and plural,
as context requires.

1. This Affidavit is given as an inducement to the Board of
County Commissioners of Collier County, Florida, as the governing
body of Collier County and as Ex-Officio the Governing Board of
the Collier County Water-Sewer District to accept from the Pelican
Marsh Community Development District (the "District"), the
conveyance of water and sewer utility facilities and all irrigation
distribution lines located within or upon the real property
described in the attached Exhibit "A", said land being located in
Collier County, Florida.
2. The Affiant is the counsel of record for the District.
3. The Affiant has reviewed and relied upon the Attorney's
Affidavit of Vivien N. Hastings dated October 2, 1997, in the
transaction whereby the District acquired title to the items
referenced in the Bill of Sale and Utilities Facilities Warranty
Deed from WCI Communities Limited Partnership (f/k/a WCN
Communities of Naples, Inc.), a copy of said Bill of Sale and
Utilities Facilities Warranty Deed being attached hereto as
Exhibits "B" and "C" respectively, and further Affiant has relied
upon vivien N. Hastings' examination of record title information to
both the real and personal property referenced in his affidavit,
including but not limited to, information requested from the
Florida Secretary of State relative to any Uniform Commercial Code
financing statements.
4. The owner of the property being conveyed by the Bill of
Sale and Utilities Facilities Warranty Deed to Collier County is
the Pelican Marsh Community Development District (hereinafter
"District"). The District acquired title to the subject property
by the aforesaid instruments from WCI Communities Limited
Partnership (f/k/a WCN Communities of Naples, Inc.).

5. The Affiant has reviewed and examined information
obtained from the State of Florida as to the Pelican Marsh
Community Development District and has determined that the Pelican
Marsh Community Development District has been duly established as
a community development district pursuant to the laws of the State
of Florida and that John A. Pistor, as Chairman of the Pelican
Marsh Community Development District, is authorized to execute the
instruments on behalf of the District in conjunction with the
conveyance of the subject water and sewer facilities and all
irrigation distribution lines.
6. Affiant further states that the Pelican Marsh Community
Development District has not executed any mortgage, lien or other
instrument or document which could or might have the effect of
creating a lien or encumbrance upon all/~/~ portion of the

THIS BILL OF SALE evidencing the sale and conveyance of the sanitary sewer lift station,
water and sewer utility facilities and all irrigation distribution lines described herein is made this

WCI COMMUNITIES IJMITED PARTNERSHIP, a Delaware limited partnership (hereinafter
referred to as "Seller"),
and the PELICAN MARSH COMMUNITY DEVELOPMENT DISTRICT, a political subdivision
of the State of Florida, its successors and assigns, (hereinafter referred to as "Buyer").
WITNESSETH:
That said Seller, for and in consideration of the sum of Ten Dollars ($10.00) and other
good and valuable consideration to said Seller in hand paid by the said Buyer, the receipt of
whereof is hereby acknowledged, has granted, bargained, sold, transferred, set over and delivered,
and by these presents does grant, bargain, sell, transfer, set over and deliver unto the Buyer, and
the Buyer's heirs, successors and assigns forever, that certain sanitary sewer lift station and all those
certain water and sewer utility facilities and all irrigation distribution lines lying within the
following described land, together with appurtenant easement rights for the operation, installation
and maintenance of said sanitary sewer lift station, water and sewer utility facilities and all

The Seller, for itself and its successors hereby covenants to and with the Buyer and its

that said goods and chattels are free from all liens and encumbrances; that it has good right, title
and authority to sell same, and that it will warrant and defend the same against the lawful claims

It is my understanding t~om discussions with Anthony P. Pires, Jr., the attorney for the Pelican Marsh
Community Development District (the "District"), that among the documents necessary for the above-
referenced conveyance, it is necessary, if the County is to rely upon the Attomey's Affidavit provided
by me on behalf of WCI Communities Limited Partnership to the District, that I provide authorization
and approval to the County to utilize and rely upon my Affidavit previously provided to the District. A
copy of this Affidavit is attached hereto as Exhibit "B".
By this letter, I hereby provide to you the authority and approval for Collier County and the Collier
County Water-Sewer District to utilize and rely upon the attached Attorney's Affidavit previously
provided by me to the District, as Collier County and the Collier County Water-Sewer District will be
standing in the stead of the District by virtue of the District's conveyance by Bill of Sale and Warranty
Deed of the subject sanitary sewer lift station, water and sewer utility facilities and all irrigation
distribution lines lying within the property described in Exhibit "A" attached hereto. If you have any

1. My name is Vivien N. Hastings, I am over the age of twenty-one (21) years, am
otherwise sui juris, and have personal knowledge of the facts contained herein.
2. I am a licensed attorney, Florida Bar f0856614, authorized to practice law and am
practicing law in the State of Florida. My business address is 24301 Walden Center Drive, Bonita
Springs, Florida 34134.
3. This Affidavit is given as an inducement to the Pelican Marsh Community
Development District, a political subdivision of the State of Florida, to accept the dedication or
conveyance of a sanitary sewer lift station, water and sewer utility facilities and all irrigation
distribution lines located within or upon the real property described in the attached Exhibit "A",
which is incorporated herein by reference, said land being located in Collier County, Florida.
2. The Affiant has examined record title information to both the real property
referenced in this affidavit, including but not limited to, information requested from the Florida
Secretary of State relative to any Uniform Commercial Code financing statements.
3. The record owner of the real and personal property described herein is WCI
Communities Limited Partnership, successor by merger of WCN Communities, Inc. (formerly
Westinghouse Communities of Naples, Inc.), a Delaware limited partnership (hereinafter
"Owner"). The Owner acquired record rifle to the subject real property by insmunents recorded in
O.R. Book 1787, Page 831, and recorded in O.R. Book 1904, Page 1382, all of the Public
Records of Collier County, Florida (copies attached).
The Affiant has examined parmership information obtained from the State of
Delaware and the State of Florida on WCI Communities Limited Parmership and has determined
that WCI Communities Limited Partnership is current and active as a parmership in the State of
Delaware and that the partnership is currently authorized to do business in the State of Florida, and
Jerry H. Schmoyer, Senior Vice President is authorized by virtue of that certain Certificate of
Authority/Power of Attorney recorded in Official Records Book 2301, Page 3188 of the Public
Records of Collier County, Florida, to execute the instruments on behalf of the parmership in
conjunction with the conveyance of the subject real and personal property.
5. Affiant states that the subject real and personal property is encumbered of record

This is to inform you that the above referenced project has been granted preliminary, approval on
May 5, 1998 by Engineering Review in compliance with Collier County Land Development
Code, Section 3. All water and/or sewer facilities approved, accepted and required to be
maintained by Collier County shall be conveyed to the County pursuant to the provisions set
forth in Collier County Ordinance No. 97-17, as amended. Prior to Certificate of Occupancy
within this Unit the roadway and drainage must also receive preliminary approval.
You are reminded that it is your responsibility to petition the Development Services Director for
final approval of the improvements upon the expiration of the minimum one (1) year
maintenance period. After satisfactory completion of all final inspections., the Board of County
Commissioners shall grant final approval of the required improvements establishing County
responsibility for maintenance of the required improvements if it is the Board's desire to accept
and maintain the facilities.

WARRANTY
The undersigned, RDMC, Inc., does hereby warranty and/or guarantee the water
and sewer facilities of the following to be free from defects of material and workmanship
for a period of at least one year from the date of acceptance of Collier County Utilities:
"Pelican Marsh Unit Sixteen" located in Section 35, Township 48 South,
Range 25 East, Collier County, Florida.
The undersigned party further agrees that they will at their own expense, repair
and replace all such defective work and all other work damaged by said defective work
under this warranty-guarantee. It is further understood, that the consideration for the
giving of this warranty and/or guarantee is required by the general conditions and
specifications under which this contract was let.
