EXECUTIVE SUMMARY
Recommendation to approve the conveyance of lands on Immokalee Road and waive the automatic
reservation of phosphate, minerals, metals, and petroleum rights required under Sec. 270.11(1),
F.S. (Fiscal Impact: $0)
OBJECTIVE: To obtain the Board of County Commissioners' approval to convey a fee simple
interest in a parcel of land (hereinafter "Parcel 806") along Immokalee Road on which a
stormwater retention and treatment pond is located, reserving to the County a perpetual, non-
exclusive drainage, utility and maintenance easement over the entire property, waiving the
reservation of rights to any and all phosphate, minerals, metals and petroleum required pursuant
to the provisions of Section 270.11(1),F.S.
CONSIDERATIONS: On September 13, 2005, a Stipulated Final Judgment (hereinafter
"Judgment") between property owner, Mary Wagner, and Collier County was entered with the
Circuit Court settling the lawsuit styled Collier County, Florida, vs. Tree Plateau Co., Inc, et al.,
as to Parcels 106 and 806. The Judgment reserved to Mary Wagner the right to request, within
ten (10) years from the date thereof, that the County convey to Mary Wagner, or her successors
and assigns, a fee simple interest in Parcel 806; and upon such request the County would convey
a statutory deed to Parcel 806, reserving unto the County a drainage, utility and maintenance
easement over Parcel 806. The Judgment further provided that Mary Wagner, or her successors
or assigns may amend the drainage pond thereon to add, move, alter or modify same subject to
the permitting requirements of the South Florida Water Management District.
A request for said conveyance by statutory deed has recently been received from an assignee of
Mary Wagner and also by Mary Wagner.
A Statutory Deed has been prepared conveying Parcel 806 to Mary Wagner, reserving to the
County a perpetual, non-exclusive easement for drainage, utilities and maintenance over the
entire parcel and containing a condition at the request of the County Attorney's Office stating
that the retention pond may not be moved or relocated; but that the pond may be resculpted
subject to County approval.
The Developer of the parent tract of Parcel 806 is currently processing a petition to rezone the
property to a residential planned unit development.
Pursuant to the requirements of Section 270.11(3), F.S., the County has also received a petition
from counsel for Rock Development Group, LLC requesting a release by the County of its lawful
reservation of any and all phosphate, minerals, metals and petroleum in Parcel 806 in accordance
with the provisions of Section 270.11(1), F.S., which provides: Unless the applicable agency
chooses not to reserve such interest and except as otherwise provided by law, in all contracts
and deeds for the sale of land executed by the Board of Trustees of the Internal Improvement
Trust Fund or by any local government, water management district, or other agency of the state,
there shall be reserved for such local government, water management district, other agency of
the state, or the board of trustees and its successors an undivided three fourths interest in, and
title in and to an undivided three fourths interest in, all the phosphate, minerals, and metals that

are or may be in, on, or under the said land and an undivided one-half interest in all the
petroleum that is or may be in, on, or under said land with the privilege to mine and develop the
same.
The County Manager's designee and the County Attorney recommend to the Board that it
approve said conveyance, and authorize its Chairman to execute the statutory deed on behalf of
the Board.
FISCAL IMPACT: There is no fiscal impact associated with this recommendation. The
property owner will be responsible for recording the statutory deed in the Official Records of the
Clerk of Court.
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and
requires a majority vote for Board approval. - HFAC
GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated
with this Executive Summary.
RECOMMENDATION:
1. Approve this recommendation and authorize its Chairman to execute the attached statutory
deed on behalf of the Board; and
2. Authorize the County Manager or his designee to deliver said statutory deed to
representatives of Mary Wagner.

Dear Mr. Klatzkow and Ms. Ashton-Cicko:
This petition request for release of mineral rights is filed pursuant to §270.11(3) Florida
Statutes.
I represent Rock Development Group, LLC which is a contract purchaser from Mary H.
Wagner of a portion of the real property which is the subject of pending Rezoning Application No.
PUDZ-PL20150000204,the Abaco Club PUD. The remaining portion of property that is included
in the Rezoning Application is owned by Collier County pursuant to an eminent domain Stipulated
Final Judgment,which is attached as Exhibit"A".
As provided in that Judgment, the County will be conveying by statutory deed to Ms.
Wagner or her successors and assigns, its interests in what is identified as "Parcel 806" in the
Judgment. Attached as Exhibit"B”is the proposed statutory deed prepared by County Staff. That
deed with its conditions is acceptable to my client.
Please schedule for Board of County Commissioners' approval at the earliest possible date
in January for the execution of the statutory deed,which contains the release of mineral rights.

WITNESSETH that the Grantor, for and in consideration of the sum of Ten
Dollars, ($10.00) to it in hand paid by the Grantee, receipt whereof is hereby
acknowledged, does hereby grant, bargain and sell unto the Grantee, the following
described land lying and being in Collier County, Florida:
See attached Exhibit"A" (attached hereto and made a part hereof.)
Reserving to the Grantor a perpetual, non-exclusive easement for drainage,
utilities and maintenance over the entire parcel. The retention pond may not be
relocated without (1) a replacement drainage easement acceptable to the County
as to size and available capacity and an access easement providing for access by
government vehicles and/or agents to the relocated pond site; and (2) a
developer's agreement between the Collier County and the developer/owner
setting forth the details of the pond relocation.
AND the Grantor hereby releases, for itself and its successors, any and all interest
reserved to Grantor under the provisions of Section 270.11, Florida Statutes, in the
phosphate, minerals, metals and petroleum in, on or under said land, and right of entry
and privilege to mine and develop the same.
IN WITNESS WHEREOF the said Grantor has caused these presents to be
executed in its name by its Board of County Commissioners acting by the Chairman or
Vice Chairman of said Board, the day and year aforesaid.

This firm has the pleasure of representing Rock Development Group, LLC ("Rock")
in the above-referenced matter. You may recall that Rock is the contract purchaser of that
certain parcel located in Collier County, Florida, identified as Parcel ID No. 00191960004
("Property"), which Property is presently owned by Mary H. Wagner. Pursuant to the
terms of that certain Stipulated Final Judgment, dated September 14, 2005 ("Final
Judgment"), Ms. Wagner was granted the right to require Collier County to convey to her
or her successors or assigns, fee simple title to certain property located immediately
adjacent to the Property, as referenced the Final Judgment as "Parcel 806" ("Adjacent
Property"). You may also recall that Ms. Wagner has previously assigned all of her rights,
title, interest and obligations to the Adjacent Property under the Final Judgment to Rock by
virtue of that certain Assignment of Rights Under Stipulated Final Judgment dated March
10, 2015 and recorded March 16, 2015 in Official Records Book 5129, Page 1435, Public
Records of Collier County, Florida ("Assignment"). I have enclosed copies of the Final
Judgment and Assignment for your review.
We hereby request, on behalf of Rock, that fee simple title to the Adjacent Property
be conveyed to Rock Development Group, LLC, as assignee of the rights of Mary H.
Wagner to the Adjacent Property under the Final Judgment. Per our conversation earlier
this spring, we have obtained Mary's signature on this letter to further demonstrate her full
cooperation with this request.

Tree Plateau Co., Inc., et al., Collier County Case No. 03-0519-CA, and pursuant to that
certain Stipulated Final Judgment,dated September 14,2005 (attached as Exhibit"C" to the
Purchase Agreement) ("Judgment"), Assignor has the right to require Collier County,
Florida ("County") to convey to Assignor or Assignor's successors or assigns fee simple
title of the Adjacent Property.
WHEREAS, in connection with the sale of the Property to Assignee, Assignee
desires to acquire and Assignor has agreed to assign all of Assignor's rights, title,interests
and obligations to the Adjacent Property under the Judgment to Assignee, all as more
particularly hereinafter set forth.
NOW,THEREFORE,in consideration of Ten and No/100ths Dollars($10.00)in hand
paid by Assignee to Assignor and other good and valuable consideration, the receipt,

adequacy and sufficiency of which are hereby acknowledged, the parties hereto agree as
follows:
1. Assignment and Acceptance. Subject to the provisions regarding the
termination of this Assignment set forth in this Section, Assignor hereby assigns, grants,
conveys and transfers to Assignee all of Assignor's rights,title, interests and obligations in
and to the Adjacent Property under the Judgment ("Adjacent Property Rights and
Obligations"). Such Adjacent Property Rights and Obligations shall include, without
limitation,the right to issue written notice to the County to convey fee simple ownership of
the Adjacent Property (described as Parcel 806 under the Judgment) to Assignee and the
right dedicate easements within the Adjacent Property benefitting the County (as set forth
in the Judgment) in connection with Assignee's acquisition of the Property under the

the delivery of this Assignment to Assignee, unless such losses, costs, expenses, claims or

assigns, may amend the drainage pond thereon to add to, move, alter or modify the drainage pond
subject to permitting requirements of the South Florida Water Management District, Collier County
Development Review and any other reviewing agencies all at the expense of Respondent, MARY
H: WAGNER, or her successors or assigns as the case may be The legal description of the pond
area will be revised accordingly. In such event, Respondent, MARY H. WAGNER, or her
successors or assigns, agrees to convey to Collier County a drainage, utility and maintenance
easement free and clear of all encumbrances for the pond area outside of Parcel 806. Respondent,
MARY H. WAGNER, or her successors or assigns, shall maintain the quantity and quality of the
County's drainage pond during any alteration or modification of the drainage pond. For all joint
uses of the drainage pond by Respondent, MARY H. WAGNER, or her successors or assigns,

gross acreage of Parcel 806 for the purpose of development of the remainder property; it is further
ORDERED that this Court reserves jurisdiction to award attorney's fees and costs for
