EXECUTIVE SUMMARY
Recommendation to approve an agreement between the Royal Poinciana Golf Club, Inc., Collier
County, and the City of Naples concerning the installation and maintenance of landscape
improvement within the median of a portion of Solana Road.
OBJECTIVE: To obtain the Board of County Commissioners'(Board) approval of an agreement
involving landscaping and irrigation within the median of Solana Road, a County road, where Royal
Poinciana Golf Club, Inc., will pay for the landscape design and installation, the City of Naples will
provide reuse irrigation water and electrical service and Collier County will assume the maintenance of
the improvements in accordance with the Landscape Beautification Master Plan upon completion and
acceptance of the installation.
CONSIDERATIONS: Through the Landscape Beautification Master Plan, possible funding scenarios
allow developers, municipal service taxing units (MSTUs) and homeowner associations (HOA) to
landscape four or six lane County roadways to County landscaping standards at their own cost. Through
this Plan,the County may assume funding the maintenance responsibilities subject to Board approval for
each request. Unlike the roadways listed in the Collier County Landscape Beautification Master Plan,
Solana Road is a local road and is not listed as a roadway eligible for landscaping. As such, this
Agreement is necessary to allow the County to assume maintenance of the landscaping improvements
within the median of this subject 0.091 mile stretch of Solana Road.
Royal Poinciana Golf Club, Inc., will be responsible for all permitting requirements and has submitted
landscape architectural plans to the Growth Management Department for pre-permitting review, attached
as Exhibit A to the Agreement. They will be installing trees, shrubs, groundcovers, and irrigation. Royal
Poinciana Golf Club, Inc., will pay for all permitting fees, landscape and irrigation improvements, and
installation costs associated with the project. The project site is limited to the first median east of
Goodlette Frank Road(.091 miles,or 485 feet).The County has already assumed maintenance of the 0.22
mile portion of Solana Road east of this portion,pursuant to an Agreement with the Big Cypress Golf and
Country Club Estates Homeowners Association, Inc., approved on June 26, 2012 (Item 16.A.8). The
County will assume maintenance of the improvements on this portion of Solana Road only after
acceptance of the completed improvements.
The City will be providing, at no cost to the County, reuse irrigation water and electrical service to the
Solana median for the benefit of the landscaping improvements. In the event the City ceases to supply
these services,the County may terminate the Agreement.
Solana Road was installed with bahia sod, irrigation sleeving, median backfill in preparation for future
landscaping. As part of the Goodlette Frank Road landscape overall maintenance contract (ITB 16-
6553R), the Collier County Road Maintenance Division maintains the Solana Road median and sides of
the right of way. With the approval of this agreement, Collier County would assume the additional
median landscape and irrigation maintenance. The City of Naples will provide reuse irrigation water and
electrical service. Royal Poinciana will remain liable to replace any improvements requiring replacement
for the first year after installation, and restore the site to its original condition in the event the Agreement
is terminated.
FISCAL IMPACT: The total annual cost of maintenance for Solana Road is $21,763 per mile, or
$1,980 for .091 miles (or 485 feet) for one median. Maintenance bids were requested based on the
proposed design and the estimated annual cost will be approximately$3,000,including side of the right of

way mowing. This is a proposed increase of approximately$1,000 annually.Bids for maintenance will be
requested prior to the completion of the improvements so that the County will be able to assume
maintenance by the time the completed improvements are approved.
GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this
Executive Summary.
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a
majority vote for Board approval-SAS.
RECOMMENDATION: To approve the Agreement between Royal Poinciana Golf Club, Inc., City of
Naples, and Collier County concerning the Installation and Maintenance of Landscaping Improvements
within the median of a 0.091 mile portion of Solana Road.

Improvements on Solana Road and on Moorings Park Drive Extension
As a follow up to a February 17, 2012 authorization, and consistent with the City's
Comprehensive Planning, the City's design and construction of divided streets with
medians has included the extension of reuse water and electricity for landscaping and
maintenance. As a part of the reconstruction of Solana Road to a divided road section
between Goodlette-Frank Road and Burning Tree Drive, utilities were extended to
provide for future median landscaping.
In support of the efforts of the property owners within the neighborhood and Collier
County to design, landscape and maintain medians on Solana Road, the City supports
the connection and use of the utilities in the first medians for the Solana Road project.

AGREEMENT CONCERNING THE INSTALLATION AND MAINTENANCE OF LANDSCAPING
IMPROVEMENTS ON SOLANA ROAD
THIS Agreement concerning the installation and maintenance of landscaping
improvements on Solana Road hereinafter referred to as the "Agreement") is made and
entered into on this 3 day of • , 2016 by and between the Royal Poinciana
Golf Club, Inc., whose mailing address i 1600 Solana Road, Naples, FL 34105, (hereinafter
referred to "Royal Poinciana"), the City of Naples, Florida (the "City"), a Florida Municipal
Corporation, whose address is 735 Eighth Street South Naples, FL 34102, and Collier County, a
political subdivision of the State of Florida (hereinafter referred to as "County"), whose mailing
address is 3299 Tamiami Trail East, Naples, Florida 34112.
WHEREAS, The City constructed Solana Road (0.091 miles) east of Goodlette Frank
Road and installed irrigation sleeving, curbing, and soil in preparation for future landscaping in
accordance with the Collier County Landscape Beautification Master Plan (hereafter, "Solana
Road"); and
WHEREAS, the County has accepted Solana Road as a County roadway; and
WHEREAS, Royal Poinciana has agreed to provide the initial landscaping and irrigation
improvements for that 0.091 mile portion of Solana Road described in Exhibit "A," attached
hereto, with the County assuming future maintenance of those installed landscaping and
irrigation improvements; and
WHEREAS, Royal Poinciana has committed to meeting all County landscaping and
Right-of-Way permitting requirements. Specifically, Royal Poinciana has committed to preparing
landscape and irrigation design plans, and paying all permitting fees and installing the
landscaping and irrigation improvements to enhance the median landscaping along that 0.091
mile stretch of Solana Road (See Exhibit "A", attached for landscape and irrigation
improvements plan); and
WHEREAS, the City is the water service provider in this area, and has an account with
Florida Power and Light to provide electrical service in this area; and
WHEREAS, the City has committed to the County and Royal Poinciana to supply reuse
irrigation water and electrical service to allow for the continuous maintenance of those identified
landscaping improvements for that portion of Solana Road; and
WHEREAS, the County, the City and Royal Poinciana have determined and mutually
agree that it is mutually advantageous and in the best interest of the public to consummate this
Agreement.
NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of which is
hereby mutually acknowledged, it is agreed by and between the parties as follows:
1. All of the above RECITALS are true and correct and are hereby expressly
incorporated herein by reference as if set forth fully below, and all Exhibits
referenced herein are made a part of this Agreement.
2, The County agrees, represents and warrants the following:

a. After Royal Poinciana installs the landscaping and irrigation
improvements identified in Exhibit "A" , and upon written acceptance of
said improvements, the County shall be responsible for the landscaping
and irrigation improvements future care and maintenance, as part of a
County managed and maintained landscape improvement project, subject
to the supply of reuse irrigation and electrical service as provided below in
Section 5 and subject to the availability of funding by the Collier County
Board of County Commissioners.
b. The County shall be responsible to maintain the points of connection to
the City's reuse water and electrical services and the irrigation system
necessary to irrigate the landscaping installed by Royal Poinciana in
connection with the project, as specified in Exhibit A, after the County
provides written acceptance of the completed improvements.
3. Royal Poinciana agrees, represents, and warrants the following:
a. Royal Poinciana shall provide the County and the City with detailed
landscape and irrigation plans for the area specified in Exhibit A prior to
beginning any work on County or City property.
b. Royal Poinciana shall coordinate and confer with the County, the City and
any other similarly situated parties as necessary throughout the
installation of the landscaping improvements and irrigation improvements
including connections to reuse water, and electrical service for this
project. Said coordination shall take place prior to beginning of any
construction or installation activities on County or City property.
c. Royal Poinciana shall install, subject to a Right-of-Way Permit, the
landscaping improvements and irrigation improvements including
connections to reuse water and electrical service for this project.
d. Following Royal Poinciana's installation of the landscape improvements
and connections to reuse water, and electrical service, the County will
assume maintenance upon written acceptance of the completed
improvements.
e. Royal Poinciana shall communicate and coordinate with the City
regarding the installation of reuse water connections to irrigate landscape
improvements installed along that 0.091 mile stretch of Solana Road east
of Goodlette Frank Road in accordance with the specifications attached
hereto in Exhibit "A". Royal Poinciana shall inform the City of the
anticipated irrigation schedule for said area specified in Exhibit A prior to
beginning any construction or installation activities on City property or to
City assets.
f. Royal Poinciana shall hold harmless, indemnify and defend County, the
City and its agents, officers and employees from any and all claims,
losses, penalties, demands, judgments, and costs of suit, including

attorney's fees, or any expense, damage or liability incurred by any of
them, whether for personal injury or property damage, arising directly or
indirectly on account of or in connection with Royal Poinciana's
construction of landscape improvements, irrigations improvements
connection to reuse irrigation water, and connection to electrical services
for the project.
g. Royal Poinciana shall be solely responsible for all costs directly and
indirectly associated with the design services, including all Right-of-Way
permits and all other required permits, including any costs to connect to
the City's reuse water and electrical services required to irrigate the
landscaping installed in connection with the project, as specified in Exhibit
A.
h. The County and Royal Poinciana understand and agree that they may
connect to the City's electrical service solely for the purposes of powering
the irrigation system required to irrigate the landscaping installed in
connection with the project, as specified in Exhibit A.
i. Royal Poinciana shall bear the entire cost of the initial landscape and
irrigation improvements and connection to the City reuse water and
electrical services for the identified portion of Solana Road. Upon notice
from County, Royal Poinciana shall remain and be responsible for the
replacement cost of any landscape improvements requiring replacement
within one year due to natural expiration and thereafter such
replacements shall be the responsibility of the County.
4. The City agrees, represents and warrants the following:
a. The City shall allow Royal Poinciana to connect to the existing City
services for electrical service and reuse water, at a location approved by
the City, provided Royal Poinciana shall be responsible for all costs
associated with designing, permitting and constructing said connections.
b. The City shall supply electrical service and reuse water to the project
without cost to the County or Royal Poinciana for the period ending July
1, 2021. The agreement to supply electrical service and reuse water may
be extended for up to two five-year terms thereafter (until July 1, 2031)
provided that Royal Poinciana, County and the City agree to extend the
agreement in writing, 60 days in advance of said ending dates defined
herein. Unless there is in place a new agreement or amendment
thereafter, the City may terminate this agreement for any reason at
anytime after July 1, 2019 with 90 days written notice to the County and
Royal Poinciana.
5. The County and Royal Poinciana agree that if the City ceases to provide reuse
water and electrical service anytime after Royal Poinciana's initial installation of
landscaping on Solana Road, County shall be relieved of its duty to maintain the
landscaping and the County may terminate this Agreement unless Royal
Poinciana provides a source of electrical service and reuse water acceptable to
the County subject to the provisions of paragraph 7 herein.

6. This Agreement and the terms and provisions hereof shall be effective as of the
date this Agreement is executed by both parties and shall insure to the benefit of
and be binding upon the parties hereto and their respective heirs, executors,
personal representatives, successors, successor trustees, and/or assignees,
whenever the context so requires or admits.
7. County shall have the right to terminate this Agreement without cause upon
ninety (90) calendar days' written notice to Royal Poinciana. In the event that the
County terminates this Agreement for any reason, the County shall advise Royal
Poinciana of the reason or reasons for such termination and the parties shall
attempt in good faith for a reasonable period of time to find an alternative
arrangement for the future maintenance of the landscaping that is acceptable to
the County. In the event Royal Poinciana and the County are unable to find a
solution, Royal Poinciana shall have 90 days to remove the landscaping, and
shall restore the site to its original condition. Should Royal Poinciana fail to
remove the landscaping within 90 days, the landscaping shall be deemed
abandoned and the County shall have the right to remove the landscaping.
8. It is further understood and agreed by and between the parties herein that this
agreement is subject to appropriation by the Board of County Commissioners.
9. Whenever necessary, the parties shall cooperate to fulfill their respective
obligations under this Agreement.
10.This Agreement may be amended by mutual written consent of the parties hereto
or by their successors in interest.
11. Should any part of the Agreement be found to be invalid, then such invalid part
shall be severed from the Agreement, and the remaining provisions of this
Agreement shall remain in full force and effect and not be affected by such
invalidity.
12.This Agreement is governed and construed in accordance with the laws of the
State of Florida.
