Revenue Agreement
Advertising Agreement The following terms are

2.Advertisers signing the commitment contract("Contract")will be bitted at the rates indicated in the Contract.Advertisers who
do not fulfill their original commitment will be re-billed at the level achieved.
3.Rates may be adjusted during the term of this Contract upon thirty(30)days written notice to Advertiser.Advertiser will have
ten(10)days from receipt of such written notice to terminate the agreement.If no such termination notice is received by
Publisher within that ten(10)day period,the new rates shall become effective twenty(20)days later.
4.At the request of Advertiser and upon mutual agreement of the parties,this Contract may be amended based on expected
increased spend,effective the first of the following month,at any time during the original term of the contract and enjoy
resulting lower rates through current term of the Contract.Previously run ads will not be re-rated at the lower rate.

6.The Publisher reserves the right to reject or cancel any advertisement at any time.
7.Advertising space cancelled after deadline wilt be bitted at the rate outlined in the Contract.
9.Advertisements are accepted to run on a Run of Paper("ROP")basis.Should Advertiser request a guaranteed position,
Publisher shall charge an additional 50%of the cost of the ad unless otherwise specified in the Contract.

11.The intellectual property rights to all advertising material,which shalt include the creative effort,illustrations,labor,
composition or other materials furnished by the Publisher,shall be the property of Publisher.Advertiser shall not authorize
photographic or other reproduction in whole or in part,of any advertisement for use in any other medium without the express
written consent of Publisher.
12.Advertiser agrees to pay all costs incurred by Publisher for collecting any amounts not paid per the terms of this Contract.
including reasonable attorney's fees and penalties.
13.In no event shall Publisher be liable to advertiser for any incidental,consequential,indirect or special damages of any nature
whatsoever,including,without limitation,lost business profits arising out of the publication of the advertising hereunder,
delays or failures in publication,or damages to any documents or other property of advertiser,whether in contract or in tort or
under any warranty theory,in negligence or otherwise,even if Publisher has been previously advised of the possibility of such
damages.In no event shall the Publisher be liable to Advertiser for any damages,direct or otherwise,in excess of the total
amount paid by advertiser to Publisher during the term for publication of advertisements hereunder.
14.Collier County,Florida shall be the place of venue for any action to enforce this contract or collect the monies due there under.

Addendum A
Revisions to Scripps NP Operating, LLC d/b/a Naples Daily News
Revenue Agreement#15-6516
The following changes to the above referenced Contract Terms have been mutually agreed to by Scripps NP
Operating, LLC, d/b/a Naples Daily News ("Publisher") and the Collier County Board of County Commissioners
("County" and "Advertiser"):
The additions to the existing language in the Contract are shown herein by underlining; deletions from the Contract are
shown by striket ghs.
Terms:
Delete items 1 and 2:
Contract.
2 Advertisers signing the commitment contract ("Contract") will be billed at-the-rates indicated in the Contract.
Advertisers who do not fulfill their original commitment will be re billed at the level achieved.
Replace item 1 with:
1. By signing a revenue commitment contract ("Contract"), the County will be billed at the rates indicated in the Rate
Card, attached hereto, further: "Advertiser" shall be defined as the individual County division staff that is placing
advertisements. Advertisements shall be placed upon issuance of a Purchase Order or through the use of a
Collier County Purchasing Card (Visa). Contract pricing shall be applicable to all County divisions and shall
automatically be applied as each order for advertising is placed.
Change item 5 as follows:
Payment will be made upon receipt of a proper invoice and in compliance with Section 218.70,
Florida Statutes, otherwise known as the"Local Government Prompt Payment Act." If payment has been made by
Purchase Order, the number of the Purchase Order shall appear on all invoices. Payments will be made for
services furnished, delivered, and accepted, upon receipt and approval of invoices submitted on the date of
services or within six (6) months after completion of contract. Any untimely submission of invoices beyond the
specified deadline period is subject to non-payment under the legal doctrine of "lathes" as untimely submitted.
Time shall be deemed of the essence with respect to the timely submission of invoices under this Agreement.
Replace item 8 as follows:
rate of$50 per hour for the revised ad unless otherwise specified in the Contract.
8. Advertisers are allowed up to three (3) sets of changes before additional charges may apply at the rate of fifty
dollars ($50.00) per hour.
Change item 10 as follows:
10. The County Advertiser or Advertiser's agent is solely responsible for the content of all advertisements and shall
indemnify, defend and hold harmless Publisher from any claim or lawsuit arising out of advertisements, subject to
the limitations of Section 768.28, Florida Statutes.
New item as follows:
15. All prior Agreements are hereby terminated the effective date of this Agreement.
All other terms and conditions of the Contract shall remain in force.

RATE CARD
DATED MARCH 1, 2016-FEBRUARY 29, 2017
By signing a revenue commitment contract (Contract), the County will be billed at the per column inch rate of$39.69 per
day on any day regardless of size or frequency in the Naples Daily News. This applies for all Non-Legal advertisements
otherwise known as "Run of Paper" ROP advertisements which exclude Legal advertisements. This rate includes color.
No further discounts will apply.
The per column inch rate for the Collier Citizen or the Marco Eagle will be $10 per column inch regardless of day of
publication, size and includes color. No further discounts will apply.
