Transmitted for execution by the Chairman of the Board of Commissioners is a
Purchase Agreement for the acquisition of Right-of-Way for the Goodlette-Frank Road
project.
Resolution No. 2001-114, adopted by the Board on April 10, 2001 (agenda item no.
16[B]2), authorizes the acquisition of road right-of-way, sidewalk, utility, drainage,
maintenance and temporary construction easements and/or fee simple title for the
Livingston Road six-laning project, and states in part, "In those instances where
negotiated settlements may be obtained via the "Purchase Agreement" or "Easement
Agreement" mechanism, the Director of the Public Works Engineering Department, or
his designee, is charged with the responsibility for completion of various capital
improvement projects, and is hereby delegated the authority to approve the purchase of
land interests above the staff compensation estimate or appraised value and pay
normally related costs when it is in the best interest of the Project, within the pro-rata
share of the land rights acquisition budget for the parcel being acquired, only when the
difference between the purchase price and compensation estimate or appraised value is
less than Twenty Five Thousand and 00/100 Dollars ($25,000.00) or the current
purchasing limits established by the Collier County Purchasing Department; provided,
Project funding is available."
The settlement reached with the property owner is within the limits as set forth in the
above-referenced resolution, and has been approved by the Project Manager for the
Goodlette-Frank Road expansion project. (See attached e-mail.)
Please ask the Chairman to execute the attached Purchase Agreement and forward to
the Clerk for attestation. The instrument may then be returned to this office for proper
fund and cost center coding prior to recording.

Please give me your opinion regarding negociation on Parcel 123, on Goodlette-Frank Project. Here is the situation:
Mr. Guzman bougth the property on October 4, 2001, paying $ 4.03 per square foot.
We offer Mr. Guzman, according appraisal, $ 23,750 with Temporary Construction Easement, on November 8, 2001.
Our offer was based upon the County's appraisal, dated October 11,2001, at a unit value of $ 9.00 per square foot.
The client hire Attorney Yovanovich and counter-offer for $ 38,550 plus $ 4,440 Atty's fees on November 28, 2001.
~Ve counter $ 29,650 including Atty's fees but Mr. Yovanovich said that Mr. Guzman accept the amount but he wants
County pays $1,947 for his fees, if closing occurs by March 1,2002.
Please advise, the amount they're asking excced the 25% over initial offer.

PURCHASE AGREEMENT
THIS PURCHASE AGREEMENT (hereinafter referred to as the "Agreement") is
made and entered into this l~ day of ~_..~, 200C~z--, by and between CARLOS
GUZMAN, a married man (hereinafter referred to as "Owner"), and COLLIER
COUNTY, a political subdivision of the State of Florida, its successors and assigns
(hereinafter referred to as "Purchaser");
WHEREAS, Purchaser requires a fee estate in that land described in Exhibit "A"
and a three (3) year Temporary Construction Easement across those lands described in
Exhibit "B" (hereinafter collectively referred to as the "Property"), which is attached
hereto and made a part of this Agreement; and
WHEREAS, Owner desires to convey the Property to Purchaser for the stated
purposes, on the terms and conditions set forth herein; and
WHEREAS, Pumhaser has agreed to compensate Owner for conveyance of the
Property.
NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of
which is hereby mutually acknowledged, it is agreed by and between the parties as
follows:
1. Owner shall convey the Property to Purchaser for the sum of $30,000, payable by
County Warrant as follows: $28,000 to Owner and $2,000 to Owner's Attorney,
Goodlette, Coleman & Johnson, P.A. (said transaction hereinafter referred to as
the "Closing"). Said payment shall be full compensation for the Property
conveyed, including all landscaping, trees, shrubs, improvements, and fixtures
located thereon, and for any damages resulting to Owner's remaining lands, and
for all other damages and costs, including but not limited to expert and attorney
fees, in connection with conveyance of said Property to Purchaser.
Prior to Closing, Owner shall obtain from the holders of any liens, exceptions
and/or qualifications encumbering the Property, the execution of such
instruments which will remove or release such encumbrances from the Property
upon their recording in the public records of Collier County, Florida. On or before
the date of Closing Owner shall provide to Purchaser such instruments, properly
executed, as requested by the title insurance underwriter in order to insure the
"gap" and issue the title policy contemplated by the title commitment.
3. This Agreement shall be null and void, and of no further force or effect, unless
Closing shall occur on or before March I, 2002. At Closing, Purchaser shall
deliver the County Warrants to Owner and Owner's Attorney, and Owner shall
deliver the conveyance instrument to Purchaser in a form acceptable to
Purchaser.
4. Conveyance of the Property by Owner is contingent upon no other provisions,
conditions, or premises other than those so stated herein; and the written
Agreement, including all exhibits attached hereto, shall constitute the entire
Agreement and understanding of the parties, and there are no other prior or
contemporaneous written or oral agreements, undertakings, promises,
warranties, or covenants not contained herein.

5. Owner is aware and understands that the "offer" to purchase represented by this
Agreement is subject to acceptance and approval by the Board of County
Commissioners of Collier County, Florida.
6. Owner represents that to the best of his knowledge and without investigation, the
Property and all uses of the Property have been and presently are in compliance
with ail Federal, State and Local environmental laws; that no hazardous
substances have been generated, stored, treated or transferred on the Property
except as specifically disclosed to the Purchaser; that the Owner has no actual
knowledge of any spill or environmental law violation on any property contiguous
to or in the vicinity of the Property to be sold to the Purchaser, that the Owner
has not received notice and otherwise has no actual knowledge of: a) any spill
on the Property, b) any existing or threatened environmental lien against the
Property or c) any lawsuit, proceeding or investigation regarding the generation,
storage, treatment, spill or transfer of hazardous substances on the Property.
This provision shall survive Closing and is not deemed satisfied by conveyance
of title.
Owner shall indemnify, defend, save and hold harmless the Purchaser against
and from, and to reimburse the Purchaser with respect to, any and all damages,
claims, liabilities, laws, costs and expenses (including without limitation
reasonable paralegal and attorney fees and expenses whether in court, out of
court, in bankruptcy or administrative proceedings or on appeal), penalties or
fines incurred by or asserted against the Purchaser by reason or arising out of
the breach of Owner's representation under Section 6. This provision shall
survive Closing and is not deemed satisfied by conveyance of title.
8. The Purchaser shall pay for all costs of recording the conveyance instrument in
the Public Records of Collier County, Florida. All other costs associated with this
transaction including but not limited to transfer, documentary and intangible
taxes, and recording costs for any curative instruments shall be borne and paid
by Owner. Owner shall be responsible for paying any costs and/or fees
associated with securing from mortgagee(s), and recording in the public records
of Collier County, Florida, such full or partial release(s) or satisfaction(s) as are
necessary to convey a clear and marketable title to the Property. The cost of a
title commitment shall be paid by Purchaser.
9. This Agreement and the terms and provisions hereof shall be effective as of the
date this Agreement is executed by both parties and shall inure to the benefit of
and be binding upon the parties hereto and their respective heirs, executors,
personal representatives, successors, successor trustees, and/or assignees,
whenever the context so requires or admits.
10. If the Owner holds the Property in the form of a partnership, limited partnership,
corporation, trust or any form of representative capacity whatsoever for others,
Owner shall make a written public disclosure, according to Chapter 286, Florida
Statutes, under oath, of the name and address of every person having a
beneficial interest in the Property before the Property held in such capacity is
conveyed to Purchaser, its successors and assigns. (If the corporation is
registered with the Federal Securities Exchange Commission or registered
pursuant to Chapter 517, Florida Statutes, whose stock is for sale to the general
public, it is hereby exempt from the provisions of Chapter 286, Florida Statutes.)
11.This Agreement is governed and construed in accordance with the laws of the
State of Florida.

TEMPORARY DRIVEWAY RESTORATION EASEMENT
THIS EASEMENT is granted this Ici day of .~e.~ , 200 9--, by
CARLOS GUZMAN, a married man (hereinafter referred to as "Grantor"), to COLLIER
COUNTY, a political subdivision of the State of Florida, its successors and assigns,
(hereinafter referred to as "Grantee").
(Wherever used herein the terms "Grantor" and "Grantee" include all the padies to
this instrument and their respective heirs, legal representatives, successors or assigns.
Grantor and Grantee are used for singular or plural, as the context requires.)
WITNESSETH, that the Grantor, for and in consideration of the sum of Ten Dollars
($10.00) and other valuable consideration paid by the Grantee, receipt of which is
hereby acknowledged, hereby conveys, grants, bargains and sells to the Grantee, a
Temporary Driveway Restoration Easement to enter upon the lands described as follows
(the "Easement Area"):
See attached Exhibit "A", which is
incorporated herein by reference.
Said Easement Area is NOT located upon the homestead property of the Grantor.
The Easement Area, which is adjacent to the permanent easement conveyed by
the Grantor to the Grantee, shall be used by Grantee for the purpose of filling, grading
and placing concrete, asphalt or rock, on the Grantor's lands for the purpose(s) of
constructing, with materials of like kind, a driveway/turnout and/or to provide for
continuous transition between the existing driveway and the newly constructed road,
sidewalk, and drainage improvements on Goodlette-Frank Road. This Temporary
Driveway Restoration Easement shall expire upon completion of construction or
September 30, 2005, whichever occurs first. However, if construction is not completed
by September 30, 2005, this Temporary Driveway Restoration Easement shall
automatically extend to September 30, 2006. Grantee shall use its best efforts to
restore the existing landscaping, plantings and light fixtures within the Easement Area to
its original condition.
