AMENDMENT TO INTERLOCAL VEHICLE LEASE AGREEMENT
BETWEEN COLLIER COUNTY BOARD OF COUNTY COMMISSIONERS
AND LEE COUNTY BOARD OF COUNTY COMMISSIONERS
THIS AMENDMENT TO Interlocal Vehicle Lease Agreement Between Collier
County Board of County Commissioners and Lee County Board of County
Commissioners entered into this 4th day of August , 2015 by and
between the Collier County Board of County Commissioners (hereinafter "Collier") and
the Lee County Board of County Commissioners (hereinafter referred to as "Lee")
WITNESSETH
WHEREAS, the Collier and Lee previously entered into a Interlocal Vehicle Lease
Agreement (the "Agreement") dated June 19, 2012 (see Exhibit "A," attached), which
articulated the duties and obligations of the Parties with respect to providing inter-county
public transit services between Collier and Lee Counties by utilizing the Collier Area
Transit and Lee County public transit operations; and
WHEREAS, in part, the Agreement provides that Collier shall lease a transit
vehicle to Lee to provide approved inter-county public transit services; and
WHEREAS, Section 2. Lease Term of the Agreement provided for a one year
termination date from the original date of the Agreement, June 19, 2012, but that the
Parties failed to take action to extend the term as allowable under that Section and
continued to perform as required under the Agreement; and
WHEREAS, Collier and Lee have enjoyed a successful relationship providing
inter-county public transit services and wish to extend the Lease Term provided in
Section 2 of the Agreement by ratifying their performance since the original termination
date and renewing and extending the Agreement so that the new term will automatically
extend for successive one-year periods, subject to the right to terminate as provided in
Section 19 of the Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and obligations
provided within the Agreement dated June 19, 2012 and other valuable consideration,
the Agreement is hereby ratified, renewed and extended so that the new term shall
automatically extend for successive one-year periods, subject to the right to terminate
as provided in Section of the Agreement.
Accordingly, Section 2. Lease Term shall be revised as follows:
The vehicle described in Exhibit "A" is leased to Lee effective as of the date this
agreement is fully executed. Proof of insurance coverage by Lee, as provided in
paragraph 9 must be provided to Collier prior to the effective date of the Lease
Agreement. The lease shall remain in automatically be extended for successive one-

year periods subject to the termination provisions in Section 19 effect until one year
from the date this agreement is fully executed, unless the contract is extended or
terminated as provided herein.
Except as expressly amended herein the Agreement between Collier and Lee
remains in full force and effect according to the terms and conditions contained therein.
IN WITNESS WHEREOF, the Parties have hereto executed this Amendment to

INTERLOCAL VEHICLE LEASE AGREEMENT
BETWEEN COLLIER COUNTY BOARD OF COUNTY COMMISSIONERS AND
LEE COUNTY BOARD OF COUNTY COMMISSIONERS
THIS INTERLOCAL VEHICLE LEASE AGREEMENT (the "Lease Agreement") is
made and entered into this 19 t h day of June, 2012
by and between the Collier County Board of County Commissioners(hereafter"Collier")and the
Lee County Board of County Commissioners(hereafter"Lee).
WHEREAS, on or about March 1, 2011, Collier and Lee entered into an Interlocal
Agreement (the "Inter-County Transit Agreement") to provide inter-county public transit
services between Collier and Lee Counties by utilizing the Collier Area Transit and Lee County
public transit operations;and
WHEREAS, section 3.2 of the Inter-County Transit Agreement states Collier County
obtained a grant from the Florida Department of Transportation (FDOT) to purchase a transit
vehicle (hereafter, the "vehicle") so that it could lease that vehicle to Lee County for the total
sum of$10.00 to provide inter-county transit services as long as that inter-county route remains
in service;and
WHEREAS,Lee is desirous of leasing from Collier the vehicle described in Exhibit"A;"
and
WHEREAS, the vehicle described in Exhibit "A" is the titled property of Collier and,
through this Lease Agreement,shall be leased to Lee County Transit;and
WHEREAS, Lee shall perform all functions and duties as described in Chapter 427,
Florida Statute,Rule 41-2,F.A.C.Rule 14-90,F.A.C. and in accordance with established system
standards,as amended,and the approved System Safety Program Plan,as amended; and
WHEREAS, Lee County shall comply with rolling stock maintenance requirements
mandated by the Federal Transit Administration (FTA) and/or as otherwise provided by the
terms of this Agreement;
NOW, THEREFORE, for and in consideration of the premises and covenants contained
herein,it is agreed as follows:
1. RECITALS
All of the above RECITALS are true and correct and are hereby expressly incorporated herein by
reference as if set forth fully below, and all Exhibits referenced herein are made a part of this
Lease Agreement.

2. LEASE TERM
The vehicle described in Exhibit"A" is leased to Lee effective as of the date this agreement is
fully executed.Proof of insurance coverage by Lee,as provided in paragraph 9 must be provided
to Collier prior to the effective date of the Lease Agreement. The lease shall remain in effect
until one year from the date this agreement is fully executed, unless the contact is extended or
terminated as provided herein.
3. DELIVERY
It is agreed by the Parties that Lee may accept delivery of the vehicle described in Exhibit"A"at
Collier's offices located at 8300 Radio Road, Naples, Florida on a mutually agreed upon date
and time.
4. OWNERSHIP OF LEASE EQUIPMENT
It is expressly understood and agreed by the Parties that the title(s)to the vehicle and all leased
equipment affixed to and/or supplied to Lee at the time of delivery as identified on Exhibit"A"
are the property of Collier, and Lee agrees not lease, loan, sell, sublet, assign or mortgage the
vehicle and any of its equipment, or lend or permit the vehicle and any of its equipment to be
subject to any legal process without Collier's prior written consent.
5. VEHICLE MAINTENANCE
5.1 Lee is responsible for maintaining said vehicle in first-class condition and repair in
accordance with the vehicle manufacturer's warranty and maintenance guidelines,
Florida Administrative Code Rule Chapter 14-90 Safety Rules and Federal Transit
Administration rolling stock maintenance requirements, as amended, and the terms
of this Agreement.
5.2 Lee shall investigate all warranty coverage issues/opportunities and shall seek
written authorization for Collier before performing any and all "major" repairs to
said vehicle. Major repairs are herein defined as repairs valued in excess of
$5,000.00.Lee shall be responsible for all costs associated with vehicle maintenance
whether or not the vehicle is covered under warranty at the time of repair.
5.3 Lee shall perform all "general" and "preventative" vehicle maintenance procedures
within the vehicle manufacturer's recommended time frames to ensure warranty
coverage. All costs associated with general and preventative vehicle maintenance
shall be borne by Lee.
5.4 Lee has no authority to place, or permit to be placed, any lien, encumbrance or
charge on the vehicle for said repairs or replacements. Lee agrees to keep the
vehicle free from all liens, encumbrances and charges of any nature whatsoever,
voluntary or involuntary,except the lien of taxes not delinquent.

5.5 Collier shall conduct a biennial physical inspection, to commence from the date of
delivery of the vehicle to Lee, to ensure that the vehicle is maintained in the
inventory in accordance with the requirements referenced in paragraph 5.1 of this
section. Collier shall provide 72 hour notice of a planned inspection so that Lee can
make the vehicle available for inspection.
5.6 Collier reserves the right to terminate this Lease Agreement as provided herein at
numbered paragraph 19 for(i) noncompliance of vehicle maintenance or operations,
unsafe driver operations, or improper vehicle usage or (ii) if when inspected by a
representative of Collier or any state or federal agency,the vehicle is found not have
been maintained properly, the vehicle is unsafe. Collier reserves all rights to
terminate the Lease Agreement as more fully provided in paragraph 19
"Termination."
5.7 Lee agrees to forward to Collier all written documentation of"major" repairs made
to the vehicle within 15 days of the date of repair. Major repairs are herein defined
as repairs valued in excess of$5,000.00.
6. RETURN OF VEHICLE
At the termination of the lease, Lee will return said vehicle to Collier in the same condition in
which it was received by Lee,ordinary wear and tear and natural depreciation only accepted,and
shall execute any and all papers necessary to effect the transfer of possession of said vehicle back
Collier, free of all claims from Lee. Loss, injury or destruction of the vehicle shall not reduce or
release the obligations of Lee hereunder. Tires shall be in good condition with a minimum
average of no less than 7/32"tread remaining.
7. ACCESSION/RECORD KEEPING
It is expressly understood and agreed that nothing in this Lease Agreement obligates Collier to
furnish maintenance and repair parts to Lee and that all Lee purchased parts installed on the
vehicle becomes the property of Collier with the exception of radios,communication equipment,
passenger counters,cameras and farebox. Lee agrees to maintain a complete and accurate record
with respect to an Collier furnished equipment, parts, if any; using such parts only in the repair
and maintenance of Collier's vehicle. All such records shall be maintained on a generally
acceptable accounting basis and shall be clearly identified and readily accessible to Collier upon
request,at any and all reasonable times.
8. INSURANCE
Lee shall provide insurance as follows:
8.1 Lee warrants and represents that it is self-funded for workers' compensation and
liability insurance, covering at a minimum bodily injury, personal injury and
property damage with protection being applicable to Lee's officers, employees,
servants and agents while acting within the scope of their employment during

performance under this Lease Agreement up to the statutory limitations specified in
Section 768.28 Florida Statutes.
8.2 Lee will maintain coverage that includes all Risk, Fire and Extended Coverage for
full replacement costs on all equipment, tools, supplies and contents used by Lee in
the performance of services under the Contract.
8.3 Verification of Coverage — Lee shall furnish Collier with proof of insurance
coverage, in a form acceptable to Collier, prior to accepting delivery of the vehicle
and commencing inter-county transit service with the vehicle as governed by this
Lease Agreement. Lee is to commence no activity with regard to performance of the
Lease Agreement until the required insurance is obtained.
8.4 Certificate Holder and Requirements — Collier County Board of County
Commissioners shall be named as Certificate Holder on any Certificate(s) of
Insurance that Lee may maintain in connection with this Lease Agreement as
follows:

Any such Certificate(s) will reference this Vehicle Lease Interlocal Agreement and
be provided to Collier prior to the commencement of inter-county transit service
provided with the vehicle as governed by this Lease Agreement.
8.5 Claims Information and Loss Run—Lee shall make available to Collier, through its
records or the records of their insurer, information regarding a specific claim. Any
loss run information available from Lee, or their insurer, will be made available to
Collier upon request.
9. OPERATING EXPENSES
License plates used on the leased vehicle shall be issued in the name of Collier. Collier shall
bear the cost of license plates and all other operating expenses incidental to the use of the leased
vehicle, and in the operation of the vehicle Lee shall comply with all laws, regulations, rules and
orders of lawfully constituted authorities. Collier will invoice Lee for reimbursement of the cost
of registering the vehicle, which shall be paid by Lee upon receipt of a proper invoice and in
compliance with Section 218.70 Florida Statutes, otherwise known as the "Local Government
Prompt Pay Act." All taxes applicable to the vehicle, except net income and franchise taxes of
Collier,which become effective during the term of this lease, shall be paid by Lee.

10. OPERATIONS
In operating the vehicle under this Lease Agreement,Lee agrees:
10.1 To limit the use of the vehicle to approved public transit services. No changes in use
of said vehicle shall be implemented by Lee unless prior written authorization is
received from Collier.
10.2 Not to make major alternations or modifications to the vehicle except with the
writing consent of Collier.
10.3 To precisely follow Collier's guidelines for affixing or painting any designs, or
marking signs on the vehicle. Neither commercial nor political campaign
advertising shall appear on the vehicle.
10.4 Not to use the vehicle in violation of Federal, State or municipal statute, law,
regulation,administrative ruling,order or county ordinance.
10.5 To hold Collier harmless from all fines, forfeitures or penalties for traffic violations
or other violations incurring in connection with the operation of the vehicle by Lee.
10.6 To cause the vehicle to be operated only by a fully qualified, competent, licensed
driver. Lee shall require each driver to have a good driving record and to operate
with all due care and diligence to prevent injuries, loss or damage of any nature.
10.7 To protect the vehicle from theft and other hazards while under Lee's control.
10.8 To be responsible for damages or loss to equipment in the event of disaster, fire,
theft, floor, riot, strikes, conversion, collision or other particular total destruction
except to the extent Collier may be reimbursed by payment of insurance proceeds.
10.9 To verbally notify Collier within 24 hours of Lee becoming aware of theft, fire,
improper performance,damage,accidents or collision;to supply a copy of any report
required to be filed with any administrative body or government unit, to supply a
written report, as presented in Exhibit "C" of any theft fire, accident or collision
involving the vehicle. In the event of failure to so notify Collier, Lee will be
responsible for any loss to Collier as a result of such failure; to cooperate fully with
Collier in any reasonable way to prevent loss; to aid in every reasonable way in the
defense of suits or other proceedings that may be brought as a result of the operation
of the vehicle;to notify Collier promptly of any papers,notices or documents served
upon Lee, its agents, servants or employees, arising out of the operation of the
vehicle.

In addition, Exhibit "C" entitled Community Transportation Accident Incidents
Report Form, shall be completed in full and submitted to Collier as follows: Part I
will be completed within 24 hours of an incident/accident; Part H will be completed
within 7 days of an incident/accident; and Part III shall be completed within 30 days
of an incident/accident.
10.10 Lee County will initiate any and all recoveries against third parties as a result of its
negligence.
10.11 To cause repairs of any damages to the vehicle within sixty (60) days after damage
occurs, unless Lee's insurance adjuster determines that the vehicle is a total loss and
unable to be repaired. Lee shall remain responsible for costs incurred to repair
and/or replace the damaged vehicle.
11. REQUIRED REPORTS
In addition to special reports as provided herein, Lee is responsible for providing Collier with
regular operating and maintenance reports as follows.
11.1 Records of inspection, corrective or preventative maintenance actions, including
identification and cost of parts used, labor hours and vehicle mileage shall be
recorded on work forms. The work forms shall be accumulated and submitted
quarterly, with a maintenance summary report and inspection checklists, as
applicable,to Collier.
11.2 Individual vehicle Maintenance Record Files shall be kept current by the Lee.
Records shall be available for Collier's review during periodic inspections.
11.3 If Lee does not have an established maintenance work order system, Collier will
provide forms for use by Lee. These forms will be completed and submitted, as
previously described.
11.4 Lee will submit maintenance summary reports for the vehicle with completed work
orders and preventative maintenance checklists, as applicable, attached thereto.
Reports will be submitted quarterly, within 15 days following the month covered by
the report and all reports, including attachments shall be legible.
11.5 Sample maintenance summary report forms are attached as Exhibit"B."

12.AUDITS AND INSPECTIONS
Lee agrees to permit Collier's designated representatives to audit all books, records and files
relative to the operation and maintenance of the vehicle; to assist in providing said documents
and information and to permit inspection of the vehicle by Collier's representatives.
13.INDEMNIFICATION
Lee hereby agrees to indemnify, defend, save and hold harmless Collier, its agents and
employees from any actions, claims, demands, suits or damages of all types arising out of or
resulting from Lee's negligence in the performance of this Lease Agreement. Lee agrees that its
obligation to indemnify Collier extends to, includes and shall not be limited to liability resulting
from injury and damage to any employee of Lee County regardless of whether Lee has paid the
employee under the provisions of any worker's compensation laws or similar legislation. It is
specifically understood and agreed that this indemnification agreement does not cover or
indemnify Collier for its sole negligence. The foregoing indemnification shall not constitute a
waiver of sovereign immunity beyond the limits set forth in Section 768.28 Florida Statutes.
14. GOVERNING LAW
This lease is executed in the state of Florida and shall be construed in accordance with the laws
of the state of Florida. On matters concerning the specific application of Federal transportation
laws or regulations,those specific laws or regulations shall govern.Any suit or action brought by
either party to this Settlement Agreement against the other part relating to or arising out of this
Settlement Agreement must be brought in the appropriate federal or state courts in Collier
County,Florida,which courts have sole and exclusive jurisdiction on all matters.
15. THIRD PARTY AGREEMENTS
Expect as otherwise authorized in writing by Collier, Lee shall not execute any contract or
obligate itself in any manner pertaining to the use or operation of the vehicle. Failure to obtain
such prior written approval shall be sufficient cause for termination of this Lease Agreement.
Collier specifically reserves unto itself the right to review the qualifications of any consultant or
contract and to approve or disapprove a contractual arrangement involving the vehicle.
16.DISADVANTAGED BUSINESS ENTERPRISE(DBE) OBLIGATION
Lee and its contractors agree to ensure that Disadvantaged Business Enterprises as defined in 49
CRF Part 23, as amended, have the maximum opportunity to participate in the performance of
contracts and this Lease Agreement. In this regard, all recipients, and contractors shall take all
necessary and reasonable steps in accordance with 49 CFR Part 23, as amended, to ensure that
the Disadvantaged Business Enterprise have the maximum opportunity to compete for and
perform contracts. Lee and any approved contractors shall not discriminate on the basis of race,
color,national origin or sex in the performance of this Lease Agreement.

17.TITLE VI—CIVIL RIGHTS ACT OF 1964 AND TITLE VII CIVIL RIGHTS ACT OF
1964
Execution of this Lease Agreement constitutes a certification that Lee will comply with all the
requirements imposed by Title VI of the Civil Rights Act of 1964, 42 USC §2000d - §2000d-7
and Title VII Civil Rights Act of 1964, 78 Stat. 253,as amended,42 USC §2000e-1 et seq., and

18.AMERICANS WITH DISABILITIES(ADA)ACT OF 1991
Execution of this Lease Agreement constitutes a certification that Lee will comply with all the
requirements imposed by the ADA,the regulations of the federal government issued there under,
and the assurance by Lee pursuant thereto.
19.TERMINATION
19.1 Collier may by written notice to Lee, terminate this Lease Agreement for any of the
following reasons.
19.1.1 Lee takes action under this Lease Agreement without prior approval of Collier as
required under the Agreement
19.1.2 Lee defaults under the provisions of this Lease Agreement.
19.1.3 Lee uses the vehicle in a manner not provided for or allowed under the Lease
Agreement.
19.1.4 Lee fails to provide insurance coverage limits as required under the Lease
Agreement at all times up and until the vehicle is physically returned to Collier.
19.1.5 Collier is unable to continue its contribution of physical assets under this Lease
Agreement due to budgetary constraints.
The failure of Collier to enforce at any time for any period of time any one or more of the
provisions of the Lease Agreement shall not be construed to be and shall not be a waiver of any
such provision or provisions or of its right thereafter to seek termination. Termination of this
Lease Agreement for any of the above reasons shall be effective upon Lee's receipt of written
notice from Collier. Written Notice under this Agreement may be made upon the parties'
representative as follows:

19.2 To enable the transportation service to be operated in an efficient, cost effective
method, either Party may, by mutual agreement, cancel or terminate this Lease
Agreement by no less than thirty(30)days written notice to the other party.
19.3 In the event of termination of this Lease Agreement, Lee agrees to proceed as
follows:
19.3.1 Lee will deliver the vehicle within 10 days after the termination date to Collier's
offices located at 8300 Radio Road, Naples, Florida between the hours of 9:00
AM and 3:00 PM,Monday—Thursday.
19.3.2 Lee will be responsible for the cost of repairing, replacing or restoring the
vehicle to fully operational condition prior to delivery to Collier.
19.3.3 Lee will insure that the tread remaining on the tires of the delivered vehicles is
no less than 7/32" on any of the tires to provide for safe transport by Collier to
the next destination and to be responsible for the cost of replacing tires not
meeting said standards.
19.4 Lee and Collier will designate representatives to inspect the returned vehicle and
document those items requiring repair, replacement or restoration. When
appropriate, photographic documentation should be included to chronicle any
disputed items between the Parties.
20.EXTENSION OF LEASE
Lee is authorized to extend this Lease Agreement annually for a period not to exceed three
hundred and sixty-five (365) days upon written consent of Collier. This extension will be for all
the equipment described in Exhibit"A."The terms of this Lease Agreement shall continue in full
force and effect during any extension of this agreement.
21. COMPLETENESS OF AGREEMENT
This lease sets forth all the agreements, terms, conditions and understandings, between Collier
and lee and there are no agreements, customs, usages,terms, conditions or understandings either
oral or written,expressed or implied, between Collier and Lee, as Collier and Lee, other than are
herein set forth, and that all negations or other acts made prior to the execution hereof shall be
deemed merged in, integrated and superseded by this Lease Agreement.

22. SEVERABILITY
Should any provision of the Lease Agreement be determined by a court to be unenforceable,
such a determination shall not affect the validity or enforceability of any other section or part
thereof.

DISABLING DAMAGE is damage that precludes the departure of any vehicle from the scene of an
accident in its usual manner in daylight hours after simple repairs. Disabling damage includes:damage to
vehicles that could have been operated,but would have caused further damage if so operated. Disabling
damage does not include:damage that could be remedied temporarily at the scene of the occurrence
without special tools or parts,tire disablement without other damage even if no space tire is available, or
damage to headlights,taillights,turn signals,horn,or windshield wipers that makes them inoperable.
