THIS SUBORDINATION, CONSENT AND JOINDER given this 311& day of July, 1998,
by CREDIT SUISSE FIRST BOSTON FIK/A CREDIT SUISSE, MIAMI AGENCY (hereinafter
referred to as "Mortgagee"), in favor of the BOARD OF COUNTY COMMISSIONERS OF
COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY
AND AS EX-OFFICIO THE GOVERNING BOARD OF THE COLLIER COUNTY W A TER-
SEWER DISTRICT, its successors and assigns, (hereinafter referred to as "County"). Mortgagee
is used as singular or plural, as the context requires.

WHEREAS, Mortgagee is the owner and holder of those certain mortgages recorded in
Official Records Book 1582, Page 224, et seq., Official Records Book 1079, Page 78, et seq.,
Modification Agreement recorded in Official Records Book 2215, Page 1531, et seq. of the Public
Records of Collier County, Florida (hereinafter referred to as "Mortgage"), encumbering the
premises as legally described and shown on Exhibit "A" which is attached hereto and incorporated

in any utility facilities located therein or affixed thereto. Except as subordinated to the easement
described herein over, under, and across the Easement Property or any utility facilities located

THIS INDENTURE made this 3r).. day of June, 1998, between EAGLE CREEK

And said Grantor does hereby fully warrant the title to said utility facilities, and will defend
the same against the lawful claims of all persons whomsoever. For the purposes of this conveyance,
the utility facilities conveyed herein shall not be deemed to convey any of the lands described in
Exhibit "jJ.;' and Exhibit "B". Grantor and Grantee are used for singular or plural, as context requires.

BEFORE ME, the undersigned authority, personally appeared DAVID J. AMICO, who to
me is well known, and having been duly sworn and under oath, deposes and states:
1. My name is DAVID J. AMICO, I am over the age of twenty-one (21) years, am sui
juris, and have personal knowledge of the facts contained herein.
2. I am the owner of said real property located at Eagle Creek Country Club, and legally
described on Exhibit "A".
3. All persons, firms, and corporations, including the general contractor and all
subcontractors, who have furnished seIVices, labor or materials according to plans and specifications,
or extra items, used in the construction or repair of water utility facilities on the real estate hereinafter
described, have been paid in full and that such work has been fully completed and accepted by the
owner.
4. No claims have been made to the Owner by, nor is any suit now pending on behalf of,
any contractor, subcontractor, laborer or materialman, and further that no chattel mortgages or
conditional bills of sale have been given or are now outstanding as to the subject utility facilities
placed upon or installed in the aforesaid premises.
5. The utility facilities described herein are not included in, encumbered by, or subject
to any real property mortgage, chattel mortgage, security agreement, Uniform Commercial Code
financing statement, or any other encumbrance.
6. As and on behalf of the owner of the subject utility facilities, does for valuable
consideration hereby agree and guarantee, to hold the Board of County Commissioners of Collier
County, Florida, as the governing body of Collier County and as Ex-Officio the Governing Board of
the Collier County Water-Sewer District harmless against any lien, claim or suit by any general
contractor, subcontractor, mechanic or materialman, and against chattel mortgages, security interests
or repair of the subject utility facilities. Affiant is used as singular or plural, as the context requires.
The utility facilities referred to herein are located within the real property described in the
attached Exhibit "A".

Sewer District to accept the dedication or conveyance of water utility facilities located within or upon the real
property described in the attached Exhibit" A", which is incorporated herein by reference, said land being
located in Collier County, Florida.
4. The Affiant has examined record title information to both the real and personal property
referenced in this affidavit, including but not limited to, information requested from the Florida Secretary
of State relative to any Uniform Commercial Code financing statements.
5. The record owner of the real and personal property described herein is Eagle Creek Properties, Inc., a
Florida corporation (hereinafter "Owner"). The owner acquired record title to the subject real property by
instrument recorded at Official Records Book 1309, at Page 0056, Public Records, Collier County, Florida
(copy attached)
Affiant states that the Owner is a Florida corporation which was created and presently operates in the State
of Florida, that the Owner is currently authorized to do business in the State of Florida and that David J.
Amico, as President of the Owner, is authorized to execute to the instruments on behalf of the entity in
conjunction with the conveyance of the subject real and personal property.
6.Affiant states that the subject real and personal property is encumbered of record by Credit Suisse First

This is to inform you that the above referenced project has been granted preliminary approval by
Engineering Review in compliance with Collier County Land Development Code, Section 3.
All water and/or sewer facilities approved, accepted and required to be maintained by Collier
County shall be conveyed to the County pursuant to the provisions set forth in Collier County
Ordinance No. 97-17, as amended.
You are reminded that it is your responsibility to petition the Development Services Director for
final approval of the improvements upon the expiration of the minimum one (1) year
maintenance period. After satisfactory completion of all final inspections., the Board of County
Commissioners shall grant final approval of the required improvements establishing County
responsibility for maintenance of the required improvements ifit is the Board's desire to accept
and maintain the facilities.

knowledge and belief the potable water distribution and sanitary sewer collection systems for Crystal
Lake Terraces - Eagle Creek Tract "M-2" have been completed in substantial accordance with the
enclosed plans, WMB&P, Inc. Drawing File No. D-1330 and specifications approved by Collier
County Project Plan Review Services.
Furthermore, to the best of our knowledge and belief the subject water and sewer facilities have been
constructed by the contractor within the public right-of-way and/or dedicated easements.

WARRANTY
The undersigned parties do hereby warrant and/or guaranty all work executed by the contractor
on the water and sanitary sewer systems of Phase one - Crystal Lake Terraces Tract M-2, Eagle
Creek to be free from defects in material and workmanship for a period of at least one ( I ) year from the
date of acceptance by the Collier County Board of County Commissioners. The undersigned parties
further agree that they will, at their own expense, repair and replace all such defective work and all other
work damaged by said defective work under this Warranty - Guaranty.
It is furthermore understood that the consideration for the giving of this Warranty and/or
Guaranty is the requirement by the General Conditions and Specifications under which the contract was
let that such Warranty and/or Guaranty would be given.

The East Naples Fire Control and Rescue District agrees to accept
ownership and maintenance of the hydrant(s) located at:
Waterford Drive (one hydrant)
This ownership and maintenance agreement shall not in any way be
construed to alleviate the owners, developers, contractors etc... from any
liabilitiy for damages that may occur subsequent to this agreement as a
result of faulty equipment, installation and/or damage by construction
vehicles. Further, the water supply to this/these hydrants shall
not be disconnected at any time hereafter without notifying the
East Naples Fire Department.
