UTILITY FACILITIES SUBORDINATION, CONSENT AND JOINDER
THIS SUBORDINATION, CONSENT AND JOINDER given this 30 day of April, 1999,
by SUNTRUST BANK, SOUTHWEST FLORIDA, a Florida corporation and state chartered bank
(hereinafter referred to as the "Mortgagee"), in favor of the BOARD OF COUNTY COMMISSIONERS
OF COLLmR COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND

WHEREAS, the County has requested that Mortgagee COllsent to, join in and subordinate its
Mortgage to the interest that County has in the Easement Property to which request Mortgagee has
agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt of which is hereby acknowledged, the Mortgagee does hereby consent to, join
in and subordinate the lien of its Mortgage to the grant of that certain easement described herein over,
under, and across the Easement Property and any interest of the County in the Utility Facilities located
therein or affixed thereto. Except as subordinated to the easement described herein over, under, and
across the Easement Property or the Utility Facilities located therein or affixed thereto, said Mortgage
shall remain otherwise in full force and effect.

BEFORE ME, the undersigned authority, on this day personally appeared Dale G. Hafele, the
Vice-President of Vanair, Inc., a Florida corporation, the sole general partner of Vanair Partners, Ltd.,
a Florida limited partnership, who to me is well known, and having been duly sworn and under oath,
deposes and states:
1. My name is Dale G. Hafele. I am over the age of twenty-one (21) years, am sui juris,
and have personal knowledge of the facts contained herein.
2. I am the Vice-President of V anair, Inc., a Florida corporation, the sole general partner
of Vanair Partners, Ltd., a Florida limited partnership, the owner (the "Owner") of said real property
located in Collier County, Florida legally described on Exhibit "A" attached hereto and incorporated by
reference herein (the "Property").
3. All persons, firms, and corporations, including the general contractor and all
subcontractors, who have furnished services, labor or materials according to the plans and specifications,
or extra items, used in the construction or repair of the water utility facilities (the "Utility Facilities ") on
the Property, have been paid in full and such work has been fully completed and accepted by the Owner.
4. No claims have been made to the Owner by, nor is any suit now pending on behalf of,
any contractor, subcontractor, laborer or materialman, and further that no chattel mortgages or
conditional bills of sale have been given or are now outstanding as to the Utility Facilities placed upon
or installed in the Property.
5. The Utility Facilities and Property are encumbered of record as noted on Exhibit "B"
attached hereto and incorporated by reference herein.
6. The Affiant, on behalf of the Owner of the Utility Facilities and not for himself, does for
valuable consideration hereby agree and guarantee, to hold the Board of County Commissioners of Collier
County, Florida, as the governing body of Collier County and as Ex-Officio the Governing Board of the
Collier County Water-Sewer District harmless against any lien, claim or suit by any general contractor,
subcontractor, mechanic or materialman, and against chattel mortgages, security interests or repair of the
Utility Facilities. Affiant is used as singular or plural, as the context requires.
The Utility Facilities referred to herein are located within the Property.

1. This Affidavit IS given as an inducement to the BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER
COUNTY AND AS EX-OFFICIO THE GOVERNING BODY OF THE COLLIER COUNTY W A TER-
SEWER DISTRICT to accept the dedication or conveyance of water utility facilities (the "Utility
Facilities ") located within or upon the real property described in the Exhibit "A" attached hereto and

2. The Affiant has examined record title information to both the Utility Facilities and the
Property, including but not limited to, Title Insurance Policy No. OPM-1270662, prepared by Attorneys'
Title Insurance Fund, Inc. dated October 17,1997 and Title Insurance Policy No. MP-2143520, prepared
by Attorney's Title Insurance Fund, Inc. dated July 31, 1998 including Endorsement Number One and
Endorsement Number Two (collectively the "Title Policy"), Attorney's Title Information Data System
update through April 8, 1999 at 11:00 p.m. (the "Update Search"), and information requested from the
Florida Secretary of State relative to any Uniform Commercial Code Financing Statements.
3. Based upon the Title Policy and the Update Search, the record owner of the Utility
Facilities and the Property is Vanair Partners, Ltd., a Florida limited partnership (the "Owner"). The
Owner acquired record title to the Property by instrument recorded in Official Records Book 2356,
Page 525 through 526, inclusive, of the Public Records of Collier County, Florida, a copy of which is
attached hereto and incorporated by reference herein as Exhibit "B".
4. Affiant has examined corporate information obtained from the jurisdiction under which
the Owner was created and presently operates, and the Owner is current and active within the State of
Florida. The Owner is currently authorized to do business in the State of Florida, and Dale G. Hafele,
as Vice-President of Vanair, Inc., a Florida corporation, the sole general partner of Vanair Partners, Ltd.,
a Florida limited partnership, is authorized to execute the instruments on behalf of the Owner in
conjunction with the conveyance of the Utility Facilities and the Property.
5. Based upon the Title Policy, Update Search and information provided by the Florida
Secretary of State relative to any Uniform Commercial Code Financing Statements, the Utility Facilities

partially completed in accordance with the plans and related materials pennitted by this agency under
Permit Number 146178-G01-])SGP dated October 16. 1998.
Based on this certification and satisfactory bacteriological results. we are approving these facilities for
service under the following conditions: If the bacteriological samples were collected prior to replacement of
the temporary backflow preventer or temporary construction meter with a final connection, then additional
bacteriological sampling is required. Upon completion of the final connection, collect a bacteriological
sample immediately downstream of the connection and submit the bacteriological results to the Departm
ent. hnmediate service can be provided if a precautionary boil water notice is issued for areas down stream
of the connection, until one day of satisfactory bacteriological results have been obtained (Two consecutive
days of satisfactory bacteriological results are required following any unsatisfactory result). Your
continued cooperation in our water supply program is appreciated.
