The Affiant has examined the 951 Land Holdings Joint Venture Agreement, and has determined that the Joint Venture is current and active within the State of Florida, that the Joint Venture is currently authorized to do business in the State of Florida, and that Mark J. Woodward, as Vice President of Gulf Bay 100, Inc., a Florida corporation, which is the General partner of Gulf Bay 100, Ltd., and T. Sano as President of Parcel Z, Inc. are authorized to execute all instruments (Deed, Easement, and Bill of Sale) on behalf of the Joint Venture in conjunction with the conveyance of the subject real and personal property. 4.
