address is 3301 Tamiami Trail East, Naples, Florida, 34112, THE EAST NAPLES FIRE
CONTROL AND RESCUE DISTRICT, an Independent Special District of the County of Collier,
State of Florida, created under Chapter 65-1413 and 79-444, Laws of Florida, and its successors and
assigns, whose post office address is 4798 Davis Boulevard, Naples, Florida 34112 and THE NORTH
NAPLES FIRE CONTROL AND RESCUE DISTRICT, an Independent Special District of the
County of Collier, State of Florida, created under Chapter 61-2032, Laws of Florida, and its successors
and assigns, whose post office address is 1780 Immokalee Road, Naples, Florida 34110, hereinafter
singularly or collectively referred to as "County and Districts".
WITNESSETH:
WHEREAS, the City is holder and owner of certain non-exclusive rights in, over and across the
area more particularly depicted in Exhibit "A", said rights including but not limited to rights obtained
and based upon the following:

WHEREAS, the County and Districts have obtained or will be obtaining from the fee simple
owner of the area described in Exhibit "B", a perpetual right and privilege of use for road right-of-way
over, upon, and across a portion of the area legally described in Exhibit "B", attached hereto and
incorporated herein by virtue of this reference (which premises are herein referred to as the "Easement
Area"); and
WHEREAS, the County and Districts have requested that the City consent, join in, and agree to
the mutual use of the Easement Area and the City has so agreed.
NOW, THEREFORE in consideration of Ten Dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the City does hereby
consent, join in and agree to the mutual use of the above referenced Easement Area by Collier County,
provided that:
1. The County and Districts agree to hold the City harmless for any damage to County and
Districts facilities as the result of the City operation; maintenance and repair of City facilities in the
Easement Area, except for damage caused as a result of the City's negligence;
2. The County and Districts agree to be responsible for the repair to City facilities within
the Easement Area as the result of any culvert construction activity or present and future public use of
the culvert installation; and
3. The County and Districts shall have the obligation to repair any damage to the City's
facilities within the Easement Area damaged as a result of the County's use thereof.

its successors and assigns, whose post office address is 4798 Davis Boulevard, Naples, Florida 34112
and THE NORTH NAPLES FIRE CONTROL AND RESCUE DISTRICT, an Independent
Special District of the County of Collier, State of Florida, created under Chapter 61-2032, Laws of
Florida, and its successors and assigns, whose post office address is 1780 Immokalee Road, Naples,
Florida 34110, hereinafter singularly or collectively referred to as "County and Districts", and

(hereinafter referred to as "Utility").
WITNESSETH:
WHEREAS, the Utility has an interest in that certain tract or parcel of land lying and being in
Collier County, Florida, more particularly described and set forth in Exhibit "A" attached hereto and
made a part hereof (hereinafter referred to as the "Property"); and
WHEREAS, the County and Districts have determined that this Property is suitable and
appropriate for a Road Right-of-Way for a joint Emergency Medical Services and Fire Station facility;
and
WHEREAS, the certain lands required for a Road Right-of-Way for the joint Emergency
Medical Services and Fire Station facility are currently being utilized by the School Board of Collier
County, Florida for ingress and egress as established in Official Records Book 539, Page 370 and
depicted in Exhibit .....

WHEREAS, the County's and Districts' proposed use of the Property as a Road Right-of-Way
for a joint Emergency Medical Services and Fire Station facility requires the subordination of the
interest in the Property by the Utility to the County and Districts; and
WHEREAS, the Utility is desirous of consenting to the subordination and the relocation of its
facilities from the Property, if necessary; and
WHEREAS the County and Districts are willing to pay to have the Utility's facilities relocated,
if necessary, to prevent conflict between the facilities so that the benefits of each may be retained;
NOW, THEREFORE, in consideration of the mutual covenants and promises of the parties
hereto, the receipt and sufficiency of which are hereby acknowledged, Utility and County and Districts
hereby agree as follows:
1. The Utility hereby subordinates any and all of its interest in the Lands described as follows:

to the interest of the County and Districts, their successors and assigns, for the purpose of a Road
Right-of-Way over, upon, and/or across said Property, including, but not limited to the claim of

2. The Utility shall have the right to construct, operate, maintain, improve, add to, upgrade,
remove, and/or relocate its facilities within and upon the Property in accordance with the County's
minimum standards for such facilities. Any construction or relocation of facilities within the Property
will be subject to prior approval by the County. If the County and Districts require the Utility to alter,
adjust, or relocate its facilities from or within the Property, the County and Districts hereby agree to
pay the reasonable cost of such alteration, adjustment, or relocation, including, but not limited to the
cost of acquiring appropriate easements.
3. The Utility shall have a reasonable right to enter upon the Property for the purposes outlined
in paragraph 2 above, including the right to trim such trees, brush, and growth which may endanger or
interfere with such facilities, provided that such rights do not interfere with the operation and safety of
the County's and Districts' facilities.
4. The Utility shall repair any damage to the County's and Districts' facilities and indemnify
the County and Districts from and against any loss or damage resulting from the exercise of its rights
as outlined in paragraphs 2 and 3 above.
5. These terms and conditions shall be attached as an addendum to that permit, if any, required
by the County for location of the Utility's facilities within the Property.
6. This Agreement shall be assignable only to the State of Florida for the use and benefit of the
County in connection with the Utility's installation and maintenance described above.

Medical Services and Fire Station facility are currently being utilized by the School Board of
Collier County, Florida as established in Official Records Book 539, Page 370 and depicted in
Exhibit "A"; and
WHEREAS, the County and Districts have obtained or will be obtaining from the fee
simple owner of the area described in Exhibit "B", a perpetual right and privilege of use for Road
Right-of-Way over, upon, and across a portion of the area legally described in Exhibit "B",
attached hereto and incorporated herein by virtue of this reference (which premises are herein
referred to as the "Easement Area"); and
WHEREAS, the proposed use of these lands for a Road Right-of-Way for a joint
Emergency Medical Services and Fire Station facility purpose will require subordination of the
interest claimed in such lands by Utility to the County and Districts, and at the request of the
County and Districts, the Utility has agreed, subject to the following conditions, to relocate its
facilities from the Utility's easement lands onto public right-of-way, or has agreed to leave its
facilities on the subordinated lands (hereinafter jointly referred to as "Lands", described in
Exhibit "B" attached hereto); and
-WHEREAS, the County and Districts are willing to pay to have the Utility's facilities
relocated, if necessary, to prevent conflict between the facilities so that the benefits of each may
be retained;
NOW, THEREFORE, in consideration of the mutual covenants and promises of the parties

excavate, and take materials for the purpose of constructing, operating and maintaining access connection to an
Emergency Medical Services and Fire Station facility, and for operating a road right-of-way for ingress and egress
over, upon and across the existing right-of-way thereon to serve said Emergency Medical Services and Fire Station
facility. Grantor and Grantee are used for singular or plural, as the context requires. The easement granted herein
shall constitute easements running with the land and shall burden the lands described above. This Easement is
granted pursuant to the terms and conditions of that Easement Agreement between the parties dated
