Addendum to As Is Contract & Addendum NEIGHBORHOOD STABILIZATION PROGRAM Property Address: 5418 23rd Court SW, Naples, FL 34116 Folio Number: 36308560009 ADDENDUM TO "AS IS" CONTRACT FOR SALE AND PURCHASE AND ADDENDUM "A" FIRST ADDENDUM TO CONTRACT BETWEEN THE UNDERSIGNED PARTIES CONCERNING THE PROPERTY AT 5418 23RD COURT SW. NAPLES. FL 34116 THIS ADDENDUM is entered into by and between US BANK NATIONAL ASSOCIATION, as INDENTURE TRUSTEE for the REGISTERED HOLDERS of AEGIS ASSET BACKED SECURITIES TRUST 2004-6, MORTGAGE BACKED NOTES c/o OCWEN LOAN SERVICING, LLC, Seller, and COLLIER COUNTY, a Political Subdivision of the State of Florida, Buyer. Buyer and Seller have entered into that certain "As Is" Contract for Sale and Purchase, and Addendum "A" First Addendum to Contract between the undersigned parties concerning the property at 5418 23rd Court SW, Naples, FL 34116 (hereinafter referred to as "Property") attached thereto, all dated of even date herewith, and Buyer and Seller wish to amend the foregoing with the following additional terms and conditions: 1. The "As Is" CI:>ntract for Sale and Purchase and Addendum "A" First Addendum to Contract and this Addendum to the "As Is" Contract for Sale and Purchase and Addendum "A" First Addendum to Contract shall, collectively, constitute the "Agreement" between the parties, which Agreement between the 'Jndersigned parties concerning the property at 5418 23rd Court SW, Naples, FL 34116, shall only be effective upon the execution of all three referenced documents by both parties. BUYER'S ACCEPTANCE OF THE "AS IS" CONTRACT FOR SALE AND PURCHASE AND ADDENDUM "A" FIRST ADDENDUM TO CONTRACT IS CONTINGENT UPON SELLER'S ACCEPTANCE OF "AS IS" CONTRACT FOR SALE AND PURCHASE AND ADDENDUM "A" FIRST ADDENDUM TO CONTRACT, AND BUYER'S ADDENDUM ATTACHED HERETO. TIME IS OF THE ESSENCE, AND THE TIME FOR ACCEPTANCE FOR THE "AGREEMENT" SHALL BE WITHIN TWO (2) BUSINESS DAYS UPON SELLER'S RECEIPT OF THE ENTIRE "AGREEMENT." 2. The Addendum "A" First Addendum to Contract is revised to reflect that the Agreement is dated of dven date herewith between US Bank National Association, as Indenture Trustee for the Registered Holders of Aegis Asset Backed Securities Trust 2004-6, Mortgage Backed Notes c/o OCWEN Loan Servicing, LLC., ("Seller") and Collier County, a Political Subdivision of the State of Florida ("Buyer"), and any requirements for initials are waived. 3. The purchase price shall be $58,900.00 as stated on the attached "As Is" Contract and on Addendum "A" First Addendum to Contract. 4. Paragraph Aof the Addendum "A" First Addendum to Contract is revised to reflect that the offer shall expire on October 14, 2009 @ 5PM EST. 5. Paragraph B (ii) of the Addendum "A" First Addendum to Contract is revised to reflect that the $1,000.00 Earnest Money Deposit will be made by wire transfer within fifteen (15) days following Buyer's receipt of the fully executed Agreement package. 6. Paragraph B (II) of the Addendum "A" First Addendum to Contract is revised to delete the word "non- refundable". 7. The Closing date as stated on the attached "As Is" Contract, and in Paragraph B (viii) of the A.ddendum "A" First Addendum to Contract shall be November 16, 2009 as accepted by both parties. 8. All requirements for Buyer's Initials at the bottom of Page 1 through and including Page 8 of the J:.ddendum "A" First Addendum to Contract are waived in their entirety. 9. Paragraph D of the Addendum "A" First Addendum to Contract is revised to reflect the Seller shall not assign its rights nor delegate its obligations without obtaining the Buyer's prior written consent. 1 NEIGHBORHOOD STABILIZATION PROGRAM Property Address: 5418 23rd Court SW, Naples, FL 34116 Folio Number: 36308560009 10. Paragraph G of the Addendum "A" First Addendum to Contract is deleted in its entirety. 11. Paragraph H (INSPECTIONS) and Paragraph J (REPAIRS) of the Addendum "A" First Addendum to Contract is hereby revised to reflect that Code liens, if any, prior to Closing are the responsibility of the Seller. 12. Paragraph IK of Addendum "A" First Addendum to Contract is revised to read "... FOR ANY REASON OTHER THAN SELLER'S DEFAULT, OR DEFECT IN TITLE..." 13. Paragraph M of the Addendum "A" First Addendum to Contract is revised to reflect that a Special Warranty Deed shall be the only acceptable method of transfer and conveyance, and any and all Affidavits required by Buyer will be provided by Seller fourteen (14) days prior to closing, any requirement for initials are waived. 14. Paragraph N of the Addendum "A" First Addendum to Contract is revised to reflect that Seller shall be responsible for payment of Documentary Stamp Taxes pursuant to Section 201.10, Florida Statutes, together with costs for recording any documents necessary to establish clear title to the property, and that Seller will furnish a copy of the Title Commitment (with all Exceptions) to Buyer fourteen (14) days prior to Closing. 15. Paragraph S of the Addendum "A" First Addendum to Contract is revised to reflect that $0.00 extension fee and $0.00 per diem fee shall be payable for each day the Closing is so extended. 16. The second sub-paragraph of Paragraph S Addendum "A" First Addendum to Contract is not applicable and is deleted in its entirety. 17. Paragraph V of the Addendum "A" First Addendum to Contract is revised to include "as long as the purpose of the Agreement is preserved", and any requirements for initials are waived. 18. Paragraph VV of the Addendum "A" First Addendum to Contract is deleted in its entirety, and any requirements for initials are waived. 19. Paragraph X of the Addendum "A" First Addendum to Contract is hereby deleted in its entirety. 20. The notation "See Attached Substitute Execution Page" at the middle of Page 8 of the Addendum 'A" First Addendum to Contract is acceptable. EXCEPT as expressly provided herein, the Agreement between the Purchaser and the Seller remains in full force and effect according to the terms and conditions contained therein, and said terms and conditions are applicable hereto except as expressly provided otherwise herein.
