AGREEMENT
PALM RIVER PARK
THIS PALM RIVER PARK AGREEMENT (hereinafter referred to as the "Agreement ")
is made and entered into this of mct�-c�. , 2014, by and between Wallace Homes of
Southwest Florida, Inc., a Florida corporation, whose mailing address is 9990 Coconut Road,
Suite 208, Bonita Springs, Florida 34135 (hereinafter referred to as "Developer "), Palm River
Homeowners and Civic Association, Inc., whose mailing address is Post Office Box 110002,
Naples, Florida 34108 -0101 (hereinafter referred to as "HOA "), and Collier County, Florida, a
political subdivision of the State of Florida, whose mailing address is 3299 Tamiami Trail East,
c/o the Office of the County Attorney, Suite 800, Naples, Florida 34112 (hereinafter referred to
as "County ").
RECITALS:
WHEREAS, Developer is the owner of Out Lot 1, Palm River Estates Unit No. 4,
according to the plat thereof, recorded in Plat Book 8, Page 69 of the public records of Collier
County, Florida, consisting of 1.39 acres of land located between the Cocohatchee Canal and
Piper Boulevard, west of Cypress Way East, Naples, Florida, (hereinafter referred to as the
"Property ") and
WHEREAS, the Property is located in the community generally known as "Palm River;"
and
WHEREAS, County currently maintains a four to five foot asphalt sidewalk and paved
shoulder that is need of repair and maintenance along Piper Boulevard and adjacent to the
Property; and
WHEREAS, HOA is desirous of working with both Developer and County to improve
the community character of Palm River and assist in developing a safe and attractive linear park;
and
WHEREAS, by working together the Collier County Growth Management Division
(GMD), the Collier County Public Services Division (PSD), Developer and HOA can provide a
linear public park described as the Palm River Linear Park (hereinafter referred to as "Project "),
that could not otherwise be created; and
WHEREAS, after reasoned consideration by the Board of Commissioners, the Board
finds and reaffirms that this Agreement is in the best interest of the public and will help finance
needed improvements and additions to the County's transportation and park systems; and that
this Agreement is consistent with both the public interest and with the Comprehensive Plan and
compliant with local zoning.
WITNESSETH:
NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and
valuable consideration exchanged amongst the parties, and in consideration of the covenants
contained herein, the parties agree as follows:

1. All of the above RECITALS are true and correct and are hereby expressly
incorporated herein by reference as if set forth fully below.
2. Collier County GMD shall design, permit and construct the Project as
approximately shown in Exhibit "A," with the summary and line item details described on
Exhibit `B." It is estimated that the cost of designing, permitting and constructing the Project is
approximately $364,000.
3. To partially defray County's costs, Developer shall pay County the sum of
$6,400, donate statuary installed valued at $16,600, and shall convey the Property to County free
and clear of any encumbrances. County will absorb all costs associated with the transfer of title,
except where required to cure any title defects. The Property is currently assessed at $100 on
Collier County's ad valorem tax rolls. Developer, his successors or assigns, will retain all
mineral rights under the Property in perpetuity.
4. To additionally defray a portion of County's costs, HOA shall pay County the
sum of $30,710 in cash and provide $12,290 of in kind design and permitting services.
5. Upon completion of the Project, PSD will assume the ongoing annual
maintenance of the improvements after they have been deemed completed per the plans and
specifications. The ongoing annual maintenance is estimated at $25,000.
6. County will initiate the Project after Developer and HOA have satisfied their
financial obligations under paragraphs 3 and 4 above. Should County fail to diligently initiate
the project, Developer and HOA may request that County promptly return the Property and funds
contributed.
7. County has inspected the Property, are familiar with its location, are satisfied with
and will accept the same "as is" in its current condition without claim against Developer for any
defects therein of any kind, latent or otherwise, and agree that Developer has made no warranty
or representation, express or implied, as to the condition of the Property or any portion thereof or
as to it permitted uses. County specifically acknowledges that they have made their decision to
accept the Property based on their own information and are not relying on Developer to furnish
them with any information. County acknowledges that Developer makes no representations or
warranties as to the condition of the Property or County's ability to use and develop same for
their intended purpose.
8. This Agreement shall not be construed or characterized as a development
agreement under the Florida Local Government Development Agreement Act.
9. The burdens of this Agreement shall be binding upon, and the benefits of this
Agreement shall inure to, all successors in interest to the parties to this Agreement.
10. Except as otherwise provided herein, this Agreement shall only be amended by
mutual written consent of the parties hereto or by their successors in interest. All notices and
other communications required or permitted hereunder (including County's option) shall be in

Notice shall be deemed to have been given on the next successive business day to the date of
the courier waybill if sent by nationally recognized overnight delivery service.
11. Developer and HOA shall execute this Agreement prior to it being submitted for
approval by the Board of County Commissioners. This Agreement shall be recorded by County
in the Official Records of Collier County, Florida, within fourteen (14) days after the County
enters into this Agreement. County shall pay all costs of recording this Agreement. County shall
provide a copy of the recorded document to Developer and HOA upon request.
12. In the event of a dispute under this Agreement, the parties shall first use the
County's then - current Alternative Dispute Resolution Procedure. Following the conclusion of
this procedure, either party may file an action for injunctive relief in the Circuit Court of Collier
County to enforce the terms of this Agreement, said remedy being cumulative with any and all
other remedies available to the parties for the enforcement of this Agreement.
