Number 2000-88,the Cocohatchee Bay Residential Planned Unit
Development,as amended by settlement agreement dated June 9,
2008,by increasing the permissible number of dwelling units from
590 to 652; by increasing the development area; by amending
Ordinance Number 2004-41,the Collier County Land Development
Code,to amend the appropriate zoning atlas map or maps by changing
the zoning classification of an additional 93.52± acres of land zoned
Residential Single Family (RSF-3) and Residential Single Family with a
Special Treatment Overlay (RSF-3-ST) to the Cocohatchee Bay RPUD,
being added thereto as preservation lands; by removing the Golf
Course "GC" tract and replacing with Residential "R2"tract; by
changing the residential development area to Residential "R1"and
"R2" development tracts to allow high-rise,low-rise and single-story
multi-family dwellings in "R1" and single family detached dwellings in
"R2"; by creating an Amenity/Recreation "AR"tract; by allowing
recreational amenities to be available to residents, club members and
their guests; by adding deviations; by restricting placement of docks to
within the water management lakes located within the RPUD; by
adding a private road cross section; by adding a Sidewalk Master Plan;

by revising Developer Commitments; and by providing an effective

sidewalks in Golden Gate City (20th Ct. SW,46th Terr. SW and
48th St. SW). The primary revision changes the grant
expiration and construction completion date from December
31, 2017 to November 22, 2016,with no change in the amount
of the grant award.

establish and maintain a deposit account used for payment to

COUNTY PRIORITY ISSUES THAT CAN BE ADDRESSED IN RULEMAKING RATHER THAN LEGISLATIVELY
The aforementioned issues should be addressed legislatively to ensure DEP has the specific legislative authority to enact
regulatory requirements and new rules to address those issues.The following are issues that DEP already has sufficient
legislative authority to address in rulemaking without further specific legislative authority being needed.
1. Review and amend, as necessary, all well and site construction requirements.
2. Amend Rule 62C-29 to require Class II injection wells have consistent permitting,well construction,testing,
operational, reporting,and plug and abandonment requirements as those stipulated for Class I Industrial
Injection Wells as per Rule 62-528 Underground Injection Control F.AC.,which are more stringent than those
required by Rule 62C-29.
3. Amend Rule 62C-28.004,which requires all tank batteries to be constructed upon sufficiently impermeable
pads,to include secondary containment for all fuel, hazardous materials/wastes (including exempted), piping,
wastes, and produced water storage tanks to minimize contamination risk to shallow groundwater and surface
water bodies.
4. Amend Rule 62C-27.005(1)to increase the surface casing depth to extend a minimum of 100 feet below the
deepest underground source of drinking water(USDW). Currently the rule stipulates that the surface casing be
set below deepest UDSW with no specified depth.
5. Amend Rule 62C-27.005(3)to increase the cement fill of the annular space to whichever is greater, either the
static fluid level of the reservoir or 1,500 feet above the uppermost producible hydrocarbon zone being used.
6. Amend Rule 62C-27.005 (4)to increase minimum surface pressure requirements for the production and tubing
and packer to 1.5 times the anticipated static, operational, or planned work-over/well stimulation pressures.
Current regulations stipulate a minimum surface test pressure for the production casing and tubing and packer
of 1,500 psi and 1,000 psi, respectively.These pressures may not be representative of work-over and production
activities for individual oil&gas wells.
7. Establish minimum annular cement thickness for the production casing—similar to minimum requirements for
water wells and Class I injection wells completed in Florida or specify API standards or practices.
8. Add a requirement that the FDEP conducts a minimum number of annual inspections in addition to the witness
requirements addressed in number eight.
9. Amend Rule 62C-28.005(1)to reduce the reportable spill volume from 210 gallons (5 barrels)to 25 gallons for
spills that occur during any oil and gas exploration, production,or completion activities including but not limited
to drilling,testing,work-overs. Spills of materials include but are not limited to drilling fluids, produced water,
fracking fluids, hazardous and petroleum products, hazardous and petroleum wastes,or materials and wastes
exempted from the hazardous waste rules. This amendment would be consistent with existing state regulations
for petroleum products not associated with oil and gas exploration/production activities.
10. Add a requirement that backflow prevention devices are installed,working, and tested weekly for all water
supplies onsite.

DECLARATION OF COVENANTS AND RESTRICTIONS
This Declaration of Covenants and Restrictions is made this 23rd day of March 2015
by, Lodge/Abbott Investments Associates LLC ("LI") and Lodge/Abbott Associates LLC
("LA"), each a Michigan limited liability company, for the benefit of the following entities all
being.and comprising property owner, homeowner, or condominium associations serving
residential communities that adjoin real property owned by LA and LI located in Collier County,
Florida as described on Exhibit "1" hereto (the "Property"). These entities are: The Villages of
Emerald Bay Condominium Association,Inc., Eden on the Bay Homeowners Association, Inc.,
Tower Pointe at Arbor Trace Condominium Association, Inc., Arbor Trace Condominium
Association, Inc., Glen Eden Homeowners Association, Inc., Falling Waters North Preserve,
Inc., Tarpon Cove Community Association, Inc., Wiggins Bay Foundation, Inc., Bay Forest
. Homeowners Association, Inc., Aqua at Pelican Isle Condominium Association, Inc., Marina
Bay Club of Naples Condominium Association, Inc., Anchorage of Naples Condominium
Association, Inc., Audubon Country Club Foundation, Inc., all of which are Florida non-profit
corporations(collectively.the"Benefited Parties"and each separately a"Benefitted Party").
Background
A. LA and LI respectively own separate parts of the Property which is and has been
zoned by Collier County as the Cocohatchee Bay PUD under and by virtue of Ordinance No.
2000-88 (the "Ordinance") as modified by a Settlement Agreement and Release dated June 9,
2008 between LA, as the then owner of the entire Property and the Board of County
Commissioners of Collier County (the "Settlement Agreement"), which is recorded in Official
Records Book 4368, Page 2345, of the Public Records of Collier County, Florida (collectively,
the Ordinance and the Settlement Agreement and its attached exhibit revising the Ordinance are
the"Current Zoning"); and
B. LA and LI have filed an application with Collier County under Petition Number
PUDZ-PL20130001813 (the "Petition") whereby they seek various changes to the Current •
Zoning; and
C. Members of some of the Benefitted Parties have objected to the Petition being
approved by Collier County for various reasons;and
D. LA and LI are aware of the objections and, although LA and LI disagree with
those objections, they are willing to make and provide this Declaration to the Benefitted Parties
so that if the Petition is approved by Collier County the terms and the covenants of and within
this Declaration will restrict use of the Property in accord with its terms irrespective and

independent of the applicable zoning, and whether and how it might thereafter be changed in the
future.
NOW THEREFORE, for and in consideration of the premises and other good valuable
consideration, the receipt and sufficiency of which is hereby acknowledge, LA and LI hereby
respectively declare that, subject to satisfaction of the conditions set forth in paragraph 5 hereof,
the Property shall be held subject to the covenants and restrictions described herein. Such
covenants and restrictions shall be deemed covenants running with the land burdening and
binding the Property for the benefit of the Benefited Parties and their respective successors in
interest.
1. LI and LA hereby make the following covenants:
a. The portion of the Property described on Exhibit"2" (being the R2 Tract
designated as such in the PUD Document forming part of the Petition) may be used only for the
development of sixty-two (62) single family platted lots and for the uses specified in Section
3.4.B. of the PUD Document forming part of the Petition. The improvements to be constructed
on these sixty-two (62)lots may not exceed thirty-five(35) feet in zoned height.
b. The portion of the Property described on Exhibit"3"(being the R1 Tract
designated as such in the PUB Document forming part of the Petition)may be used only for the
development of five hundred ninety (590) dwelling units and for the uses specified in Section
3.4.A.of the PUD Document forming part of the Petition.
c. The areas located on the part of the Property that is located west of
Vanderbilt Drive that are identified as Preserve Tract (designated as "P") in the Master Plan
forming part of the Petition shall be used only for the purposes specified in Section 5.3 of the
PUD Document forming part of the Petition.
d. The portion of the Property extending to US-41 that is described on
Exhibit "4" hereto (being a portion of the R2 Tract designated as such in the PUD Document
forming part of the Petition)shall be restricted as specified in Section 3.3 of the PUD Document
forming part of the Petition.
c. The areas identified in the PUD Document and visually depicted in the
Master Plan forming part of the Petition as the 100 foot landscape buffers abutting: (i) a portion
of the north property line of the R2 Tract; and (ii) a portion of the east property line of the R2
Tract shall not he reduced in size. Notwithstanding this, LI and its successors may maintain the
landscape buffers, and is expressly permitted to add, remove and replace existing vegetation as
necessary so long as the overall size of the aforementioned landscape buffer areas are not
reduced.
2. The covenants herein are independent of and are superior to the applicable zoning
for the Property as it now and hereafter may exist.

3. The covenants in this Declaration shall run in favor of, and are for the benefit of,
the'Benefited Parties,and may be enforced by any or all of them against LI and/or LA and their
respective successors in interest as the owners of the Property, by any and all appropriate legal
action and appropriate remedies,including,but not limited to,injunctive relief. In no event may
individual members of any of the Benefitted Parties enforce these covenants nor be considered or
deemed to have individual enforcement or other rights in and to them. The individual members
of the Benefitted Parties are expressly declared to not be third party beneficiaries of this
Declaration.
4. These covenants may be modified and/or terminated solely by an agreement in
writing between LI and LA and/or their successors in interest to the Property on the one hand,
and all of the Benefited Parties,on the other hand.
5. Notwithstanding anything to the contrary, this Declaration and the covenants
contained herein are made and granted subject to and conditioned on the Board of County
Commissioners of Collier County approving the Petition to modify the Current Zoning: (i) as
proposed in the Petition; or(ii) with such changes as are approved by LI and LA; and (iii) such
approved changes becoming final and non-appealable. If such final approval does not occur by
May 31,2015,then this Declaration and the covenants herein shall be null and void.

ECOLOGICAL/TERRESTRIAL BIOLOGY EXPERIENCE
Floral and Faunal studies established and conducted in Alaska, Guatemala, Dominican Republic,
Angola, and Zaire as well as throughout Florida. Studies conducted include species specific
population surveys, vegetation density and diversity surveys, vegetation composition surveys,
vegetation/ecological restoration projects. Work in Florida has been varied and ongoing for the
last seventeen years. Some of the specific projects completed and/or underway include;

• (1998-Present) Overseeing the restoration efforts on a 500+ acre mangrove preserve
(Clam Bay). Approximately 50 acres died in 1995 and we designed and implemented a
restoration plan geared towards the recovery of the die-off area. To date, the work has
been successful in that the area is recovering, wildlife utilization has vastly expanded,
and the new mangroves have now survived two hurricanes.
• (2010- Present) Environmental Manager for the Picayune Strand Restoration Project,
part of the Everglades Restoration (CERP) Project. Services include weekly conference
calls with engineers, consultants and governmental agencies; monthly wildlife education
presentations for all new onsite employees; construction oversight; coordination of new
nests and any wildlife sightings that are within construction limits or buffer zones; and
environmental reporting requirements.
• (2000-Present) Provided all biological services and expert testimony in the permitting of
a 1,500+ acre development which was designated as protected species habitat in
entirety. Current services also include environmental management of the construction
phase.
• (2003) Created a mangrove and grass marsh mitigation peninsula in conjunction with a
marina project. The marsh successfully maintained planted species coverage and
naturally recruited additional native vegetation and estuarine wildlife.
• Conducting wetland delineation surveys to both State of Florida and U.S. Army Corps of
Engineers specifications. Delineated lines have been accepted by agency personnel and
have withstood administrative challenges from outside groups.
• Providing expert witness testimony regarding wildlife and wetland issues on various
projects.
• (2000) Designed and permitted a Collier County Park (North Naples Regional Park) that
allowed visitor access to an approximately 80-acre preserve area with minimal impacts
to the preserve.
• Conducting species-specific wildlife surveys and analyses in order to determine
utilization and/or potential utilization of properties by target species. Species surveyed
for include Florida panther (Puma concolor coryi), red-cockaded woodpecker (Picoides
borealis), crested caracara (Caracara cheriway audubonii), Florida scrub jay
(Aphelocoma coerulescens), eastern indigo snake (Drymarchon corals couperi), gopher
tortoise (Gopherus polyphemus), Florida mouse (Podomys floridanus), wood stork
(Mycteria americana), southern bald eagle (Haliaeetus leucocephalus), Florida
burrowing owl (Speotyto cunicularia floridana), American crocodile (Crocodylus acutus),
West Indian manatee (Trichechus manatus), as well as several others.
• Designing educational interpretational signage related to local plants and animals.
Vegetative descriptions and potential wildlife sightings are site specific and tailored to
the individual project. These signs are then located in appropriate areas to educate
facility users regarding local ecosystems and wildlife.
• Overseeing environmental compliance on permitted projects, including construction
oversight, pre-construction wildlife surveys, mitigation coordination, turbidity testing,
and water quality sampling.
