THIS SUBORDINATION, CONSENT AND JOINDER given this ~ day of August,
1999, by and between Richard K. Bennett, as Successor Trustee under that certain Land
Trust Number 5405, and dated August 22, 1996 (hereinafter referred to as "Mortgagee"), in
favor of the BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY,
FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY, AND AS EX-OFFICIO
THE GOVERNING BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT,
its successors and assigns (hereinafter referred to as "County"). Mortgagee is used as singular
or plural, as the context requires.
WITNESSETH:
WHEREAS, Mortgagee is the owner and holder of that certain Mortgage from RSH of
Naples, Inc. now held by Mortgagee, recorded May 11, 1998, in Official Records Book 2418,
Page 1616, of the Public Records of Collier County, Florida.
WHEREAS, County has requested and received from the fee simple owner of the
Encumbered Property non-exclusive easements for the installation and maintenance of water and
sewer utility facilities over and across a portion of the encumbered premises legally described in
Exhibit "A" attached hereto and incorporated herein by virtue of this reference, which premises
are hereinafter referred to as the "Easement Property".
WHEREAS, County has requested that Mortgagee consent to, join in and subordinate its
Mortgage to the interest that County has in the Easement Property to which request Mortgagee
has agreed.
NOW, THEREFORE, in consideration of TEN ($10.00) DOLLARS and other good and
valuable consideration, the receipt of which is hereby acknowledged, the Mortgagee does hereby
consent to, join in and subordinate the lien of its Mortgage to the grant of that certain easement

described herein over, under, and across the Easemem Property and any imerest of the Coumy
in any water and sewer utility facilities located therein or affixed thereto. Except as subordinated
to the easement described herein over, under, and across the Easement Property or any water and

full force and effect.

COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY
OF COLLIER COUNTY, AND AS EX-OFFICIO THE GOVERNING BOARD OF THE
COLLIER COUNTY WATER-SEWER DISTRICT, its successors and assigns, (hereinafter
referred to as "Buyer").
WITNESSETH:
That said Seller, for and in consideration of the sum of TEN ($10.00) DOLLARS and
other good and valuable consideration to said Seller in hand paid by the said Buyer, the receipt
whereof is hereby acknowledged, has granted, bargained, sold, transferred, set-over and
delivered, and by these presents does grant, bargain, sell, transfer, set-over and deliver unto
Buyer, and the Buyer's heirs, successors and assigns forever, all those certain water facilities and

personally known (hereinafter "Affiant"), who, being duly sworn on oath, did say that all of the
persons, firms, and corporations, including the general contractor and all subcontractors, who
have furnished services, labor or materials according to plans and specifications, or extra items,
used in the construction or repair of water and sewer utility facilities on the real estate hereinafter
described, have been paid in full and that such work has been fully completed and accepted by the
owner.
Affiant further says that no claims have been made to the Owner by, nor is any suit now
pending on behalf of, any contractor, subcontractor, laborer or materialman, and further that no
chattel mortgages or conditional bills of sale have been given or are now outstanding as to the
subject utility facilities placed upon or installed in the aforesaid premises.
Affiant further says that utility facilities described herein are not included in, encumbered
by, or subject to any real property mortgage, chattel mortgage, security agreement, Uniform
Commercial Code financing statement, or any other encumbrance except for a certain Mortgage
from RSH of Naples, Inc., now held by Richard K. Bennett, as Successor Trustee of that certain
Land Trust Number 5405 and dated August 22, 1996, recorded May 11, 1998, in Official Records
Book 2418, Page 161~, of the Public Records of Collier County, Florida.
Affiant, as and on behalf of the owner of the subject utility facilities, does for valuable
consideration hereby agree and guarantee, to hold the Board of County Commissioners of Collier
County, Florida, as the governing body of Collier County and as Ex-Officio the Governing Board
of the Collier County Water-Sewer District harmless against any lien, claim or suit by any general
contractor, subcontractor, mechanic or materialman, and against chattel mortgages, security
interests or repair of the subject utility facilities. Affiant is used as singular or plural, as the

referenced in this Affidavit, including but not limited to, information requested from the

Except as otherwise set forth herein, the record owner of the real and personal property
described herein, is RSH of Naples, Inc., a Florida corporation, (hereinafter "Owner").
The Owner acquired record title to the subject real property by instrument recorded at
Official Record Book 2418, Page 161~. of the Public Records of Collier County, Florida,
a copy of which Deed is attached hereto.
The undersigned has reviewed the corporate information for RSH of Naples, Inc., and is
of the opinion that the same is current and active within the State of Florida, and is
currently authorized to do business in the State of Florida.

Portions of the property described on Exhibit "A" have been conveyed to International
College of Naples (portion of Tract B); George K. Bou-Sliman, Trustee, and Michael G.

R.D. Will Company (Tract N and Easterly 63 feet of Tract O). None of said conveyances
included any interest in any water and sewer facilities.

PURCHASE MONEY MORTGAGE
THIS MORTGAGE DEED is executed the 8th day of May, 1998, ~y RSI-/OF NAPLES,
INC., a Florida corporation, hereinafter called the Mortgagor, to RICHARD K. BENNETT, as
Successor Trustee of that certain Land Trust Number 5405, dated the 22nd day of August, 1996,
hereinafter called the Mortgagee:
WITNESSETH, that for good and valuable consideration, and also in consideration of the
aggregate sum named in the Promissory Note of even date herewith, hereinafter described, the
Mortgagor hereby grants, barga/ns, sells, a/lens, remi.~es, conveys and confirms unto the
Mortgagee all the certain land of which the Mortgagor is now seized and in possession situate in
Collier County. Florida, viz:

This is a First Purchase Money Mortgage.
THIS MORTGAGE and the Promissory Note it secures are personal to the Mortgagor and
Mortgagee, and Mortgagee hat relied upon the credit and integrity of Mortgagor in agreeing to
accept this Mortgage. As such, upon the sale or alienation of aH or any portion of or any interest
in the premises described herein to any third party except for an affiliate of Mortgagor or
Mortgagor's principal, the entire remaining principal sum due under the terms of the Promissory
Note secured by this Mortgage, together with all accrued but unpaid interest, shall, at the ~'ption
of the Mortgagee, become forthwith due and payable.
TO HAVE AND TO HOLD the same, together with the tenements, hereditaments and
appurtenances thereto belonging, and the rents, issues and profits thereof, unto the Mortgagee,

agrees to'Promptly pay all obligations when due under said Mortgage and collateral loan
documents, and maintain the same in good standing. Mortgagee shall have no liability for
payments thereunder.
PROVIDED ALWAYS, that if said Mortgagor shall pay unto said Mortgagee the certain
Promissory Note a copy of which is attached hereto as Exhibit "B,' and shall perform, comply
with and abide by each and every of the agreements, stipulations, conditions and covenants
thereof, and of this Mortgage, then this Mortgage and the estate hereby created, sfiall cease,
determine and be null and void.
AND the Mortgagor hereby further covenants and agrees to pay promptly when due the
principal and interest and other sums of money provided for in said Note and this Mortgage, or
either; to pay all and singular the taxes, assessments, levies, liabilities, obligations, and
encumbrances of every nature on said property; to permit, commit or suffer no waste, impairment
or deterioration of said land or the improvements thereon at any time; to pay all costs, charges,
and expenses, including lawyer's fees and title searches, reasonably incurred or paid by the
Mortgagee because of the failure of the Mortgagor to promptly and fully comply with the
agreements, stipulations, conditions and covenants of said Note and this Mortgage, or either; to
perform, comply with and abide by each and every the agreements, stipulations, conditions and
covenants set forth in said Note and this Mortgage or either. In the event the Mortgagor fails to
pay when due any tax, assessment, insurance premium or other sum of money payable by virtue
of said Note and this Mortgage, or either, the Mortgagee may pay the same, without waiving or
affecting the option to foreclose or any other right hereunder, and all such payments shall bear
interest from date thereof at the highest lawful rate then allowed by the laws of the State of
Florida.
So long as this Mortgage and the Promissory Note secured hereby are not in default and
prior to maturity thereof, and upon completion of construction of the contemplated roadway and
utility services, Mortgagee shall release lands encumbered hereby from the lien and charge of this
Mortgage upon the following terms and conditions:
All road rights-of-way shall be released from the lien and charge of this Mortgage by
Mortgagee without payment of any monies upon their dedication or deeding to Collier
County, but only. after completion of construction of the roadway, together with attendant
water facilities, sewer facilities, drainage facilities, and other utility facilities constructed
therein or adjacent thereto which serve the subject property.
Mortgagor hat heretofore delivered to Mortgagee its proposed site development plan for
the subject property, as described on Erdaibits C and D to the sales contract by and
between Mortgagor and Mortgagee. Mortgagor and Mortgagee do hereby agree that upon
final approval of said site development plan by Collier County, all residential tracts shown
on said preliminary site development plan shall be released upon payment to Mortgagee
of a release price equal to $I00,000.00 for each acre of residential lands for which release
is sought. ..

All other portions of the property not comprising roadway or residential lands are
commercial lands, and shall be released from the lien and charge of the Mortgage by
multiplying the number of acres for which release is sought by a fraction, the numerator
of which is an amount equal to the purchase price paid for the land of $6,000,000.00, less
the amount of acreage comprising the residential lands multiplied by $100,000.00; and the
denominator of which is the total number of acres comprising commercial lands. The
amount of acreage comprising said residential tract and commercial tract shall be as
reasonably determined by Mortgagor's project engineers. Notwithstanding the .foregoing,
however, the parties hereto do hereby agree as follows:

No commercial lands shall be released from the lien and charge of this Mortgage
which are less than one (1) acre in size;

No commercial lands shall be released from the lien and charge of this Mortgage
if, as a result of said release, an unreleased parcel less than one (I) acre in size
exists between two released parcels;
Mortgagee shall have no obligation to release any lands within the commercial tract
of the subject property unless Mortgagor shall have paid for and have released one-
half (1/2) acre of residential lands for each and every one acre of commercial lands
for which Mortgagor seeks release.

Mortgagee does hereby agree that Mortgagee shall join in the execution of any plat
of all or any portion of the property, so long as development of the property is in
conformity with the preliminary site development plan attached to the subject sales
contract as referenced above; or, in the alternative, in conformity with any fmal
site development plan approved by Collier County which provides for a maximum
of 14.1 acres of residential lands, and a minimum of 25.8 acres of commercial
lands, less road fights-of-way.
Mortgagee does hereby acknowledge that at the closing of the subject transaction,
Mortgagor paid Mortgagee the sum of $250,000.00. Said monies shall be a~plied
against any release payment due hereunder (but not applied against the principal
balance duc Mortgagee under the terms of thc Promissory Note secured hereby),
at such time as Mortgagor shall so elect.
All partial release monies paid hereunder, except for those described in
subparagraph (e) above, shall be applied against the next principal payment(s) due
under the terms of the Promissory Note secured hereby.
IF any sum of money herein referred to be not promptly paid within ten (10) days next
after the same becomes due, or ff each and every the agreements, stipulations, conditions and
covenants of said Note and this Mortgage, or either, are not fully performed, complied with and
abided by, then the entire sum mentioned in said Note, and this Mortgage, or the entire balance
unpaid thereon, shall forthwith or thereafter, at the option of the Mortgagee, become and be due

and payable, anything in said Note or herein to the contrary notwithstanding. Failure by the
Mortgagee to exercise any of the fights or options herein provided shall not constitute a waiver
of any rights or options under said Note of this Mortgage accrued or thereafter accruing.

corporation (hereinafter re. fen'ed to as 'Maker"), promi.~es to pay to the order of RICHARD K.
BENNETT, as Successor Trustee of that cextain Land Trust Number 5405. dated the 22nd day
of August, 1996 or his successors or assigns (hereinafter referred to as the 'Lender") at his offices
at cdo BUDD. KRUECKEBERG, BENNETT & McCLURE, 3033 Riviera Drive, Naples, FL
34103. or such other place as the holder hereof may from time to time designate in writing, the
principal sum of FIVE MU. i3ON SEVEN HUNDRED FIFFY THOUSAND ($5,750,000.00)
DOLLARS, to be paid in lawful money of the United States of America. which shall be legal
tender in payment of all debts and dues, public and private, at the time of payment as follows:

made pursuant to this Note, to pay interest in an amount or at a rate greater than the highest rate
permissible under applicable law. Should any interest or other charges paid by the Maker, or any
parties liable for the payment of the loan made pursuant to this Note. result in the computation
or earning of interest in excess of the highest rate permissible under applicable law. then any and
all such excess sh~l be and the same is hereby waived by the holder hereof, and all such excess
shall be automatically credited against and in reduction of the principal balance, and any portion
of said excess which exceeds the principal balance shall be paid by the holder hereof to the Maker
and any parties liable for the payment of the loan made pursuant to this Note. it hemg thc intent

securing this Note: or upon the insolvency, bankruptcy or dissolution of the Maker hereof: then.
in any or all such events, the entire amount of principal of this Note with all interest then accrued.
shall, at the option of the holder of this Note and without notice (the Maker hereby expressly
waives notice of such default) become and be due and collectible, time being of the essence of this
Note. If this Note shall not be paid at maturity or according to the tenor thereof and strictly as
above provided, it may be placed in the hands of an attorney at law for collection, and in that
event, each party liable for the payment thereof, as Maker, endorser, guarantor or otherwise,
hereby agrees to pay the holder herein in addition the sums above stated, a reasonable sum as an
attorney's fee, which shall include attorney's fees at the trial level and on appeal together with all
reasonable costs incurred. After maturity or default, this Note shall bear interest at the highest
rate permitted under then applicable law.
As to this Note and any insmm~ent securing the indebtedness, the Maker, endorsers and
guarantors severally waive all valuation :md appraisement, presentment, protest and demand,

been completed in accordance with the plans and related materials permitted by this agency under
Permit Number 152002-001-DSGP dated March 9, 1999.
Based on this certification and satisfacWry bacteriological results, we are approving these facilities
for service under the following conditions: If the bacteriological samples were collected prior to
replacement of the temporary backflow preventer or temporary construction meter with a final
connection, then additional bacteriological sampling is required. Upon completion of the final
connection, collect a bacteriological sample immediately downstream of the connection and submit
the bacteriological results to the Department. Immediate service can be provided ifa precautionary
boil water notice is issued for areas down stream of the connection, until one day of satisfactory
bacteriological results have been obtained (Two consecutive days of satisfactory bacteriological
results are required following any unsatisfactory result). Your continued cooperation in our water
supply program is appreciated.

a period of one (1) year from the date of acceptance by the Collier County Board of County
Commissioners. The undersigned party further agrees that they will, at their own expense, repair and
replace all such defective work and all other work damaged by said defective work under this Warranty-
Guaranty.
