THIS SUBORDINATION AND CONSENT given this /0',7 day of /~/., 1999 by HUNTINGTON
NATIONAL BANK, a banking corporation organized and existing under the laws of the State of
(hereinafter referred to as "Mortgagee"), in favor of the BOARD OF COUNTY COMMISSIONERS OF COLLIER
COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE
GOVERNING BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT its successors and assigns
(hereinafter referred to as "County"). Mortgagee is used as singular or plural, as the context requires.
WITNESSETH:
WHEREAS, Mortgagee is the owner and holder of that certain Mortgage executed by Luxury Homes at Bay
Laurel, Inc. dated September 29, 1997 and recorded October 15, 199"/ in Official Records Book 2355, Page 962, of
the Public Records of Collier County, Florida, and that certain Mortgage executed by Luxury Homes at Bay Laurel,
Inc. dated January 21, 1998 and recorded February 2, 1998 in Official Records Book 2385, Page 462, Public Records
of Collier Count'./, Florida (collectively, the "Mortgage"), encumbering the premises legally described therein,
(hereinafter referred to as the "Encumbered Property").
WHEREAS, County has requested and received from the fee simple owner of the Encumbered Property non-
exclusive easements for the installation and maintenance of water and sewer utility facilities over and across a portion
of the Encumbered Premises legally described in Exhibit "A" attached hereto and incorporated herein by virtue of this
reference, which premises are hereinafter referred to as the 'Easement Property".
WHEREAS, County has requested that Mortgagee consent to and subordinate its Mortgage to the interest that
County has in the Eas,ment Property to which request Mortgagee has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt of which is hereby acknowledged, the Mortgagee does hereby consent to the fee simple
owner granting the non-exclusive easement referred to above and hereby subordinates the lien of its Mortgage lo the
grant of that certain easement described herein, over, under, and across the Easement Property and any interest of the
County in the water and sewer utility facilities located therein or affixed thereto. Except as subordinated to the
easement described herein over, under and across the Easement Property or any water and sewer utility facilities,
located therein or affixed thereto, said Mortgage shall remain otherwise in full force and effect.
IN WITNESS WHEREOF, the Mortgagee has caused these presents to be executed the date and year first

2. Luxury Homes at Bay Laurel, Inc., a Florida corporation is the owner of said real
property located at Pelican Marsh, Collier County, Florida and legally described on Exhibit "A".
3. All persons, firms, and corporations, including the general contractor and all
subcontractors, who have furnished services, labor or materials according to plans and specifications, or
extra items, used in the construction or repair of the water and sewer utility facilities on the real estate
hereinafter described, have been paid in full and that such work has been fully completed and accepted by
owners.
4. No claims have been made to the owners by, nor is any suit now pending on behalf of,
any contractor, subcontractor, laborer or materialmen, and further that no chattel mortgages or
conditional bills of sale have been given or are now outstanding as to the subject water and sewer utility
facilities placed upon or installed in the aforesaid premises.
5. The water and sewer utility facilities described herein are encumbered by the following:
a)
Mortgage which was executed by Luxury Homes at Bay Laurel, Inc., a Florida
corporation (Mortgagor), and Huntington National Bank (Mortgagee), dated September
29, 1997 and recorded October 15, 1997 in Official Records Book 2355, Page 962, of
the Public Records of Collier County, Florida.
b)
Financing Statement between Huntington National Bank (Secured Party), and Luxury
Homes at Bay Laurel, Inc. (Debtor), recorded in Official Records Book 2355, Page
979, of the Public Records of Collier County, Florida.
c)
Mortgage which was executed by Luxury Homes at Bay Laurel, Inc., a Florida
corporation (Mortgagor), and Huntington National Bank (Mortgagee), dated January

3. The record owner of tile real property described herein is lmxury Homes at Bay
l.aurel, Inc., a Florida corporation (hereinafter "Owner"). The Owner acquired record title to the
subject real property by instrument dated September 30, 1997, recorded in Official Records Book
2355, Page 915, of the Public Records of Collier County, Florida (copy attached); by instrument
dated January 19, 1998, recorded in Official Records Book 2385, Page 447, of the Public
Records of Collier County, Florida (copy attached); and by instrnment dated Januao' 12, 1999,
recorded in Official Records Book 2502, Page 1493 of the Public Records of Collier County,
Florida.

E. The Property lies within the Pelican Marsh Community. Grantee is hereby notified that
(1) the Property Grantee is purchasing is located within a hurricane vulnerability zone; (2) the
hurricane evacuation time for the Southwest Florida Region is high; and (3) hurricane shelter space
is limited. GRANTEE IS REQUIRED TO INCLUDE THIS NOTIFICATION IN ANY SUBSEQUENT
DEEDS CONVEYING A PORTION OR ALL OF THE PROPERTY.
F. The Pelican Marsh Planned Unit Development assigned ordinance number 95-4;
G. The lien of any and all assessment liens that have heretofore been authorized, or shall
hereafter be authorized, to be assessed against the Property;
H. Grantee and/or subsequent purchaser shall submit to Grantor's Design Review
Committee construction plans and specifications for each site. If Grantor elects to reject the
construction plans and specifications for any site, Grantee and/or the subsequent site purchaser,
within fifteen (15) days of notification of Grantor's election to reject, may submit new plans for
Grantor's approval. If the plans are either (I) not submitted with thirty (30) days, or (ii) submitted
but reject by Grantor within ten (10) days of receipt, Grantor shall have the right, but not the
obligation, to exercise its option to repurchase such portion of the Property then owned by Grantee
in accordance with the terms provided for in Paragraph I below, after written notice of default by
Grantor to Grantee and Grantee's failure to file suit against a subsequent purchaser to repurchase
the property within fifteen (15) days after receipt of said notice.
I. Grantee shall commence construction on the Property in accordance with the Plans and
Specifications [as defined in the Deposit Receipt and Sales Agreement between Luxu~/ Homes at
Watercrest, Inc., as assigned to Grantor, and Grantee dated July 30, 1997 ('Sales Agreement')] for
the Property on br before three (3) years from the respective closing date of the initial sale by
Grantee of each site on the Property by Grantee to a third party. Grantee agrees that each contract
for the initial sale of a site shall include this three (3) year building compulsion. Once commenced,
construction shall continue without interruption and Grantee shall 'diligently continue
construction' as defined in the Sales Agreement. If Grantee fails to comply with the foregoing
requirements, Grantor shall have the right, but not the obligation to repurchase the portion of the
Property then owned by Grantee upon which construction has not commenced at ninety percent
(90%) of the purchase price paid by Grantee for the Property, less any attorney's fees, credits to
Grantor, transfer fees, recording charges or closing charges incurred by Grantor in connection with
such repurchase (herein called 'Repurchase Price'). Prorations, if any, shall be made as of the date
of the repurchase closing. If Grantor shall elect to exercise such option to repurchase the Property,
the option shall be exercised by Grantor within ninety (90) days of the date that Grantee and/or
subsequent purchasers shall have failed to commence or continue construction as aforesaid. If the
option is exercised, Grantor shall pay the Repurchase Price in cash and Grantee shall deliver to
Grantor a special warranty deed to the Property or portions thereof being repurchased; and at or in
connection with such repurchase closing, Grantee shall pay and satisfy all liens and mortgages
encumbering the Property being repurchased which were imposed on the Property during the
period of time Grantee owned the Property. All planning and design work shall thereupon belong
to Grantor.
}. All other easements, dedications, covenants, conditions, restrictions, reservations, and
limitations of record;
TOGETHER with all the tenements, hereditaments and appurtenances thereto belonging or in
anyway appertaining.
TO HAVE AND TO HO[D, the same in fee simple forever.
AND the Grantor hereby covenants with said Grantee that the Grantor is lawfully seized of said
Property in fee simple; that the Grantor has good right and lawful authority to sell and convey said

granted preliminary approval by Engineering Review in compliance
with Collier County Land Development Code, Section 3.2.6.5.2.
All water and sewer facilities approved and accepted and required
to be maintained by Collier County shall be conveyed to the
County pursuant to the provisions set forth in Collier County
Ordinance No. 97-17, as amended.
You are reminded that it is your responsibility to petition the
Development Services Director for final approval of the
improvements upon the expiration of the minimum one (1) year
maintenance period. After satisfactory completion of all final
inspections, the Board of County Commissioners shall adopt a

This is to inform you that the above referenced project has been granted preliminary approval by
Engineering Review in compliance with Collier County Land Development Code, Section 3.
All water and/or sewer facilities approved, accepted and required to be maintained by Collier
County shall be conveyed to the County pursuant to the provisions set forth in Collier County
Ordinance No. 97-17, as amended.
You are reminded that it is your responsibility to petition the Development Services Director for
final approval of the improvements upon the expiration of the minimum one (1) year
maintenance period. After satisfactory completion of all final inspections., the Board of County
Commissioners shall grant final approval of the required improvements establishing County
responsibility for maintenance of the required improvements if it is the Board's desire to accept
and maintain the facilities.

This acknowledges receipt of certification that the subject water distribution system extension has been
completed in accordance with the plans and related materials permitted by this agency under Permit
Number 144987-001-DSGP dated September 21, 1998.
Based on this certification and satisfactory bacteriological results, we are approving these facilities for
service under the following conditions: If the bacteriological samples were collected prior to replacement of
the temporary backflow preventer or temporary construction meter with a final connection, then additional
bacteriological sampling is required. Upon completion of the final connection, collect a bacteriological
sample immediately downstream of the connection and submit the bacteriological results to the
Department. Immediate service can be provided ifa precautionary boll water notice is issued for areas
do~m stream of the connection, until one day of satisfactory bacteriological results have been obtained
(Two consecutive days of satisfactory bacteriological results are required following any unsatisfactory
result). Your continued cooperation in our water supply program is appreciated.

On this 22nd day of October 1998 the UNDERSIGNED (hereinafter referred to as "CONTRACTOR")
HEREBY CERTIFIES to Collier County Utilities (here-inafter referred to as "OWNER") the following:
WAIVER OF LIEN
Ail labor employed, material purchased, equipment hired, fees, licenses, insurances and taxes of every
description have been paid in full and there are no liens outstanding for said project. Contractor further
certifies that he will indemnify and save harmless the Owner from any and all manner of claims, liens, suits,
loss or damage arising by virtue of Contractor or Contractor's subcontractors or suppliers.
WARRANTY AND GUARANTEE
If within one year after the date of acceptance by Owner or such longer period of time as may be prescribed
by law or by the terms of any applicable special guarantee required by the Project Engineer, any work is
found to be defective, Contractor shall promptly, without cost to the Owner, in accordance with Owner's
written instructions, either correct such defective work or, if it has been rejected by owner, remove it from
the site and replace it with nondefective work. If contractor does not promptly comply with the terms of such
instructions, or in an emergency where delay would cause serious risk of loss or damage, Owner may have
the defective work corrected or the rejected work removed and replaced, and all direct and indirect costs of
such removal and replacement, including compensation for additional professional services, shall be paid by
Contractor.
INDEMNIFICATION
The Contractor shall indemnify and hold harmless the Owner against all claims, damages, losses and
expenses, including but not limited to, attorney's fees, arising out of or resulting from negligent acts, errors or
omissions of the Contractor where the claim, damage, loss or expense is attributable to bodily injury,
sickness, disease or death, or injury to or destruction of tangible property, including loss of use resulting
therefrom.
COST AND MATERIAL
A detailed accounting of all cost and all quantities of material used in this project, per the as-built and record
drawings, is attached as Page 2 of 2, Exhibit "A" and made a part of this certification.
THE UNDERSIGNED person, or persons, is authorized to represent the company, corporation, representative
or individual (Contractor) and binds himself, his partners, successors, executors, administrators, assigns and
legal representatives to the above.

Contractor's Certification
On this 22nd day of October 1998 the UNDERSIGNED (hereinafter referred to as "CONTRACTOR")
HEREBY CERTIFIES to Collier County Utilities (here-inafter referred to as "OWNER") the following:
WAIVER OF LIEN
All labor employed, material purchased, equipment hired, fees, licenses, insurances and taxes of every
description have been paid in full and there are no liens outstanding for said project. Contractor further
certifies that he will indemnify and save harmless the Owner from any and all manner of claims, liens, suits,
loss or damage arising by virtue of Contractor or Contractor's subcontractors or suppliers.
WARRANTY AND GUARANTEE
If within one year after the date of acceptance by Owner or such longer period of time as may be prescribed
by law or by the terms of any applicable special guarantee required by the Project Engineer, any work is
found to be defective, Contractor shall promptly, without cost to the Owner, in accordance with Owner's
written instructions, either correct such defective work or, if it has been rejected by owner, remove it from
the site and replace it with nondefective work. If contractor does not promptly comply with the terms of such
instructions, or in an emergency where delay would cause serious risk of loss or damage, Owner may have
the defective work corrected or the rejected work removed and replaced, and all direct and indirect costs of
such removal and replacement, including compensation for additional professional services, shall be paid by
Contractor.
INDEMNIFICATION
The Contractor shall indemnify and hold harmless the Owner against all claims, damages, losses and
expenses, including but not limited to, attorney's fees, arising out of or resulting from negligent acts, errors or
omissions of the Contractor where the claim, damage, loss or expense is attributable to bodily injury,
sickness, disease or death, or injury to or destruction of tangible property, including loss of use resulting
therefrom.
COST AND MATERIAL
A detailed accounting of all cost and all quantities of material used in this project, per the as-built and record
drawings, is attached as Page 2 of 2, Exhibit "A" and made a part of this certification.
THE UNDERSIGNED person, or persons, is authorized to represent the company, corporation, representative
or individual (Contractor) and binds himself, his partners, successors, executors, administrators, assigns and
legal representatives to the above.
