UTILITY FACILITIES SUBORDINATION, CONSENT AND JOINDER
THIS~SUBORDINATION, CONSENT AND JOINDER given this _9.~day of
TOMEN AMERICA INC., a New York corporation,
(hereinafter referred to as "Mortgagee"), in favor of the FIDDLER'S
CREEK COMMUNITY DEVELOPMENT DISTRICT, its successors and assigns
(hereinafter referred to as "District"). Mortgagee is used as
singular and plural, as the context requires.
W I T N E S S E T H :
WHEREAS, Mortgagee is the owner and holder of that certain
Development Mortgage and Security Agreement recorded in Official
Records Book 2154, Page 350, Public Records of Collier County,
Florida, as modified by that certain Future Advance and Mortgage
Modification Agreement recorded in Official Records Book 2247, Page
1316, Assignment of Rents and Leases recorded in Official Records
Book 2247, Page 1356 and UCC-1 Financing Statement recorded in
Official Records Book 2247, Page 1380, all of the Public Records of
Collier County, Florida (hereinafter referred to as "Mortgage"),
encumbering the premises legally described therein (hereinafter
referred to as the "Encumbered Property").
WHEREAS, District has requested and received from the fee
simple owner of the Encumbered Property non-exclusive easements or
reservations for the installation and maintenance of water and
sewer facilities (including potable and non-potable and irrigation
lines and facilities), as more fully described in the Project
Improvement Acquisition Agreement between the District and the
mortgagor under the Mortgage, over and across a portion of the
Encumbered Property legally described in Exhibit "A" attached
hereto and incorporated herein by virtue of this reference, which
premises are hereinafter referred to as the "Easement Property".
WHEREAS, District has requested that Mortgagee consent to,
join in and subordinate its Mortgage to the interest that District
has in the Easement Property to which request Mortgagee has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and
other good and valuable consideration, the receipt of which is
hereby acknowledged, the Mortgagee does hereby consent to, join in
and subordinates the lien of its Mortgage to the grant of that
certain easement described herein over, under, and across the
Easement Property and any interest of the District in any utility
facilities located therein or affixed thereto. Except as
subordinated to the easement described herein over, under, and
across the Easement Property or any water and sewer utility
facilities located therein or affixed thereto, said Mortgage shall
remain otherwise in full force and effect.
IN WITNESS WHEREOF, the Mortgagee has caused these presents to

THIS BILL OF SALE evidencing the sale and conveyance of the

That said Seller, for and in consideration of the sum of Ten

title and authority to sell same, and that it will warrant and
defend the same against the lawful claims and demands of all

WHEREAS, Assignor is the Grantee under that certain Assignment
of Reservations and that certain Utility Easement ("Utility
Easement") from Gulf Bay 100, Ltd. and Parcel Z, Inc. d/b/a 951
Land Holdings Joint Venture ("951 Land Holdings") to Assignor
concerning certain water and sewer facilities located within the
real property referenced in said Utility Easement, a copy of said
Utility Easement being attached hereto and made a part hereof as
Exhibit "A"; and
WHEREAS, certain water and sewer facilities located within the
aforedescribed Utility Easement have been conveyed to Assignor from
951 Land Holdings by Bill of Sale and Warranty Deed, which water
and sewer facilities are simultaneously herewith being conveyed to
Assignee from Assignor; and
WHEREAS, it is necessary that Assignee obtain the rights of
Assignor as the Grantee in said Utility Easement as to said water
and sewer utility facilities.
NOW THEREFORE WITNESSETH that for and in consideration of the
premises and in consideration of the sum of Ten and 00/100 Dollars
($10.00), receipt of which is acknowledged by Assignor from
Assignee, and other good and valuable consideration, the parties
hereto agree as follows:
1) Assignor hereby conveys, grants, transfers, demises,
releases and assigns unto Assignee, its successors and assigns, all
of the rights of Assignor as Grantee under the Utility Easement
referenced hereto and made a part hereof as Exhibit "A" as to the
aforesaid water and sewer utility facilities. Assignee aforesaid
hereby accepts said assignment.
2) Governing Law. This Assignment shall be construed and
enforced in accordance with and governed by the laws of the State
of Florida.
3) Modification; Additional Assurances. No change,
amendment, modification or cancellation of any part of this

Assignment Agreement shall be valid unless in writing and signed by
Assignor and Assignee.

(hereinafter referred to as "Grantor"), and the BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF

That said Grantor, for and in consideration of the sum of Ten
Dollars and other good and valuable consideration to said Grantor
in hand paid by said Grantee, the receipt whereof is hereby
acknowledged, has granted, bargained and sold to the said Grantee,

sewer utility facilities lying within the following described land,
together with any appurtenant easement rights of Grantor for the

between Gulf Bay 100, Ltd., a Florida Limited Partnership (by its
General Partner Gulf Bay 100, Inc., a Florida corporation), and
Parcel Z, inc., a Florida corporation, jointly d/b/a 951 Land
Holdings Joint Venture, a Florida general partnership (hereinafter
referred to as "Developer" and "Owner"), and Fiddler's Creek
Community Development

WHEREAS, Developer and Owners, in consideration of ONE ($1.00)
DOLLAR and other good and valuable consideration to them paid by

assigns, for the purpose of providing certain public facilities,
including but not limited to water and sewer, all rights and
privileges that Developer and Owners have or may have under the
laws of the State of Florida, or otherwise, and all right, title
and interest of Developer and Owners in, to, and under each of
those certain reservations dealing with said water and sewer
utility facilities and those certain water and sewer utility
easements identified and set forth on those certain Plats specified
in Exhibit "A" attached hereto and made a part hereof, all located
in Collier County, State of Florida (The Reservations).

legal representatives, its successors and assigns to and for its
own or their uses forever with the right of substitution and

or can be enforced, at the District's expense, for the District's
benefit.
Developer and Owners do for themselves and their legal
representatives, successors and assigns, covenant to and with the
District, its legal representatives, successors and assigns that
they are the lawful owners of the Reservations; that the
Reservations are free from all encumbrances except as specified
herein; and that they have good right to assign the Reservations,
and that they will warrant and defend the Assignment of
Reservations unto the District, its legal representatives,
successors and assigns against the lawful claims and demands of all
persons whatsoever.

has relied upon Mark J. Woodward,s examination of record title
information to both the real and personal property referenced in
his affidavit, including but not limited to, information requested
from the Florida Secretary of State relative to any Uniform
Commercial Code financing statements.
4. The owner of the property being conveyed by the Bill of
Sale and Utilities Facilities Warranty Deed to Collier County is
the Fiddler's Creek Community Development District (hereinafter
"District,,). The District acquired title to the subject property
by the aforesaid instruments from 951 Land Holdings.
5. The Affiant has reviewed and examined information
obtained from the State of Florida as to the Fiddler,s Creek
Community Development District and has determined that the

6. Affiant further states that the Fiddler's Creek Community

Dear Mr. Palmer:
It is my understanding from discussions with Anthony P. Pires,
Jr., the attorney for the Fiddler's Creek Community Development
District (the "District"), that among the documents necessary for
the above-referenced conveyance, it is necessary, if the County is
to rely upon the Attorney's Affidavit provided by me on behalf of
951 Land Holdings Joint Venture to the District, that I provide
authorization and approval to the County to utilize and rely upon
my Affidavit previously provided to the District. A copy of this
Affidavit is attached hereto as Exhibit "A".
By this letter, I hereby provide to you the authority and
approval for Collier County and the Collier County Water-Sewer
District to utilize and rely upon the attached Attorney's Affidavit
previously provided by me to the District, as Collier County and
the Collier County Water-Sewer District will be standing in the
stead of the District by virtue of the District's conveyance by
Bill of Sale and Warranty Deed of the subject water and sewer
utility facilities, as described on the enclosed Exhibit "B".

described herein is Gulf Bay 100, Inc., f/k/a 559 91s~ Avenue,
Inc. , a Florida corporation and Parcel Z, Inc. , a Florida
corporation, d/b/a 951 Land Holdings Joint Venture, a Florida
General Partnership (hereinafter "Owner") · The Owner acquired
record title to the subject real property by instrument recorded at
official Records Book 1911, at Page 144, Public Records, Collier
county, Florida (copy attached hereto as Exhibit "B").
The Affiant has examined the 951 Land Holdings Joint Venture
Agreement, and has determined that the Joint Venture is current and
active within the State of Florida, that the Joint Venture is
currently authorized to do business in the State of Florida, and
that Mark J. Woodward , as Vice President of Gulf Bay 100,
Inc., a Florida corporation, which is the General partner of Gulf
Bay 100, Ltd. , and T. Sano as President of Parcel Z, Inc. are
authorized to execute all instruments (Deed, Easement, and Bill of
Sale) on behalf of the Joint Venture in conjunction with the
conveyance of the subject real and personal property.
4. Affiant further states that the subject real and personal
property is encumbered of record as follows:
1. Development Mortgage and Security Agreement in favor of
Tomen American, Inc., recorded in official Records Book 2154 at
Page 350, as modified by that certain Future Advance and Mortgage
Modification Agreement recorded in official Records Book 2247 at
Page 1316, all of the Public Records of Collier County, Florida.
2. Assignment of Rents and Leases in favor of Tomen America,
Inc. recorded in official Records Book 2247 at Page 1356, Public
Records of Collier County, Florida.
3. UCC-1 Financing Statement in favor of Tomen America, Inc.

with Collier County Land Development Code, Section 3.2.6.5.2.
Ail water and sewer facilities approved and accepted and required
to be maintained by Collier County shall be conveyed to the
County pursuant to the provisions set forth in Collier County
ordinance No. 97-17, as amended.
You are reminded that it is your responsibility to petition the
Development Services Director for final approval of the
improvements upon the expiration of the minimum one (1) year
maintenance period. After satisfactory completion of all final
inspections, the Board of County Commissioners shall adopt a
resolution giving final approval of the required improvements,
acknowledging the dedication(s) of the final subdivision plat and
establishing County responsibility for maintenance of the
required improvements if it is the Board's desire to accept and
maintain the facilities.

Dear Ms. Nix:
A field fire flow test was completed by the East Naples Fire Control & Rescue District for the
above referenced project and a copy of their acceptance of ownership and maintenance of the
hydrants is attached. Based upon the results, a fire flow at 20 psi will yield a residual main
pressure of 1,457 gpm. Therefore, the minimum design requirement of 750 gpm is met.
