UTILTY AND ACCESS EASEMENT DONATION AGREEMENT
THIS DONATION AGREEMENT (hereinafter referred to as the "Agreement ") is made and
entered into by and between TAYLOR MORRISON ESPLANADE NAPLES, LLC, a Florida limited
liability company, (hereinafter referred to as "Owner "), whose mailing address is 9401 Corkscrew
Palms Circle, Estero, Florida 33928, and the BOARD OF COUNTY COMMISSIONERS OF COLLIER
COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX- OFFICIO
THE GOVERNING BOARD OF THE COLLIER COUNTY WATER -SEWER DISTRICT, whose mailing
address is 3335 Tamiami Trail East, Suite 101, Naples, Florida 34112, (hereinafter referred to as
"CCWSD ").
WITNESSETH:
WHEREAS, CCWSD has requested that Owner convey to the CCWSD a perpetual, non-
exclusive Utility and Access Easement for the purpose of constructing, maintaining and operating
utility facilities over, under, upon and across the lands described in Exhibit "A" (hereinafter referred to
as the "Easement Area "), which is attached hereto and made a part of this Agreement;
WHEREAS, Owner desires to convey the Easement Area to CCWSD for the stated purposes,
on the terms and conditions set forth herein;
WHEREAS, Owner recognizes the benefit to Owner and desires to convey the Easement Area
to the CCWSD for the stated purposes, on the terms and conditions set forth herein, said terms
including that no compensation shall be due and payable for the Easement Area requested by
CCWSD; and
NOW, THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and
other good and valuable consideration, the receipt and sufficiency of which is hereby mutually
acknowledged, it is agreed by and between the parties as follows:
1. Owner shall convey the Easement Area via a Utility and Access Easement to the CCWSD
at no cost to the CCWSD, unless otherwise stated herein.
2. Prior to Closing, Owner shall obtain from the holders of any liens, exceptions and /or
qualifications encumbering the Easement Area, the execution of such instruments which will remove,
release or subordinate such encumbrances from the Easement Area upon their recording in the
public records of Collier County, Florida. Owner shall provide such instruments, properly executed, to
CCWSD on or before the date of Closing.
3. Closing shall occur within sixty (60) days from the date CCWSD executes this Agreement;
provided; however, that CCWSD shall have the unilateral right to extend the term of this Agreement
pending receipt of such instruments, properly executed, which either remove, release or subordinate
any and all such liens, encumbrances or qualifications affecting CCWSD's enjoyment of the
Easement Area.
4. Owner is aware and understands that this Agreement is subject to the acceptance and
approval by the Board of County Commissioners of Collier County, Florida.
5. Owner agrees to convey the Easement Area for the purpose of accessing staging,
constructing, operating and maintaining below ground utility facilities on lands within the Easement
Area. CCWSD shall restore the surface of any lands disturbed within the Easement immediately after
construction has been completed to a condition acceptable to Owner.
6. Owner represents that to the best of Owner's knowledge, the Easement Area and all uses
of the Easement Area have been and presently are in compliance with all Federal, State and Local
environmental laws; that no hazardous substances have been generated, stored, treated or
transferred on the Easement Area except as specifically disclosed to the CCWSD; that the Owner
has no knowledge of any spill or environmental law violation on any property contiguous to or
immediately adjacent to the Easement to be conveyed to the CCWSD, that the Owner has not
received notice and otherwise has no knowledge of a) any spill on the Easement Area b) any existing
or threatened environmental lien against the Easement Area or c) any lawsuit, proceeding or
investigation regarding the generation, storage, treatment, spill or transfer of hazardous substances
on the Easement. This provision shall survive Closing and is not deemed satisfied by conveyance of
title.
7. Owner shall indemnify, defend, save and hold harmless the CCWSD against and from,
and to reimburse the CCWSD with respect to, any and all damages, claims, liabilities, laws, costs and
expenses (including without limitation reasonable paralegal and attorney fees and expenses whether
in court, out of court, in bankruptcy or administrative proceedings or on appeal), penalties or fines
incurred by or asserted against the CCWSD by reason or arising out of the breach of Owner's
representation under Section 6. This provision shall survive Closing and is not deemed satisfied by
conveyance of title.
8. The CCWSD shall pay for all costs of recording the conveyance instrument. All other
costs associated with this transaction including but not limited to curative instruments and
documentary stamp taxes shall be borne and paid by Owner. All costs related to issuance of a title
commitment and any title policy shall be paid by the CCWSD.
9. This Agreement and the terms and provisions hereof shall be effective as of the date this
Agreement is executed by both parties and shall inure to the benefit of and be binding upon the
parties hereto and their respective heirs, executors, personal representatives, successors, successor
trustees, and /or assignees, whenever the context so requires or admits.
10. Conveyance of the Easement Area by Owner is contingent upon no other provisions,
conditions, or premises other than those so stated above; and the written Agreement, including all
exhibits attached hereto, shall constitute the entire Agreement and understanding of the parties, and
there are no other prior or contemporaneous written or oral agreements, undertakings, promises,
warranties, or covenants not contained herein.
11. This Agreement is governed and construed in accordance with the laws of the State of
Florida.

Country Club of Naples as recorded in Plat Book 53, page 1, public records of Collier
County, Florida, which tract or parcel is more particularly described as follows:
Beginning at the northeast corner of Tract "C" of said plat thence
North 89 °57'17" West on the north line of said Tract "C" for 1,055.94 feet
to an intersection with the east non - tangent curved right -of -way of Tract
"R1 ", Esplanade Boulevard of said plat; thence northerly along said curve
concave to the east and having a radius of 189.00 feet (delta 27 °33'47 ")
(chord bearing North 20 °35'15" East) (chord 90.05 feet) for 90.92 feet to
an intersection with the north line of a drainage and sidewalk easement
as shown on said plat; thence South 53 °52'01" East on said north line for
92.22 feet; thence South 89 °57'17" East on said north line for 949.46 feet
to an intersection with the east line of said Tract "01" of said plat; thence
South 00 °38'11" East on said east line for 30.00 feet to the Point of
Beginning.

A tract or parcel of land lying Tract "GC1" and Tract "W" of the plat of Esplanade Golf
and Country Club of Naples as recorded in Plat Book 53, page 1, public records of
Collier County, Florida, which tract or parcel is more particularly described as follows:
Beginning at the southwest corner of Tract "R1 ", also being a point on the
north line of Tract "C" of said plat; thence North 89 °57'17" West on the
north line of said Tract "C" for 17.73 feet; thence North 89 °58'48" West
on said north line for 327.79 feet to an intersection with the non - tangent
curved side of Tract "P5" of said plat; thence northerly along said curve
concave to the west and having a radius of 357.20 feet (delta 03 °13'20 ")
(chord bearing North 05 °17'59" West) (chord 20.09 feet) for 20.09 feet to
an intersection with the north line of a drainage and sidewalk easement
as shown on said plat; thence South 89 °57'37" East on said north line for
210.02 feet; thence North 53 °39'24" East on said north line for 189.62
feet to an intersection with the west non - tangent curved right -of -way of
Tract "R1 ", Esplanade Boulevard of said plat; thence southerly along said
curve concave to the east and having a radius of 271.00 feet (delta
19 °17'19 ") (chord bearing South 09 °43'12" West) (chord 90.80 feet) for
91.23 feet; thence South 00 °04'33" West on said west right -of -way line
for 42.86 feet to the Point of Beginning.
